MUNICH--(BUSINESS WIRE)--Jun 2, 2025-- Circus SE (XETRA: CA1 ), a global technology company in AI software and autonomous robotics for the food service industry, today announces the relocation of its global headquarters to Munich, marking a strategic move to strengthen its position in one of Europe's most dynamic technology hubs. With a strong foundation already laid in the region through years of mechanical engineering and robotics development, the company is doubling down on Munich as its core location for AI innovation, advanced robotics, and pre-series production of its new CA-M military-grade autonomous robot platform. 'As OpenAI, NVIDIA and other global leaders invest in Munich and the global demand for intelligent automation surges, Munich has become one of the few places in the world where cutting-edge research meets world-class engineering talent,' said Nikolas Bullwinkel, CEO and Founder of Circus. 'We're building the future of robotics here – from our civilian food service automation to next-gen defense solutions – and Munich will be our long-term launchpad.' The new HQ will serve as a central R&D hub, attracting top talent and enabling closer collaboration with leading universities, research centers, and the region's industrial base. 'The ecosystem in Munich is continuously evolving into a global hotspot for robotics and AI,' says Dr. Arne Rost, member of the Circus Advisory Board Member and Managing Director of the Venture Lab Robotics/AI from the Technical University Munich. 'The city brings together academic excellence, entrepreneurial drive, and international deep-tech talent – and Circus is one of the most ambitious companies actively shaping this ecosystem.' Circus SE acquires FullyAI to advance AI solutions in foodservice

German company Circus SE has completed its previously announced acquisition of FullyAI, an agentic AI company, to advance solutions for the foodservice sector. The announcement was made in January 2025. The acquisition is now set to transform FullyAI into the cognitive core of the Circus SE ecosystem. This acquisition signifies a significant step in Circus SE's goal to create a cohesive intelligence layer throughout its robotics and software systems. The integration of FullyAI will begin with an AI-driven voice ordering terminal and extend to include real-time operational decision-making and predictive maintenance. FullyAI will leverage several data points from its CA-1 meal supply robots and provide a self-improving intelligence layer that links software process and all robots in real-time. The integration of FullyAI with Circus SE's proprietary systems will allow the ecosystem to understand context, demand and behavioural patterns by analysing multiple data streams. These include customer profiling, inventory and procurement systems, and real-time robot operations. This continuous flow of insights is poised to establish a global nutrition intelligence network, enabling Circus SE systems to forecast demand, adapt and globally scale precision nutrition. The physical AI-robotics layer (CA-1), the operational layer (CircusOS) and the intelligence layer (FullyAI) are now designed to function in unison. Circus SE CEO and founder Nikolas Bullwinkel stated: 'With the acquisition of Fully, we are also expanding our growing stack of proprietary IP [intellectual property] in the field of global nutrition autonomy for humans.' FullyAI's engineering team and management have been integrated into Circus SE. Niklas von Weihe, formerly associated with Meta's advanced AI teams, has been appointed as Circus' director of AI. Minh Dao, who previously worked with clients such as Tesla, Google and McDonald's, joins as vice-president for growth, responsible for overseeing new product verticals and brand expansion initiatives. The acquisition was finalised based on the terms set out in the ad hoc announcement in January, which included the issuance of 400,000 new shares subject to a 36-month lock-up period. Subsequent company law procedures to finalise the acquisition will be completed by the end of June 2025. Circus SE Successfully Acquires Agentic AI Company FullyAI

FullyAI becomes the core AI intelligence layer powering operational guidance, prediction models, and personalized AI experiences across Circus' robotics and software stack Technology to leverage billions of data points from Circus robotic systems to scale a global intelligence network for its autonomous food systems and nutrition patterns FullyAI's team becomes part of Circus, including new leadership in AI and growth to scale the next phase of intelligent food autonomy MUNICH, May 21, 2025--(BUSINESS WIRE)--Circus SE (XETRA: CA1), a global technology leader in AI-robotics for the food service industry, today announces the successful acquisition of agentic AI company FullyAI, marking a major milestone in its mission to build a unified intelligence layer across its robotics and software. FullyAI will become the cognitive engine of the Circus ecosystem — starting with a fully integrated AI-powered voice ordering terminal and expanding into real-time operational decision-making, predictive maintenance, autonomous optimization, and highly personalized user experiences across the Circus AI-Software and robotics ecosystem. By leveraging billions of data points at scale from Circus' patented CA-1 meal supply robots, FullyAI unlocks a continuously learning, self-improving intelligence layer that connects every robot and software process in real time. Integrated with Circus proprietary systems, this unified ecosystem understands context, demand, and behavioral patterns through multiple owned data streams — including inventory and procurement systems, customer profiling, and real-time robot operations. This continuous flow of insights forms the foundation for the first ever global nutrition intelligence network — allowing Circus systems to anticipate demand, adapt dynamically, and scale precision nutrition worldwide. The operational layer (CircusOS), the physical AI-robotics layer (CA-1), and the intelligence layer (FullyAI) now work together seamlessly. "FullyAI further advances our autonomous systems and software into a true intelligent ecosystem: one that oversees, learns, and predicts. With this acquisition, we are laying the groundwork for a global nutrition intelligence layer — comparable to what Tesla has built in autonomous driving or Meta in social data — leveraging every data point to better understand complex nutrition patterns. With the acquisition of Fully, we are also expanding our growing stack of proprietary IP in the field of global nutrition autonomy for humans", comments CEO and Founder of Circus SE, Nikolas Bullwinkel on the successful acquisition. As part of the acquisition, the FullyAI engineering team and management joined Circus. Niklas von Weihe, previously working closely with Meta's (Nasdaq: META) advanced AI teams, joins as Director of AI. Minh Dao, former CEO of a leading growth and brand consultancy with clients like Tesla (Nasdaq: TSLA), Google (Nasdaq: GOOGL), and McDonald's (NYSE: MCD), joins as VP of Growth, overseeing new product verticals and brand scale initiatives. The transaction was completed on the terms defined in the ad hoc announcement dated January 12, 2025, including the issuance of 400,000 new shares with a 36-month lock-up period. The next steps required under company law to implement the acquisition are expected to be completed by the end of June.
