In a major leadership transition, TVS Motor Company announced today that its Board of Directors has unanimously named Sudarshan Venu as the new Chairman and Managing Director of the company, effective August 25, 2025. The decision reflects the Board's recognition of Venu's pivotal role in steering the company's growth and strategic evolution during his tenure as Director. The announcement follows the decision by the current Chairman, Sir Ralf Speth, not to seek re-appointment at the upcoming Annual General Meeting (AGM) scheduled for August 22, 2025. Sir Ralf will step down as Chairman at the conclusion of the AGM. To ensure a smooth transition and ongoing strategic guidance, Sir Ralf will take on the role of Chief Mentor of the Company for a three-year term beginning August 23, 2025. Sudarshan Venu to take over as TVS Motor Chairman and MD in August 2025

It is son-rise time at TVS Motor Company, as it shines in the electric vehicle space for the first time through iQube. On Thursday, the company announced that its board of directors had unanimously named Sudarshan Venu as the incoming Chairman of the company. The move is in recognition of his exemplary contributions to the company's sustained growth and strategic development during his tenure as Director, it said. He will take charge as the Chairman and Managing Director from 25 August 2025. This follows a succession plan drawn up by the Venu Srinivasan family of the TVS Group recently. In March 2024, Venu Srinivasan had announced that his family members—wife Mallika Srinivasan, son Sudarshan Venu, and daughter Lakshmi—had executed a memorandum of understanding (MoU) to avoid competition among themselves. As part of this, Sudarshan will continue to lead TVS Holdings and its subsidiary companies—TVS Motor, TVS Credit Services, Home Credit India, and TVS Emerald. Lakshmi will succeed Mallika Srinivasan in TAFE and lead Sundaram Clayton Ltd. TVS Motor's current Chairman, Ralf Speth, has informed the board that he will not be seeking reappointment as a company Director at the upcoming Annual General Meeting (AGM). Consequently, he will step down as Chairman of the company at the close of the AGM on 22 August 2025. The board will also be appointing Ralf Speth as Chief Mentor of the company for a period of three years, effective 23 August 2025, ensuring continued benefit from his extensive knowledge, experience, and expertise. His contributions have been invaluable in guiding our strategic expansion into global markets and fostering innovation that has significantly strengthened our industry standing. Sudarshan Venu, the Managing Director of TVS Holdings, has become a 'significant beneficial owner' after the initiation of a transfer process involving promoter shares of the company, according to a recent regulatory filing. TVS Holdings, the promoter entity of TVS Motor Company, disclosed this development in its RoC filing dated April 23, 2025. Sudarshan Venu is the son of Venu Srinivasan, Chairman and Non-Executive Director of TVS Holdings, and Mallika Srinivasan, Chairman and MD of TAFE has assumed this status as part of an inter-se transfer among the company's promoters. Both Venu Srinivasan and Sudarshan Venu are now identified as 'persons acting in concert and significant beneficial owners' of the firm, which was previously known as Sundaram-Clayton Ltd. According to latest media reports TVS Motors market capitalisation is 1.30 TVS Holdings owns 50.26 per cent in two and three-wheeler maker TVS Motor Company. Sudarshan Venu already leads TVS Motor Company as its Managing Director. The latest development makes clearer the alignment of ownership and management of businesses between the children of Venu Srinvasan and Mallika Srinivasan and a continuation of a smooth execution of the succession planning initiated earlier. Last month Tractors and Farm Equipment Ltd (TAFE) had announced the appointment of Lakshmi Venu, the daughter of Mallika Srinivasan and Venu Srinivasan, as its Vice-Chairman. In March 2024, an MoU (memorandum of understanding) was executed by Venu Srinivasan and his family members to avoid competition among themselves. Under the MoU, Sudarshan Venu agreed that he and persons controlled by him would not use certain trademarks, including TVS, in relation to certain businesses including design, manufacturing and supply of aluminium and magnesium die castings/machined castings for OEMs and the after-market. He had also agreed to not compete for a defined period, including in the business of agricultural machinery including tractors, and self-propelled farm equipment. On the other hand, Mallika Srinivasan and Lakshmi Venu agreed that they and persons controlled by them would not use certain trademarks (including TVS) in relation to certain businesses, including two-wheeler and three-wheeler vehicles, financial services, and real estate business. They have also agreed to not engage in certain businesses, including two-wheeler, and three-wheeler vehicles, parts and/or accessories for any such vehicles, for a defined period.
