Mr. Toshav previously served on the Company's Board from June 2023 until August 2024. Mr. Toshav has over 20 years of experience in investment banking, fixed income and mergers and acquisitions advisory services. He is currently President and Chairman of Rio Ave FC (Primeira Liga), a professional Portuguese football (soccer) club, and he previously served as a senior financial advisor to UK-based Nottingham Forest FC and Greece-based Olympiacos FC. Mr. Toshav also currently serves as the Chief Executive Officer of Umbrella Advisors Ltd., a boutique investment bank and financial advisory firm he founded in 2014. Mr. Toshav has also been a board member of Intelicanna Ltd. (TASE: INTL) and Getruck Ltd. since 2018 and 2021, respectively. Mr. Toshav received a Bachelor of Arts degree in Economics and Business Administration from Tel Aviv University, as well as a Master of Philosophy from Tel Aviv University. Mr. Toshav qualified as a United Kingdom Financial Services Authority certified investment advisor in 2005.

This appointment follows Brenmiller's recent strategic milestones, including project deployments in Europe, Israel, and the United States. Notably, the European Hydrogen Bank has granted SolWinHy Cádiz S.L. (the 'SolWinHy Project') in Arcos de la Frontera, Spain, €25 million in funding. SolWinHy is a special purpose company jointly owned by leading renewable energy developers Green Enesys Group ('Green Enesys') and Viridi RE ('Viridi') to build new green hydrogen and green e-methanol projects in Europe. Green Enesys and Viridi are Brenmiller's joint venture partners in Brenmiller Europe S.L. ('Brenmiller Europe'). UK bakery manufacturer Finsbury Food Group has acquired a 70% stake in direct-to-consumer business Lola's Cupcakes for an undisclosed sum. Finsbury Food Group, which supplies bakery products to retailers and foodservice customers, said the acquisition was part of a strategy to make "targeted investments in innovative, high-growth segments" of the market. Lola's Cupcakes sells cakes and brownies through its own stores and via the DTC channel. E-commerce accounts for around half of the company's sales, with the business using 45 kiosks and collection lockers. In 2024, Lola's Cupcakes generated a turnover of £26.2m ($35.5m), up from £24.9m a year earlier. The company's profit after tax was £1.6m compared to just under £610,000 in 2023. The business employs around 400 people, operating from a facility in north London. John Duffy, the CEO of Finsbury Food Group said described the deal as "an exciting milestone" for the company. He added: 'It represents another step forward in Finsbury's acquisition journey as a buy-and-build business, allowing us to enter the direct-to-consumer market for the first time. 'Lola's is an entrepreneurial and much-loved UK brand with a strong digital presence, and together, we see significant potential for growth and innovation across both Finsbury and Lola's.' TeraWulf Launches $400 Million Convertible Notes Offering To Fund Data Center Expansion

TeraWulf (NASDAQ:WULF), an operator of vertically integrated, predominantly zero-carbon digital infrastructure, launched a private offering of $400 million aggregate principal amount of convertible senior notes due 2031. The company may also grant initial purchasers a 13-day option to buy up to an additional $60 million of notes. TeraWulf plans to use the proceeds primarily to fund capped call transactions to reduce dilution from potential note will allocate the remaining proceeds toward expanding its data centers and supporting general corporate purposes. The notes will be senior unsecured obligations, paying semiannual interest starting March 1, 2026, and maturing September 1, 2031. Regarding pricing, TeraWulf expects to enter into capped call transactions with financial institutions to mitigate dilution from potential conversions. Separately, TeraWulf announced that Fluidstack has expanded its footprint at the Lake Mariner data center campus in Western New York. The expansion introduces CB-5, a new purpose-built data center that will add 160 MW of critical IT load when operations begin in the second half of 2026. As part of the CB-5 lease, Alphabet's (NASDAQ:GOOGL) (NASDAQ:GOOG) Google committed an additional $1.4 billion to backstop project-related debt financing and secured warrants to purchase 32.5 million TeraWulf shares. This new commitment raises Google's total backstop to $3.2 billion and expands its pro forma equity stake in TeraWulf to about 14%. The CB-5 lease mirrors the economics of Fluidstack's earlier CB-3 and CB-4 agreements, ensuring consistent terms across the Lake Mariner buildout. With CB-5, TeraWulf boosts Fluidstack's total contracted capacity to approximately 360 MW, making Lake Mariner one of the largest high-performance computing campuses in the United States. TeraWulf and Fluidstack are also discussing further expansions to meet growing AI demand. TeraWulf stock has gained close to 59% year-to-date and over 78% in the last five days upon the Google deal. TeraWulf shares extended their rally last Friday after the company cemented a landmark deal, strengthening its role in artificial intelligence infrastructure. The stock jumped more than 40% in last Thursday's midday trading and has climbed 78% since Monday's open. On Thursday, TeraWulf signed two 10-year high-performance computing (HPC) colocation agreements with Fluidstack, locking in approximately $3.7 billion in contracted revenue. Under the agreements, TeraWulf will supply more than 200 MW of power from its Lake Mariner data center in New York, with extension options that could lift the contract's total value to $8.7 billion. Google fueled momentum by backing $1.8 billion of Fluidstack's lease obligations and securing warrants for an 8% equity stake in TeraWulf. The announcement followed a stronger-than-expected quarterly report. TeraWulf reported a second-quarter loss of 5 cents per share, beating the 7-cent loss forecast. Sales reached $47.64 million, above the $46.08 million estimate. CEO Paul Prager also pointed to integrating Beowulf Electricity & Data to streamline operations and cut costs. Analysis-UK motor finance ruling could fuel M&A

By Charlie Conchie LONDON (Reuters) -A ruling from the United Kingdom's top court that will likely save car finance companies billions in compensation payouts could clear the way for a wave of consolidation in the sector. The Supreme Court this month overturned much of a lower court ruling on car loan sales practices, leading some industry experts to say the compensation bill could be less than half of initial estimates of about 30 billion pounds ($41 billion). The lower cost - coupled with the fact that many private equity firms have owned car finance companies beyond their typical investment horizons - could help trigger a spate of dealmaking in a sector that has been in limbo for about 18 months. "I think it's the real activity that will start now," said Hyder Jumabhoy, a partner at law firm White & Case. The owners of car finance lenders have enough clarity to begin preparing them for sale as they await full details of the redress scheme, he added. Jumabhoy's view was echoed by three other corporate advisers contacted by Reuters, although another three cautioned that uncertainty could hold back dealmaking until at least next year. London-based private equity firm Cabot Square Capital has hired BNP Paribas to handle a sale of Blue Motor Finance, two people familiar with the matter said. Blue Motor made a loss of 8.5 million pounds in 2023 on revenue of 53 million pounds, according to its latest full-year accounts. Startline, owned by U.S. hedge fund The Baupost Group, could also come to market in the coming months, advisers said. Startline reported 100.3 million pounds of interest receivable and other income in 2023 and a loss of around 4.25 million pounds, according to its latest accounts. "There's a series of highly attractive assets which have sat in private equity portfolios for longer than most would have expected, more for regulatory or macro reasons as opposed to anything else," said Elliot Reader, a director at investment bank Houlihan Lokey. "Now is a period of time where there is some more certainty and these assets can start to come to market." Cabot Square Capital, Blue Motor and Startline did not respond to requests for comment. The Baupost Group declined to comment. To be sure, there are still uncertainties for the industry. Some advisers said the lack of clarity around the final redress bill could dampen deals until later next year. "Does it (the Supreme Court ruling) pave the way for future M&A activity in the motor finance space given recent inactivity? Yes, but I'd expect any meaningful movement to emerge throughout 2026," said Antony Walsh, partner and international head of corporate at Eversheds Sutherland. GROWING MARKET Following the court ruling, Britain's financial watchdog is working on a compensation scheme for car loans that included so-called discretionary commission arrangements - those where the broker could adjust the interest rate offered to a customer - if they were not properly disclosed. The regulator said this month that it was hard to predict the cost of the scheme, but that estimates in the middle of a 9 billion to 18 billion pounds range were "more plausible". Despite the spectre of hefty payouts, advisers said there was likely to be interest from potential buyers in a growing market that underpins much of Britain's automotive industry. Around 80% of all new cars sold to consumers in Britain in the 12 months to April were bought using a form of motor finance, according to the Finance & Leasing Association. New business rose 6% in value in the first six months of 2025, bringing the total size of the point-of-sale consumer car finance market at the end of June to about 86 billion pounds in terms of the value of outstanding contracts, it added. Potential bidders could include bigger banks or private equity and private credit funds, Reader and Jumabhoy said. Britain's banking sector has already seen a flurry of deals, including Santander UK's recent swoop on TSB. Analysts at credit rating agency Moody's said in a June note that the focus could now turn to specialist lenders, with larger motor finance-exposed firms like Aldermore and Close Brothers among potential targets. Aldermore's owner, South Africa's FirstRand, and Close Brothers led the legal challenge that culminated in the Supreme Court ruling on Aug. 1. Close Brothers, whose shares are up around 25% since the ruling, declined to comment. "I've spoken to CFOs of other banks who tell me that they think that Close Brothers is a good business, but they would not touch it with a barge pole until motor finance is well and truly dusted," said RBC Capital Markets analyst Benjamin Toms, referring to certainty over the eventual compensation costs.
