Resolutions from the Extraordinary General Meeting in Sinch AB (publ)

STOCKHOLM, Aug. 14, 2025 /PRNewswire/ -- Sinch held an extraordinary general meeting on Thursday, 14 August 2025 in Stockholm. The meeting resolved, in accordance with the board of directors' proposal, to implement a long term incentive program for up to 625 current and future senior executives, key personnel and other employees within the Sinch group ("LTI 2025"). LTI 2025 consists of up to 12,800,000 employee stock options divided into two series: Series 1 for employees outside of Sweden and Series 2 for employees in Sweden. The employee stock options are allotted to the participants free of charge and each employee stock option entitles the holder to acquire one share in Sinch at a price corresponding to the market value of the Sinch share at grant date of the option. The employee stock options are subject to both performance and time-based vesting conditions. The board of directors' proposal on authorization for the board of directors to resolve on the acquisition of own shares and transfers of acquired own shares to participants in LTI 2025 did not achieve the required majority at the meeting and was therefore not adopted. The meeting instead resolved, in accordance with the board of directors' secondary proposal, that the financial exposure relating to LTI 2025 may be hedged by Sinch entering into a share swap agreement with a third party on market terms, whereby the third party may in its own name acquire and transfer shares in Sinch to employees who participate in LTI 2025. Slot says Liverpool set to sign teenage Italian defender but won't comment on Guehi

LIVERPOOL, England (AP) — Liverpool manager Arne Slot confirmed on Thursday an agreement reached with Parma to sign teenage defender Giovanni Leoni. Slot, however, refused to discuss any potential deal for another center back — England international Marc Guehi — and said any comments would need to come from his club, Crystal Palace. The 18-year-old Leoni previously played for Padova and Sampdoria before impressing at Parma after joining in the offseason of 2024. He is an Italy Under-19 international. 'The clubs have agreed (on) a deal but he hasn't signed for us yet,' Slot said of Leoni, 'so the moment when he signs for us, I can go into more detail.' On a possible deal for Guehi, who has one year left on his contract at Palace, Slot was more circumspect. He didn't mention the player's name specifically but did say 'unfortunately he was the captain of the team who we lost against last Sunday' — referring to Liverpool losing to Palace in the Community Shield on Sunday. 'If you want to have any talks about him, you should go to Palace and (manager Oliver) Glasner and ask his opinion about it,' Slot said at a news conference ahead of the first match of Liverpool's Premier League title defense, at home to Bournemouth on Friday. ___ AP soccer: The Associated Press

Report: Coman travels for Al-Nassr medical, €30m fee rumoured

It is understood that Bayern Munich gave the final green light for Kingsley Coman to travel today, August 14, and join Al Nassr. Coman will leave Munich in the next hours as his move to Al Nassr is done, as transfer expert Fabrizio Romano reports. Meanwhile, Sport BILD journalist Michel Schröer believes the 29-year-old will fly to Hong Kong to link up with his new teammates. Although Romano reports a fee under €30million to be paid into Bayern's coffers, Sky Germany's figures differ. If Coman successfully passes his upcoming medical, Sky suggests the Bavarians will pocked €30million plus €5million in bonuses. It is believed a 3-year deal is awaiting Coman at the Saudi Pro League side, whose offensive line boasts the likes of Cristiano Ronaldo and Sadio Mané.
