ADJUSTMENT OF THE EXERCISE RATIO OF THE WARRANTS
Meudon (France), May 26, 2025 – Vallourec informs the holders of warrants ('BSA') (ISIN Code: FR00140030K7) that the exercise ratio (Parité d'Exercice)1 of the BSA will be adjusted from 1 ordinary share to 1.098 ordinary share per BSA as from the ex-dividend date, May 26th 2025, with respect to the fiscal year 2024. On that basis, the number of Vallourec shares resulting from the potential exercise of all the BSA would be equal to 33,315,886 shares.2
This adjustment, pursuant to the provisions of section 4.2.8.4. of the note d'opération (AMF visa n°21-093 of March 31, 2021), results from the dividend detached by Vallourec in respect of the fiscal year 2024.

Growth projections for the United States hotel industry have been revised downward for 2025 and 2026, according to an updated forecast by CoStar and Tourism Economics released at the NYU International Hospitality Investment Forum. The downgrade reflects underperformance in early 2025 and growing concerns around the broader economic outlook. The revised hotel industry forecast shows weaker anticipated growth across all key performance indicators. Demand is now expected to grow 0.6 percentage points less than previously projected in 2025, with a further 0.3-point reduction forecast for 2026. Average daily rate (ADR) growth is also set to slow, dropping 0.3 points in 2025 and 0.7 points the following year. Revenue per available room (RevPAR), a widely used metric for hotel performance, is forecast to rise at a reduced pace—down 0.8 points in 2025 and 0.6 points in 2026. While overall performance indicators remain positive, the pace of growth is slowing. Amanda Hite, president of STR (a division of CoStar), said demand is expected to remain subdued in the lower and mid-range hotel segments due to weaker consumer confidence. Booking windows have shortened, making it harder for hoteliers to plan ahead, and leisure travel growth is becoming more isolated across markets. Tourism Economics noted that economic headwinds are weighing on business and international travel recovery. Aran Ryan, director of industry studies at the group, cited pressures from rising prices, a softening labour market, and cautious business investment. Although the risk of a full recession has diminished, Ryan said the economy—and the travel industry with it—faces a delicate balancing act in the months ahead. The business travel sector has shown signs of gradual improvement, particularly among group and transient bookings in certain industries. However, recovery remains uneven and dependent on broader financial conditions. In addition to reduced projections for RevPAR and ADR, the forecast also includes a downgrade to the expected gross operating profit per available room (GOPPAR). The 2025 estimate has been lowered by $3, reflecting higher operating costs and less contribution from ancillary revenue streams. Hite said that while GOP is still growing, the increase is modest when adjusted for inflation. Rising departmental costs and limited margin expansion are expected to weigh on profit levels through at least 2026. The updated outlook points to ongoing challenges for the US hospitality sector as it navigates slower economic growth, shifting travel patterns, and tighter consumer budgets. Press Release VALLOUREC OBTAINS THE QUALIFICATION OF ITS HYDROGEN STORAGE SOLUTION AND LAUNCHES COMMERCIALIZATION Meudon (France), June 5, 2025 – Vallourec, a world leader in premium seamless tubular solutions, announces the official qualification of Delphy, its vertical gaseous hydrogen storage solution, by DNV. A world first, Delphy enables the storage of 1 to 100 tons of hydrogen under maximum safety conditions. Thanks to its minimal footprint, this vertical system - extending up to 100 meters underground - meets the challenge of complex and demanding industrial environments. It targets both green hydrogen producers and industrial players such as synthetic fuel producers (e-SAF, e-methanol), green ammonia producers, steelmakers, and refineries. The Delphy solution is the result of Vallourec's longstanding expertise and know-how and is based on proven technologies - tubes and connections - that have demonstrated excellent tightness and corrosion resistance. Launched in 2022, the project has involved around thirty researchers and experts, particularly in the areas of high-precision threading, heat treatment, and non-destructive testing. Since the inauguration of its demonstrator in December 2023, Vallourec has followed a rigorous process of development, testing, and validation of its hydrogen storage technology, culminating today in the qualification of Delphy. This qualification by recognized experts guarantees the solution's safety and reliability and marks a key milestone towards its commercialization. Vallourec has already signed two Memorandums of Understanding (MoUs): one with H2V, for green hydrogen production and utilization projects, and one with NextChem Tech, for green hydrogen and green ammonia projects. Around fifty projects - in France and internationally - are currently under discussion, representing potential revenue of approximately €2 billion. This qualification comes at a time when demand for storage infrastructure is expected to grow, to adapt to the intermittent and flexible nature of green hydrogen production. Demand for the Delphy storage solution will be fuelled by European regulations, which require storage solutions to pair with renewable electricity production, and by the French hydrogen strategy, which encourages green hydrogen producers to operate flexibly to contribute to power grid stability. At the NYU International Hospitality Investment Forum Monday, CoStar and Tourism Economics downgraded their 2025 and 2026 growth projections for U.S. hotel top-line performance metrics, including RevRAR, citing elevated macroeconomic concerns. The companies now forecast that U.S. hotel RevPAR and ADR will grow 1% and 1.3% year over year, respectively, in 2025, down from their previous January projections of 1.8% and 1.6% year-on-year growth. The companies also lowered their RevPAR and ADR growth guidance for 2026 and downgraded occupancy, supply and demand projections for both years as well. The downgrades come as economic uncertainty mounts following President Donald Trump's tariff announcements and other recent government actions. Aran Ryan, director of industry studies at Tourism Economics, said that the economy — and the travel sector — will 'walk on a tight rope' through the second half of this year. Though 'recession risks have eased,' according to Ryan, CoStar and TE downgraded their 2025 and 2026 growth projections for all measured top-line hotel performance metrics on the heels of underperformance in the first quarter of the year. In addition to lowering growth guidance on RevPAR and ADR, the companies now project that occupancy will sit at 62.8% in 2025, down from their January forecast of 63.1%. The companies forecast 0.8% and 0.5% year-over-year growth for supply and demand in 2025, respectively, down from their previous projections of 0.9% and 1.1% growth. The downgrades come amid 'consumers facing higher prices and a weaker labor market, businesses tapping the brakes on investment, and soft international visitor volumes,' Ryan said in a Monday statement. Hotel CEOs noted shifts in traveler demand and booking behavior during Q1 earnings calls, with several companies — including Marriott International, Hyatt Hotels, Choice Hotels International and Wyndham Hotels & Resorts — similarly downgrading 2025 RevPAR guidance, citing ongoing economic uncertainty. Recent Trump administration actions are slated to have a downward impact on corporate travel and international visitor spending as well, per recent reports from the Global Business Travel Association and the World Travel & Tourism Council. Until consumer confidence improves, 'demand is going to remain softer — especially in the middle and lower price tiers,' Amanda Hite, president of CoStar-owned STR, said in a Monday statement. 'Rate is pushing the top line in the group segment, and business transient should continue to recover in a lot of industries, but leisure gains are going to be more isolated,' she said. Hite also noted that booking windows have shortened, which 'adds to the challenges hoteliers will face in the coming quarters.' Onstage at NYU IHIF, Hite shared that bookings for July and August are down from last year. 'This is not something we're raising a big red flag about right now,' she said. 'This is more a highlight of that shortened booking window.' However, it isn't all bad news for hotels. 'The headlines make it seem like things are falling off the cliff,' Hite said Monday.
