United Homes Group Announces Leadership Changes and Review of Strategic Alternatives

COLUMBIA, S.C.--(BUSINESS WIRE)--United Homes Group, Inc. (the 'Company') (NASDAQ: UHG) today announced the appointment of John G. (Jack) Micenko, Jr., as Chief Executive Officer of the Company and Jeremy Pyle as co-Chief Operating Officer of the Company, and simultaneously therewith announced that its Board of Directors has appointed a special committee comprised solely of independent directors and initiated a review of strategic alternatives in order to explore ways to maximize shareholder value. The review will include a range of potential strategic alternatives, including a sale of the Company, a sale of assets, and a refinancing of existing indebtedness, among others. Mr. Micenko succeeds James M. (Jamie) Pirrello, who previously served as the Company's Interim Chief Executive Officer, and will continue to serve as a member of the Company's board of directors.

Mr. Micenko has more than 20 years of experience in equity and capital markets focusing on the residential real estate and mortgage finance sectors. Prior to joining the Company as President, Mr. Micenko was a Managing Director at BTIG LLC ('BTIG'), where he led the firm's Housing Ecosystem investment banking practice, identifying opportunities for corporate clients across all aspects of the residential housing industry. Before his tenure at BTIG, Mr. Micenko held similar roles at Susquehanna International Group, LLP, Lehman Brothers Holdings Inc., and Friedman Billings Ramsey Group ('FBR').
The Company is also announcing the appointment of Jeremy Pyle as co-Chief Operating Officer of the Company. Mr. Pyle was previously the Company's co-Executive Vice President of Construction Services, where he oversaw and directed all construction activities for the Company. Mr. Pyle has worked for Great Southern Homes in various construction roles since 2005. As co-Chief Operating Officer, Mr. Pyle will continue to focus on and lead homebuilding and construction operations throughout the Company. Shelton Twine, also a Chief Operating Officer of the Company, will continue as a co-COO along with Mr. Pyle.

The special committee of the board of directors has engaged Vestra Advisors as its financial advisor in connection with the review and has engaged Paul, Weiss, Rifkind, Wharton & Garrison LLP as its legal advisor. The Company has not set a deadline or definitive timetable for completion of the strategic alternatives review process, and there can be no assurance that this process will result in any transaction or particular outcome. Ross Stores Inc (NASDAQ:ROST) shares gained 2% in after-hours trade following the report. Ross Stores reported Q2 earnings per share of $1.56 on revenue of $5.53B, compared with estimates for $1.53 and $5.54B, respectively. The beat on the bottom line comes even as the company flagged an approximate $0.11 per share negative impact from tariff-related costs. This was, however, at the lower of end of the $0.11 to $0.16 per share cost impact from tariffs that the company in May. For Q3 and Q4, the company sees store sales growth of up 2% to 3%. If the second half of 2025 performs in line with these sales projections, the company forecast earnings per share for Q3 and Q4 of $1.31 to $1.37 and $1.74 to $1.81, respectively. For the 52 weeks ending Jan. 31, 2026, the company said it now sees earnings in the range of $6.08 to $6.21 per share. "We anticipate pricing across retail will move higher as we progress through the year, which will lead consumers to seek more value this Fall season," the company said. Workday beats estimates but CEO warns of challenges in education and government

Workday reported an earnings beat on Thursday, but issued guidance that was inline with estimates and warned of pressure in some areas. The shares slipped in extended trading. Here's how the company did relative to LSEG consensus: Revenue increased 13% from a year earlier in the fiscal second quarter, which ended on July 31, according to a statement. The company's net income rose to $228 million, or 84 cents per share, from $132 million, or 49 cents per share, in the same quarter last year. For the current quarter, Workday called for $2.24 billion in subscription revenue and $180 million in professional services, which implies $2.42 billion in total revenue. Analysts polled by LSEG had expected a total of $2.42 billion. The company sees an adjusted operating margin of 28.0%, just below the 28.1% consensus among analysts surveyed by StreetAccount. Workday, which provides software for finance and human resources departments, now sees $8.82 billion in subscription revenue for the full year, and $700 million in professional services revenue, implying a total of $9.52 billion. The LSEG consensus was $9.51 billion. The part of Workday that works with state and local governments faced challenges during the quarter, CEO Carl Eschenbach said on the earnings call. "I think we'll continue to see that as people are trying to figure out what the funding slowdown is going to look like, all the way to the state level," he said. Meanwhile, higher education in the U.S. is facing pressure from President Donald Trump, who signed an executive order in March to shut down the Department of Education. "If it's a higher ed university that includes a healthcare system, they too are getting a little pullback in funding," Eschenbach said. "So it's something we're keeping our eye on." Also on Thursday Workday said it's acquiring Paradox, a company with conversational artificial intelligence software for recruiting, for undisclosed terms. During the quarter, Workday announced AI agents for extracting accounting details from documents and reporting absent days. As of Thursday's market close, Workday shares were down about 12% this year, while the Nasdaq is up about 9%.
