SEBI pushes transparency bid, simplifies operational process of cash flow disclosure in corporate bond database; details

The Securites and Exchange Board of India (SEBI) has announced simplified operational processes for cash flow disclosure in the corporate bond database, PTI reported on May 18.
This was announced in SEBI's latest circular, and comes after the capital markets watchdog reviewed a Request for Quote (RFQ) Platform framework.
Aimed at streamlining and simplifying the process of trade execution on the RFQ platform, yield-to-price will now be based on scheduled due dates, without applying any adjustments based on day count conventions. SEBI has made yield-to-price calculation on the RFQ platform easier. Now, only the due dates — and not the actual payment dates — mentioned in the cash flow schedule will be used for these calculations.
At present, yields on debt securities are calculated using more complex methods that consider actual payment dates and required day count adjustments.
In addition to simplifying yield calculations, the markets regulator has introduced a requirement for mandatory cash flow disclosures in the centralised corporate bond database.
This will require issuers to provide a detailed cash flow schedule — covering interest, dividend, or redemption payments — at the time of ISIN activation and after the securities are listed.
Further, to maintain transparency and accuracy, this information is to be regularly updated in the database.
SEBI has also mandated that any changes to the cash flow schedule must be updated within one working day.
SEBI's new regulations will be applicable to to existing ISINs for their remaining maturity, and to all new debt security issues starting August 18, 2025.
RFQ, which was launched on BSE and NSE in February 2020, is an electronic platform that enables multi-lateral negotiations to take place on a centralised online trading platform with straight-through processing of clearing and settlement to complete the trade.
A wide variety of debt securities are available for trading on the RFQ platform.

NEW DELHI: HeidelbergCement India Ltd has reported a 4.75 per cent increase in net profit to Rs 50.45 crore in the March quarter of FY25. The company had reported a net profit of Rs 48.16 crore in the January-March quarter a year ago, HeidelbergCement India said in a regulatory filing on Wednesday. Its revenue from operations was 2.66 per cent to Rs 612.46 crore in the March quarter. It was at Rs 596.55 crore a year ago. The company recorded a rise in revenue, which was "primarily due to 2 per cent increase in sales volume and 1 per cent increase in prices", the company said in its earnings statement. Total expenses of HeidelbergCement India in the March quarter were at Rs 544.11 crore, up 1.75 per cent. Its total income was at Rs 623.67 crore in the March quarter, up 2.18 per cent. HeidelbergCement India is a subsidiary of Heidelberg Materials , a German multinational building materials company. For the financial year ended on Mar 31, 2025, HeidelbergCement's net profit was down 36.4 per cent to Rs 106.75 crore. Its consolidated income for the fiscal was also down 9.33 per cent to Rs 2,194.35 crore. HeidelbergCement's sales volume in FY25 was down 6.1 per cent to 4,515 kilo tonne. Shares of HeidelbergCement India Ltd on Thursday were trading at Rs 199.45 on the BSE, down 0.72 per cent from the previous close.

NEW DELHI: Asian Granito India (AGIL) has reported net consolidated profit after tax of ₹16.41 crore during the quarter ended March 31, 2025. It had registered loss after tax ₹5.41 crore it registered in the corresponding quarter of the previous fiscal, the company said in a BSE filing. The company's net consolidated total income stood at ₹478.49 crore in Q4 FY25, a growth of 11.78 per cent from ₹428.06 crore it recorded in the similar quarter last year. Kamlesh Patel , chairman and managing director of the company said, "Despite the current volatility in the market and economy, the company has closed Q4 and FY25 on a good note, achieving better operational and financial performance, indicating improvement. We are steadfast on our commitment to achieve total revenue of ₹6,000 crore in next 4-6 years." The board of directors considered and approved an investment by making subscription of 51% of total share capital of the proposed post which it will become subsidiary of the company. In Q4 FY25, net sales of the company was reported at ₹471.62 crore, exports was at ₹86 crore. Exports during FY25 were at ₹291 crore and comprised 19% of revenue. In Q3 FY25, AGIL had completed the conversion of all outstanding warrants into equity shares. In October 2024, the company allotted 77.82 lakh and 47.14 lakh equity shares, respectively, upon warrant conversion. Subsequently, in November 2024, an additional 78.03 lakh shares were issued at ₹48.15 per share (including a ₹38.15 premium), raising ₹28.18 crore from promoter group investors. These conversions increased company's issued, subscribed, and paid-up equity share capital to ₹147.04 crore, comprising 14.70 crore fully paid-up shares of ₹10 each. As a result, the promoter group's holding rose from 29.02% in September 2024 to 33.52% as on March 2025.

NEW DELHI: Puravankara has reported net consolidated loss after tax of ₹88 crore during the quarter ended March 31, 2025. It had registered loss after tax ₹6.71 crore it registered in the corresponding quarter of the previous fiscal, the company said in a BSE filing. The company's net consolidated total income stood at ₹563.70 crore in Q4 FY25, a dip of 40.47 per cent from ₹946.84 crore it recorded in the similar quarter last year. Ashish Puravankara , managing director of the company said, "FY25 saw record sustenance sales, and our western India investments are now poised to come to market. We are also actively pursuing several major redevelopment projects. With over 13.5 million sq. ft. in the pipeline group-wide, and key approvals in place, we are optimistic about delivering long-term value to all stakeholders." During the quarter ended March 31, 2025, the company had acquired an additional stake of 39.54% in an existing associate entity - Sobha Puravankara Aviation (SPAPL) from another shareholders for a consideration of ₹0.04 crore. Pursuant to the said acquisition, the company holds 89.49% shareholding and SPAPL has become a subsidiary of the company. In Q4 FY25, pre-sales stood at ₹1,282 crore, sales volume of 1.42 million sq ft and collections of ₹946 crore. During the quarter ended March 31, 2025, a wholly-owned subsidiary of the company had acquired 51% voting right and control thereon in NBD Office Parks LLP for a consideration of ₹2.96 crore thereby NBD Office Parks LLP has become a subsidiary of the Group. For FY25, the company achieved robust pre-sales of ₹5,006 crore, with a sales volume of 5.67 million sq ft and a 10% year-on-year increase in sales realisation to ₹8,830 per sq ft. Collections for the year stood at ₹3,937 crore, reflecting a 9% growth over the previous year. Total revenue came in at ₹2,093 crore, while operating cash inflows grew by 10% year-on-year to ₹4,342 crore. During the quarter ended March 31, 2025, PURVACOM, a partnership entity in which the company held 99.99% stake has been dissolved. The company has announced a joint venture with KVN Property Holdings LLP to develop a 24.59-acre land parcel in North Bengaluru 's KIADB Hardware Park. The project has an estimated gross development value (GDV) of over ₹3,300 crore and a saleable area of 3.48 million sq ft. During FY25, the company expanded its presence in Western India by acquiring four projects, including redevelopment projects, across Lokhandwala, Pali Hill, Breach Candy, and Thane having a combined GDV potential of over ₹9,500 crore. The company hopes to derive 40% of future revenues from Mumbai and Pune. In March 2025, the company launched Purva Panorama project in Thane, with a total development potential of three million sq ft and an estimated GDV of ₹4,000 crore. Puravankara's net debt stood at ₹2,949 crore, and the net debt-to-equity ratio stood at 1.70 as on March 31, 2025. The weighted average cost of debt stood at 11.85% as on March 31, 2025.
