Cape EMS tumbles to record low on auditor resignation

KUALA LUMPUR: Shares of Cape EMS Bhd tumbled 17.02 per cent to a morning low of 19.5 sen in active trades, after the group announced the resignation of its external auditors, Grant Thornton Malaysia PLT, due to resource constraints.
The stock opened 2.13 per cent lower at 23 sen from yesterday's close of 23.5 sen before slipping further to 20.5 sen, down 12.77 per cent, by 10.23am.
This marks a fresh record low since the company made its Main Market debut on March 10, 2023. The previous low was 21.5 sen, logged on April 9 this year.
At the time of writing, a total of 20.95 million shares had changed hands, the counter's busiest trading day in nearly three months. The stock's highest single-day volume this year was 57.96 million shares on March 3.
Year-to-date, Cape EMS shares have fallen nearly 49 per cent from 38 sen, extending a broader downtrend following a strong debut last year.
The counter had surged 67 per cent on its first day of trading in March 2023, closing at RM1.50 against its initial public offering price of 90 sen.
Cape EMS, an electronics manufacturing services provider, said yesterday that its external auditor had tendered its resignation via a written notice dated May 28.
The resignation, citing resource constraints, takes effect on June 18 under Section 281(2) of the Companies Act 2016.
The company said it will appoint a new audit firm and announce the replacement in due course. It also confirmed there were no other matters requiring shareholder attention.
In March, Cape EMS saw the emergence of a new single-largest shareholder, Chung Chee Yang, who acquired an 11.14 per cent stake via open market purchases. Chung is also a substantial shareholder in Cypark Resources Bhd.
Earlier in February, the group outlined plans to expand into the renewable energy sector to diversify earnings and support Malaysia's transition to a greener economy.

"With respect to the securities of the company which are currently deposited with Bursa Malaysia Depository Sdn Bhd (Bursa Depository), the securities will be withdrawn from Bursa Depository by the Company upon the de-listing of the securities from the Official List of Bursa Securities. "The company will continue to update and maintain the shareholders' information in their Register," said the stock exchange in an announcement today. Bursa Malaysia said the company will be delisted pursuant to paragraph 8.04 of the Main Listing Requirements. It added that the company will continue to exist as an unlisted entity, and will be able to continue its operations and business and proceed with its corporate restructuring. "Its shareholders can still be rewarded by the company' performance," it said. However, the shareholders will be holding shares that are no longer quoted and traded on Bursa Malaysia. The interests and rights of the shareholders will remain safeguarded under the Companies Act 2016. Trading in Annum's shares has been suspended since May 28, 2025. At its last close on May 27, 2025, the share was traded at 0.5 sen a unit. The company, formerly known as Cymao Holdings Bhd, was required to submit a regularisation plan after being classified as a Practice Note 17 company on May 8, 2024, following a disclaimer of opinion issued by Messrs SBY Partners PLT for the period ended June 30, 2023. Subsequently on April 30, 2025, auditors Messrs LTTH PLT also expressed a disclaimer of opinion on the financial statements of the group as it had not been able to obtain sufficient appropriate audit evidence to provide a basis for an audit opinion.

PRACTICE Note 17 (PN17) company Annum Bhd will be delisted from the Official List of Bursa Malaysia Securities Bhd on Aug 12, 2025, after the regulator dismissed its appeal for more time to submit a regularisation plan. In a letter dated Aug 7, Bursa Securities informed the company of its decision to reject Annum's application for a six-month extension to submit the plan and proceed with the delisting pursuant to Paragraph 8.04 of the Main Market Listing Requirements. Following the delisting, the company's securities, currently deposited with Bursa Malaysia Depository Sdn Bhd, will be withdrawn by Annum, and the company will continue to maintain the shareholders' information in its register. While shareholders will hold shares that are no longer quoted or traded on Bursa, their rights remain protected under the Companies Act 2016. — TMR

Carzo faces RM6mil in default judgments from Maybank Islamic

KUALA LUMPUR: Carzo Holdings Bhd has been hit with two default judgments totalling nearly RM6 million, after Maybank Islamic Bhd initiated legal proceedings against its subsidiaries over unpaid banking facilities. In a filing with Bursa Malaysia, the group said Carzo Sdn Bhd (CZSB) and Carzo Import Sdn Bhd as well as two Carzo directors as corporate guarantor, were served with Judgments in Default dated June 9, 2025. The notices, served on Aug 4, also include statutory demands under Section 466(1)(a) of the Companies Act 2016, a prelude to potential winding-up petitions. For CZSB, the default judgment requires payment of RM759,346.63 as at Nov 30, 2024, plus additional profit charges at 2.5 per cent above the bank's base financing rate, and late payment charges dating back to December 2024. A separate amount of RM2.8 million is also claimed, subject to further charges under the Islamic Interbank Money Market rate, along with RM5,000 in legal costs. For Carzo Import, the total claim includes RM364,164.81 and RM2 million, both as at Oct 31, 2024, in addition to late payment charges and RM5,000 in legal costs. The judgments name Datuk Seri Delon Lee Kean Yip and Cheong Wai Keh as personal guarantors for both subsidiaries, while Carzo listed as the corporate guarantor. Despite the scale of the claims, the board of directors said there will be "no additional financial impact" from the judgments, nor any disruption to operations. "The board also wishes to inform that there will be no operational impact arising from the default judgments as the group had ceased its core business for the distribution of fresh fruits and fruit products for the time being since November 2024," it said. CZSB and Carzo Import were previously involved in the trading, wholesale and processing of fruits, vegetables and related food products. Carzo said it has sought legal advice on the matter and will make further announcements on any material developments in due course.
