I opposed rights issue to develop Sapura Permata tower, Shahriman tells court

Shahriman Shamsuddin wants the High Court to wind up Sapura Holdings Sdn Bhd, citing a breakdown of mutual trust and confidence with elder brother Shahril. KUALA LUMPUR : Sapura Holdings Sdn Bhd director Shahriman Shamsuddin told the High Court today he took no action to implement a rights issue aimed at funding the Sapura Permata tower because he opposed the move. Cross-examined by S Rabindra, representing elder brother Shahril, Shahriman admitted not taking any steps despite a decision by the Sapura Resources Bhd (SRB) board to proceed with the exercise on Sept 29, 2022. Shahriman was SRB's managing director at the time. Rabindra: Do you agree that the minutes of meetings (held between September 2022 and March 2023) do not reflect or capture any initiative or statement from you to ensure the rights issue was carried out? Shahriman: I was against the rights issue. Rabindra: So you were against the rights issue, therefore you didn't say anything about getting it done? Shahriman: Correct. In his petition, Shahriman said that on March 16, 2023, Shahril, acting on behalf of Sapura Holdings, had informed SRB that the company's RM100 million financial assistance offer, outlined in a term sheet dated Feb 28, 2023, had lapsed after it was not taken up. As a result, SRB was required to immediately repay a previous advance of RM40 million, made on Sept 29, 2022, along with interest and associated costs. In the petition, Shahriman accused Shahril of using the RM100 million loan to pressure SRB into carrying out the rights issue. In court, Shahriman disagreed when Rabindra suggested that Shahril was acting on behalf of the Sapura Group, and not in a personal capacity. Rabindra: Indera Permai Sdn Bhd (which advanced the funds) and the Sapura Group were entitled to protect themselves by insisting that SRB carry out what it had promised to do, or else repay their obligation in financial terms. Do you agree? Shahriman: Disagree. Rabindra: I put it to you that in the totality of the circumstances, Sapura Holdings, Indera Permai and the Sapura Group were purely, simply and plainly protecting their own position. Do you agree with this statement? Shahriman: Disagree. Shahriman is seeking to wind up Sapura Holdings, the parent entity of over 40 subsidiaries valued at RM832 million, including the publicly listed SRB. Both Shahril and Shahriman hold a 48% stake each in Sapura Holdings, with the remaining 4% owned by Rameli Musa, who is also named as a respondent. In the petition filed last September, Shahriman claims that an irreparable breakdown of mutual trust and confidence between him and Shahril necessitated the dissolution of Sapura Holdings. However, Sapura Holdings, Shahril and Rameli are opposing the petition, contending that the company was never intended to be a family business and that dissolution would be neither just nor equitable. The hearing before Justice Leong Wai Hong continues.

Multinational corporation comes to aid of Bangladeshi workers

International Rights Advocates said the case involving the Bangladeshi workers is a powerful reminder that change is possible when corporations genuinely embrace accountability and collaboration. PETALING JAYA : A Japanese multinational corporation has stepped forward to provide monetary aid to 283 Bangladeshi workers who had reportedly gone without pay for seven months last year, an international human rights group said. Sony took 'meaningful and proactive steps to assist the workers, including providing much-needed financial assistance', International Rights Advocates (IRAdvocates) said. However, it did not disclose the amount. 'IRAdvocates applauds Sony for taking a constructive approach towards this situation and is grateful to Sony for its cooperation,' the group's founder and executive director, Terrence Collingsworth, said in a statement. Collingsworth said that when issues concerning the migrant workers first surfaced, IRAdvocates raised the matter with their previous employer, Kawaguchi Manufacturing Sdn Bhd, and certain manufacturers who were Kawaguchi's downstream customers. One such manufacturer was Sony, he said. To its credit, Sony raised its concerns with Kawaguchi and requested that the company promptly implement corrective measures after the allegations emerged, he said. He said Sony also stopped doing business with Kawaguchi. Collingsworth said the Kawaguchi case is a powerful reminder that change is possible when corporations genuinely embrace accountability and collaboration. 'IRAdvocates applaud Sony's constructive action, highlighting a path forward where companies uphold human rights sincerely, beyond mere words and empty promises,' he said. On Dec 18, it was reported that Kawaguchi had agreed to pay its foreign employees their overdue salaries, with the Putrajaya labour office agreeing to arrange for them to be employed by other companies. The company reached the decision five days after the workers held a peaceful protest outside the factory in Port Klang to demand the salaries owed to them. Separately, migrant labour rights activist Andy Hall, who referred the case to Collingsworth late last year, said Sony should be applauded for emulating Daikin Industries Ltd. In December, it was reported that Daikin, the world's largest air-conditioner manufacturer, contributed US$12,000 in emergency food and medical aid to the affected foreign workers. It also provided an additional amount of financial aid to each worker. 'The money Sony has provided is significant and will provide yet more respite for these victims of modern slavery, who remain in severe situations of debt bondage,' Hall told FMT.

Global oil prices surging from supply shock, says Petronas CEO

Petronas president and group CEO Tengku Muhammad Taufik Aziz said investment and spending across both conventional and renewable energy systems will continue to be needed. (Bernama pic) KUALA LUMPUR : Global oil prices are surging in anticipation of a supply shock due to the escalating conflict around the Strait of Hormuz, according to Petronas. The Brent crude oil price rose 0.97% to US$74.95 per barrel today. Petronas president and group CEO Tengku Muhammad Taufik Aziz described the price rally as one of the most intense since the 2022 energy crisis. 'This is unfolding at a time when the world is still reeling from the spectre of reciprocal tariffs. 'Though we cannot yet precisely measure the true impact of all these events, the global energy system, which is already strained from the natural progression of our civilisation, is indeed at great risk,' he said in his welcoming speech at Energy Asia 2025 here today. On Asia's path to net-zero carbon emissions, Tengku Taufik said achieving the goal will require US$88.7 trillion (US$1 = RM4.24) in energy investments by 2050. He stressed that investment and spending across both conventional and renewable energy systems will continue to be required. 'As energy is the lifeblood of economies, investments will be critical to ensure energy availability and affordability,' he said. 'Governments, financial institutions and industries must work together to implement policies and frameworks that help unlock capital for energy projects, especially in emerging and developing economies where it is most needed'. Tengku Taufik said the world stands at the threshold of the fifth industrial revolution, as artificial intelligence (AI) is rapidly becoming an indispensable foundational technology across sectors. He noted that electricity demand from data centres would reach 945 terawatt hours (TWh) globally by 2030, more than double the 415 TWh in 2024 and accounting for over 20% of total demand growth in the period. 'Entire energy systems at our disposal are now working to serve this surge in demand. This is even as we still adapt to significant retracing of environmental, social, and governance policies, which threaten to dismantle the net-zero ambitions that the world has worked towards since the Paris Agreement. 'These seismic shifts of global conflicts, technological revelations and climate change have manifested in what Petronas describes as a 'polycrisis', which sets the tone and context for our gathering today,' he said. Energy Asia 2025 will feature more than 180 international speakers through strategic dialogues spanning seven sub-themes. The conference will examine the collaborative efforts across Asian nations that can enhance energy security, promote the adoption of renewable energy, deploy decarbonisation solutions, facilitate technology transfer, and catalyse economic and socio-economic development.
