Capital Southwest Announces Receipt of Second SBIC License
By GlobeNewswire Published on April 22, 2025, 01:01 IST
DALLAS, April 21, 2025 (GLOBE NEWSWIRE) — Capital Southwest Corporation ('Capital Southwest') (Nasdaq: CSWC), an internally managed business development company focused on providing flexible financing solutions to support the acquisition and growth of middle market businesses, today announced its wholly owned subsidiary, Capital Southwest SBIC II, LP ('SBIC II'), has received a license from the U.S. Small Business Administration ('SBA') to operate as a Small Business Investment Company ('SBIC').
As an SBIC, SBIC II will be subject to a variety of regulations and oversight by the SBA concerning, among other things, the size and nature of the companies in which it may invest as well as the structure of those investments. The SBIC license will allow SBIC II to obtain leverage by issuing SBA-guaranteed debentures, subject to the issuance of a leverage commitment by the SBA. SBA debentures are loans issued to an SBIC which have interest payable semi-annually and a ten-year maturity. The interest rate is fixed shortly after issuance at a market-driven spread over U.S. Treasury Notes with ten-year maturities. Current SBA regulations permit SBIC II to borrow up to $175 million in SBA-guaranteed debentures, bringing Capital Southwest's aggregate borrowing capacity through the SBIC program to a total of up to $350 million of capital.
The SBA program has played a pivotal role within Capital Southwest's lower middle market investment strategy since receiving its first SBIC license in April 2021. Capital Southwest received exemptive relief from the Securities and Exchange Commission that allows for the exclusion of SBA-guaranteed debentures from the definition of senior securities in the asset coverage requirement applicable to the Company.

Tesla shareholders face staggering new hurdle after company enacts controversial policy: 'A formidable barrier'
Tesla raised the bar for shareholders to sue the company board or executives for breach of fiduciary duties. The change took effect May 15 and requires an investor or group of investors to hold 3% of the electric vehicle maker's stock "to institute or maintain a derivative proceeding," CNBC reported. Tesla's market cap is $1.123 trillion, so a plaintiff would have to own shares worth $33.7 billion. "Obviously, for a company of Tesla's size, that would be a formidable barrier to anyone bringing a lawsuit for breach of fiduciary duty," Tulane Law School's Ann Lipton told CNBC in an email. The change was enabled by a Texas law that "allows corporations to limit shareholder lawsuits against insiders for breach of fiduciary duty," the outlet added. With shareholder approval, Tesla moved its incorporation site from Delaware to the Lone Star State in June 2024. An investor who owned nine shares of Tesla stock sued the company in 2018, and CEO Elon Musk's $56 billion compensation package was revoked in January 2024. Musk is by far the richest person on the planet, and his wealth makes him nearly untouchable. He helped to pioneer the EV movement by becoming an early investor in Tesla in 2003, and the company has been known for innovative technology and industry-leading breakthroughs. Recently, however, the South African has drawn criticism for straying into American and European politics, including spending lavishly on the U.S. presidential election campaign of Donald Trump, leading government spending cuts as the head of the U.S. Department of Government Efficiency, and supporting the far-right Alternative for Germany party. Activists have protested these actions, and Tesla charging stations, vehicles, and dealerships have been vandalized. Sales have plummeted, and Tesla stock spiraled downward, too, though it has regained much of its value. This upheaval and the larger perception change of Musk from groundbreaker to villain could stifle the uptake of EVs, which is one of the many things necessary to slow the rapid rise of global temperatures caused by the burning of fossil fuels for energy. It would take a massive coalition of shareholders to fight back against this move by Tesla, though companies are generally amenable to public pressure — especially when it comes to consumers' spending power. Tesla, for example, is shifting its focus from EV manufacturing to a robotaxi service and robotics to stabilize its future. Musk has a history of not delivering on outlandish promises, but it has not significantly slowed the company or deterred its supporters. What do you think of Tesla and Elon Musk? Exclusive: Logistics safety startup Voxel raises $44M Series B
Logistics safety startup Voxel closed a $44 million Series B led by NewRoad Capital Partners, CEO Vernon O'Donnell tells Axios Pro exclusively. Why it matters: It gives San Franscisco-based Voxel three years of runway to reach breakeven or accelerate growth and raise again, its CEO says. How it works: The software integrates into existing security cameras, using AI to identify in real time — and increasingly predict — workplace hazards. Such scenarios include shelf integrity, forklift operation, employee movements or aisle spills that could present safety concerns. While worker safety is the core business case, the software's capabilities extend to productivity and efficiency, O'Donnell says. State of play: Nearly 3 million people die in workplace incidents each year globally, according to the International Labour Organization. Worker compensation, increased insurance premiums and a toll on morale stem from such incidents, hitting companies' annual bottom lines. Zoom in: Voxel counts 14 Fortune 500 customers, six of which have signed contracts in the last 120 days, the CEO says. One Fortune 50 customer changed the entire loading and unloading process for a more than 1 million-square-foot distribution center based on Voxel's recommendations, he says. Adopters across various sectors include Albertsons, Dick's Sporting Goods, Americold, AGI, the Port of Virginia and Berry Global. What they're saying: "We're seeing ... a hard ROI: reduction in worker's comp claims, reduction in OSHA fines, reduction in lost days," O'Donnell says. "Their speed of using AI to then be able to classify, 'is this an unsafe act or not?' and then alert leadership to take action — that's what really sold us," said Chris Sultemeier, NewRoad Capital Partners operating partner and former Walmart EVP of logistics. Friction point: Union workers have sometimes objected to video monitoring they consider invasive.
