Pop Sondrio says BPER bid not agreed as Italy M&A frenzy prompts Unipol to hasten tie-up

MILAN, Feb 7 (Reuters) - BPER's (EMII.MI), opens new tab bid for Banca Popolare di Sondrio (BPSI.MI), opens new tab was not previously agreed, a person close to the Italian bank said on Friday, after it became the latest takeover target in a series of bids rocking the industry.
BPER, Italy's fourth-largest bank, unveiled the 4.3 billion euro ($4.5 billion) all-share buyout offer for smaller peer Popolare di Sondrio late on Thursday.
A tie-up would bring together two banks whose main shareholder is Unipol , Italy's second-largest insurer which has a near 20% equity stake in each lender.
The Pop Sondrio source said its board would meet in the coming days to make an initial assessment of BPER's offer.
Unipol Chief Executive Carlo Cimbri has bet on commercial accords with banks to sell the insurer's products, buying stakes to secure the partnerships, and backing the expansion of BPER's branch footprint.
He is now moving to defend Unipol's distribution network, given the sector's shake-up, one person with direct knowledge of his thinking said, speaking on condition of anonymity.
BPER said that given the shareholding structure, the bid would give it control with as little as 35% of Pop Sondrio plus one share.
BPER, based in the town of Modena famous for its automakers, including Ferrari, and its cured meat products as well as balsamic vinegar, jumped in size in 2020 by buying 600 branches in the Intesa Sanpaolo-UBI merger. It then swallowed up troubled Genoa-based rival Carige.
BPER is offering 29 new shares for every 20 shares of BPSO shares tendered, a premium of 7.8% based on Thursday's closing prices, according to Reuters calculation.
The latest unsolicited bid in Italian banking follows similar moves by UniCredit (CRDI.MI), opens new tab on Banco BPM (BAMI.MI), opens new tab and state-backed Monte dei Paschi di Siena (MPS) (BMPS.MI), opens new tab on Mediobanca (MDBI.MI), opens new tab.
Unsolicited bids are historically rare in global banking, making Italy the exception.
The chain reaction was set in motion by Italy selling a stake in bailed-out MPS in November, which brought onboard as shareholders Banco BPM and two Italian investors with large stakes in Mediobanca and insurer Generali (GASI.MI), opens new tab.
The prospect of an eventual tie-up between Banco BPM and MPS prompted UniCredit's swoop on BPM. That left MPS, which has always been seen as in need of a partner and had been looking at BPM, with no option but to bid for Mediobanca.
Unipol's Cimbri had offered to strike an insurance deal with MPS and take a stake in the Tuscan lender, but Italy's conservative government did not follow up on an offer that came from a camp traditionally close to left-wing political forces.

Conversations with Lewis-Skelly began prior to Berta's arrival while one of the Italian's first acts as Arsenal sporting director was to approach the representatives of Nwaneri to propose formal contract discussions, which are advancing. Negotiations also remain ongoing with both Thomas Partey, who is currently set to become a free agent at the end of the month, and winger Leandro Trossard. Arsenal made Partey what they considered to be a competitive offer around 10 days ago but at this moment in time, there is still no agreement between the parties and the situation remains open. The Ghanaian midfielder, who turns 32 next Friday and has also attracted interest from Barcelona, wants to stay with the Gunners and is understood to be settled in north London. ‌ However, Partey is said to be cautious that his next contract could potentially represent his last big deal and his agents want to see his importance to the team reflected within the terms proposed. All parties want to find a quick resolution as Partey and his agent Jose Daniel Jimenez Pozanco, who has been handling talks with Arsenal, are currently scheduled to be in Ghana from June 10 to June 13 for the second edition of the 'Thomas Partey tournament' where scouts from Europe will cast an eye over young local talent. Additionally, Partey is due to appear at the All Star Festival in Accra, Ghana on June 18. Meanwhile, Trossard remains in line to extend his stay with Arsenal having joined the club from Brighton in January 2023. He was the subject of a verbal offer from Saudi Pro League side Al-Ittihad last September and sources close to Trossard have confirmed there is still interest from the Middle East but to date, there have been no concrete offers this summer and the 30-year-old Belgian's priority is to continue with the Gunners. The Tripoli Chamber of Commerce held virtual meetings yesterday devoted to Libya obtaining ISO certificates to allow the export of marine products directly to the European Union. ‎Tripoli Chamber said this comes within the framework of its efforts exerted to support the export of marine products to global markets. The virtual meetings were led for the Chamber by its Chairman Anwar Abu Sitta, with the Italian interlocutor of the WestMed Blue Economy Initiative of the European Union and the 5+5 Group, Leonardo Manzari, where the meeting focused on marine activities, fisheries and marine economy. The meeting also included Masouda Abu Arousha, the national interlocutor of WestMed Organization of the European Union, and in the presence of Ali Al-Shaqrouni, Chairman of the Libyan Maritime Bloc, and Zakaria Franca, Advisor to the Libyan Italian Chamber of Commerce. ‎The meeting was devoted to how Libya obtains ISO certificates, issued by the European Union, to allow the export of marine products directly to the European Union countries and also on the extent of the participation of Libyan companies in the projects proposed by the European Union for human development and training, and how to support small and medium enterprises for entrepreneurs specialized in this sector. Communication with concerned government agencies to be intensified The meeting agreed to intensify communication with the concerned government agencies to facilitate the process of implementing international standards to complete the conditions required by the European Union to obtain the ISO certificate that allows the export of Libyan products to Europe. This would open the way for local exporters to export to the EU directly by legal means, which contributes to raising the value and development of this vital sector to diversify the level of national income. It was noted that ISO is an international certificate of standardization that sets global standards for various industries and sectors. ISO certifications include quality, safety, efficiency, and environmental standards. Upon obtaining ISO certification, it is recognized that an individual or organization adheres to specific standards that ensure the quality of work and services.‎

Brand Scotland – UK Government signs agreement with Scottish Chambers of Commerce

A Brand Scotland overseas trade missions initiative was signed on Friday by the Scotland Office and Scottish Chambers of Commerce (SCC) in a partnership agreement. This collaboration will be supported by UK Government funding of up to £100,000 for 2025/26 which will help to promote Scottish trade and is aimed at attracting foreign direct investment into Scotland. Brand Scotland is part of the UK Government's Plan for Change boosting economic growth by promoting Scottish products and services while attracting international inward investment. The initiative will include a series of trade missions all designed to showcase Scottish businesses across the globe. Ian Murray and Liz Cameron signed the agreement at the UK Government's Queen Elizabeth HQ in Edinburgh. Scottish Secretary Ian Murray said: 'This agreement will help give Scotland a global platform to sell everything our brilliant country has to offer – from whisky and seafood to our world class services. 'The trio of trade deals secured by the Prime Minister in recent weeks is a huge opportunity for Scotland's economy – with the most populous country in the world, the richest country in the world and our most important market.
