(" Company").
Riot announces that on June 9, 2025 it sold 1,748,200 common shares (the " Sold Shares") of the Company representing approximately 0.31% of the issued and outstanding Common Shares (the " Common Shares") of the Company (based on the information contained in the Company's management information circular filed on June 9, 2025 (the " Company's Circular").
The Sold Shares were sold through normal course sales on the Nasdaq Stock Market and other open market trades for a weighted average price of approximately US$0.90 per Sold Share (equivalent to approximately C$1.23 per Sold Share based on the daily exchange rate posted by the Bank of Canada on June 9, 2025 (the " Exchange Rate")) at a price range per Sold Share of approximately US$0.88 to US$0.92 (equivalent to approximately C$1.21 to C$1.26 based on the Exchange Rate) for an aggregate amount equal to US$1,576,351.94 (equivalent to approximately C$2,157,079.99 based on the Exchange Rate).
Immediately prior to the sales of Common Shares giving rise to the issuance of this press release, Riot beneficially owned 81,249,679 Common Shares, representing approximately 14.61% of the issued and outstanding Common Shares (based on the information contained in the Company's Circular). Following completion of the aforementioned sales, Riot beneficially owned 79,501,479 Common Shares, representing approximately 14.30% of the issued and outstanding Common Shares as at the date hereof (based on the information contained in the Company's Circular).

The decline in revenue was due to expected declines in legacy products and related support and maintenance revenue. Vantage DX contributed $2.55M in revenue in FY25, a 6% increase compared to FY24. Management continues to execute a strategy to reduce hosting costs. Monthly recurring revenue ("MRR") decreased by 13% to $1.09M in Q4 FY25 compared to $1.25M in the prior year. The decrease is primarily attributable to expected declines in sunsetting legacy product renewal revenue and changes in the mix of users subscribed to certain Mitel offerings. Operating expenses decreased by 7% to $4.25M in Q4 FY25 and by 4% to $16.67M in FY25, compared to $4.57M in Q4 FY24, and $17.43M in FY24. The decrease is attributed to higher government grants and lower headcount costs, partially offset by an increase in marketing spend, professional fees and software subscriptions. The Company continues to invest in Vantage DX revenue growth as management monitors value for spend in all functions of the value chain. Loss from operations was $1.34M in Q4 FY25 and $4.14M in FY25, compared to $1.24M and $3.60M, respectively. The increase in loss from operations is attributable to the decrease in revenue as described above, partially offset by lower operating expenses. Adjusted EBITDA (a non-IFRS measure) was a loss of $0.82M in Q4 FY25 and $2.02M in FY25 compared to $0.79M in Q4 FY24 and $1.49M in FY24, attributable to the items described above. Equities trading in Canada's largest centre continued the winning theme of the week on Wednesday thanks to growth among consumer discretionary shares while investors watch the latest developments from US-China trade talks. Late Tuesday, US and Chinese officials concluded two days of trade talks in London by committing to revive a deal reached last month in Geneva and to lift China's export restrictions on rare earth elements — a key obstacle in the previous agreement. American traders were pleased with lighter inflation data from the consumer price index and the core CPI, which both rose 0.1 per cent in May from April, less than expected. The Canadian dollar traded for 73.14 cents US compared to 73.04 cents US on Tuesday. US crude futures traded US$2.91 higher at US$67.89 a barrel, and the Brent contract rose US$2.66 to US$69.53 a barrel. The price of gold was down US$25.35 to US$3,348.16. In world markets, the Nikkei was up 209.68 points to ¥38,421.19, the Hang Seng was up 204.07 points to HK$24,366.94 the FTSE was up 11.27 points to ₤8,864.35, but the DAX was down 38.66 points to €23,948.90.
