SC right in withdrawing own order on Bhushan Steel. But GOI must finetune aspects of insolvency law
SC's recall of its order from May that reversed JSW Steel's $2.3bn acquisition of the bankrupt Bhushan Power & Steel Ltd in 2021, is wholly welcome. The May order had considered two technical grounds: one, the eight-year timeline and two, fact that JSW completed the takeover with a mix of equity and optionally convertible debentures, when it should have used equity alone. SC had also found adjudicatory bodies NCLT and NCLAT lacked jurisdiction and set aside their approvals – IBC's Section 32A that says that on approval of a plan, new investors would not inherit criminal liabilities of previous promoters & directors was a key sticking point. But SC's position was that such immunity could not override statutes like PMLA. SC's focus was entirely on statutory compliance of the takeover process.
As TOI and our columnists wrote, SC's reversing the revival of a mismanaged corporate entity was a big blow to India's insolvency framework. Not only would it hurt JSW lenders and workers, but it would also affect investor sentiment and prospects of finding buyers for other insolvent companies. Investors would run scared. On Thursday, SC said the May order had not correctly considered precedents. IBC, introduced in 2016, is one of India's most significant reforms – enacted to revive distressed assets, protect employment and maximise stakeholder value. SC reversing its own order is an opportunity to also finetune jurisdictions and boundaries. As the case proceeds, GOI should also explore legislative or institutional redress for a clarity of roles for NCLT and NCLAT, especially in light of SC's questions on application of Section 32A. Finality of insolvency proceedings is IBC's fundamental base.

Bhubaneswar: In a landmark move towards fostering inclusive development and enhancing last-mile service delivery, the 4th Adi Karmayogi Regional Process Lab (RPL) was inaugurated on Friday in Bhubaneswar. This week-long initiative, part of the Dharti Aaba Janjatiya Gram Utkarsh Abhiyan (DAJGUA), is designed to empower frontline tribal functionaries with essential tools and knowledge to promote responsive, people-centric governance. The inauguration ceremony was led by Nityananda Gond, minister of SC/ST development, minorities and backward class welfare department. The programme, facilitated by Bharat Rural Livelihoods Foundation (BRLF), brings together 25 selected participants from Jharkhand, Bihar and Odisha. It is part of the Adi Karmayogi – Responsive Governance Programme, a pioneering initiative by the ministry of tribal affairs aimed at building the capacity of tribal frontline workers and govt functionaries across various administrative levels. Key objectives of the programme include enhancing effective implementation of welfare schemes, promoting convergence across departments such as health, education, women & child development, rural development, Jal Shakti and forests, encouraging participatory learning and community engagement, and establishing transparent and accountable governance mechanisms. "The Regional Process Lab (RPL) in Odisha is a crucial component of a cascading model of capacity building. Trained State Master Trainers (SMTs) will spearhead state and district process labs, ensuring the dissemination of contextual and localised knowledge. This initiative marks a significant stride in empowering tribal communities and ensuring that governance is both inclusive and effective, ultimately contributing to the holistic development of the region," a govt statement read.

ED launches PMLA probe into Axis MF front-running case, raids across cities

The Enforcement Directorate on Friday said it conducted searches in multiple cities after registering a money laundering case to probe an instance of front-running in scrips traded by Axis Mutual Fund during 2018-2021, official sources said. Front-running refers to an unethical and illegal practice in the securities market where brokers or traders execute orders for their own benefit using advance knowledge of pending client orders. This malpractice compromises market integrity and disadvantages other investors. The probe involves the role of Viresh Joshi, a former chief trader and fund manager of Axis Mutual Fund. The ED has been investigating this instance under the civil provisions of the Foreign Exchange Management Act (FEMA) since the Income Tax department conducted searches in this case in 2022. The ED searches under the Prevention of Money Laundering Act (PMLA) were conducted in Delhi, Ahmedabad, Bhavnagar, Bhuj, Gurugram, Kolkata and Ludhiana, the sources said. The money laundering case stems from a December 2024 FIR of Mumbai police which alleged that Joshi "exploited" confidential information on the trades to be executed on behalf of Axis Mutual Fund, to pre-emptively trade stocks, generating substantial illicit gains. "The accused has thereby cheated the investors of Axis Mutual Fund which hold assets under management of more than Rs 2 lakh crore," according to the ED. The agency also suspects that Joshi had utilised a terminal in Dubai to punch the front-running trade orders through mule trading accounts obtained from various brokers. Joshi has informed the probe agencies that many other traders/brokers also misused the advance inputs on Axis Mutual Fund Trades and indulged in front-running to generate illicit trade profits, which is nothing but proceeds of crime, according to the sources. The proceeds of the fraud were funnelled through multiple shell entities and bank accounts beneficially owned by the accused persons/entities and their family members, which is under investigation by the ED, the sources said.
