
Notice of Unsolicited Non-Conforming Bid in the CITGO Sale Process
PLEASE TAKE FURTHER NOTICE THAT, on July 1, 2025 the Court approved the Special Master to engage with Bidder B with respect to the Bidder B Unsolicited Bid and to reactivate Bidder B's access to the virtual data room. Since receipt of the Bidder B Unsolicited Bid, the Special Master has consistently engaged with Bidder B regarding its progress in furtherance of the proposed transaction. The Special Master understands Bidder B is in active discussions with various parties whose consent or agreement is required pursuant to the terms of the proposed transaction; however, as of the time of this submission, the Special Master has not yet received documentation of any such agreements. Accordingly, as of the date hereof, the Special Master has not deemed the Bidder B Unsolicited Bid to be a Superior Proposal (as defined in the SPA). See D.I. 1837, Ex. B at 63, § 6.16.

Associated Capital (AC) Group announced that it has given formal notice to the New York Stock Exchange of its intention to voluntarily delist its Class A common stock from the NYSE and to deregister under Section 12(b) of the Securities Exchange Act of 1934. BETHLEHEM, Pa., Aug. 15, 2025 (GLOBE NEWSWIRE) -- On August 13, 2025, Embassy Bancorp, Inc. (OTCQX: EMYB) (the 'Company') filed its Quarterly Report on Form 10-Q for the period ended June 30, 2025, a copy of which can be found at Highlights of the filing, which includes consolidated financial information of the Company and Embassy Bank For the Lehigh Valley (the 'Bank'), the Company's wholly owned subsidiary, include: Cash and cash equivalents on hand of $91.8 million at June 30, 2025, or 5.2% of total assets. Deposits of $1.61 billion at June 30, 2025, an increase of $57.2 million, or 3.7%, from $1.55 billion at December 31, 2024. The Company does not have any brokered deposits.
