Certain DWS Closed-End Funds Announce Extension of Share Repurchases and The Central and Eastern Europe Fund, Inc. Announces Extension of Minimum Period for Partial Advisory Fee Waiver

Business Wire25-07-2025
NEW YORK--(BUSINESS WIRE)--The Central and Eastern Europe Fund, Inc. (NYSE: CEE), The European Equity Fund, Inc. (NYSE: EEA), and The New Germany Fund, Inc. (NYSE: GF) (each, a 'Fund,' and collectively, the 'Funds') each announced today that its Board of Directors has approved an extension of the current repurchase authorization permitting open market share repurchases for an additional twelve-month period. Each Fund may continue to purchase outstanding shares of its common stock in open-market transactions over the twelve-month period from August 1, 2025 through July 31, 2026 when the Fund's shares trade at a discount to net asset value ('NAV') and such purchases are deemed to be in the best interests of the Fund. The amount and timing of the repurchases will be at the discretion of DWS Investment Management Americas, Inc., the Funds' administrator, and subject to market conditions and investment considerations. Any purchases will be made at prices that will be accretive to each Fund's NAV.
The authorization of the extension of the Funds' repurchase programs follows the current repurchase programs, which commenced on August 1, 2024 and continue through July 31, 2025. Results of repurchases under each Fund's program appear in the Fund's shareholder reports.
In addition, each Fund announced that its Board continues to reserve its discretion to determine if it would be appropriate to initiate a tender offer during the twelve-month period from August 1, 2025 through July 31, 2026. Each Board intends to continue to consider this matter on a regular basis.
In addition, CEE announced today that the Fund's investment advisor, DWS International GmbH, has voluntarily agreed to continue to waive 50% of its advisory fee until further notice but at least until December 31, 2025. Previously, such partial fee waiver was to continue until further notice but at least through September 30, 2025.
Important Information
Closed-end funds, unlike open-end funds, are not continuously offered. There is a one-time public offering and once issued, shares of closed-end funds are sold in the open market through a stock exchange. Shares of closed-end funds frequently trade at a discount to net asset value. The price of the fund's shares is determined by a number of factors, several of which are beyond the control of the fund. Therefore, the fund cannot predict whether its shares will trade at, below or above net asset value.

Interest Expense: $35.8 million for Q2 2025. Divestitures: Completed divestitures of Don Pepino, Sclafani, and Le Sueur brands. Revised Fiscal Year 2025 Guidance: Net sales of $1.83 billion to $1.88 billion; adjusted EBITDA of $273 million to $283 million; adjusted EPS of $0.50 to $0.60. Warning! GuruFocus has detected 7 Warning Signs with BGS. Release Date: August 04, 2025 For the complete transcript of the earnings call, please refer to the full earnings call transcript. Positive Points B&G Foods Inc (NYSE:BGS) demonstrated sequential improvement in trend and performance in Q2 2025 after a challenging Q1. The company completed two key divestitures, which are expected to sharpen focus, simplify the business, and improve margins and cash flow. The U.S. frozen vegetables business is expected to turn profitable in the second half of 2025, with a projected increase in segment adjusted EBITDA. B&G Foods Inc (NYSE:BGS) is committed to reducing leverage and expects to reduce it to 6x within the next 12 months. Cash flow continues to be strong, with $17.8 million generated in net cash from operations during Q2 2025, up from $11.3 million in Q2 2024. Negative Points Q2 2025 net sales were down 4.5% compared to the previous year, with base business net sales down 4.2%. Adjusted EBITDA for Q2 2025 was $58 million, a decrease of 9.3% compared to the previous year. The frozen and vegetables business unit experienced a significant decline in segment adjusted EBITDA due to higher costs and trade spend. The specialty business unit saw an 8% decline in net sales, primarily due to lower Crisco oil pricing. Selling, general, and administrative expenses increased by 9.4% in Q2 2025 compared to the previous year, impacting overall profitability. Q & A Highlights Q: Bruce, can you clarify the expected decline in core business sales for the second half of 2025? A: Yes, excluding divestitures, we expect base business sales to be down about 1% for the second half. This includes a benefit from the 53rd week, which will add approximately $15 million to $20 million in sales during the fourth quarter. Q: How are you planning to mitigate the impact of tariffs, particularly in the spices and flavor solutions segment? A: We are implementing targeted pricing actions to recover tariff costs, primarily affecting garlic and black pepper sourced from China and Vietnam. There will be some lag due to retailer lead times, but we expect to offset some of the impact with productivity and cost savings efforts. Q: Can you provide more details on the impact of recent divestitures on your guidance for the year? A: The guidance adjustment is primarily due to the divestitures. The outlook for the second half remains consistent with our expectations following the first quarter results. Q: What is the status of your spices and seasonings business, and are you seeing any benefits from increased home cooking? A: The spices and seasonings business is not fully meeting our expectations. We anticipate slight growth in the second half, supported by targeted pricing to recover tariff impacts. The category is benefiting from increased demand for fresh proteins. Q: Are there any plans to change sourcing strategies to mitigate tariff impacts on spices and seasonings? A: We are exploring alternative sourcing options, but most spices are grown in regions already subject to tariffs. We have found some alternative sources for garlic and onion outside of China, but pricing adjustments will still be necessary. Release Date: August 04, 2025 For the complete transcript of the earnings call, please refer to the full earnings call transcript. Positive Points Waters Corp (NYSE:WAT) reported strong sales growth of 9% as reported and 8% in constant currency, exceeding the high end of their guidance. Non-GAAP earnings per share increased by 12% year-on-year to $2.95, surpassing the midpoint of their guidance. The company experienced significant growth in its LC and mass spec portfolio, with instruments growing mid-single digits and recurring revenue up 11%. Waters Corp (NYSE:WAT) raised its full-year 2025 constant currency sales growth guidance to 5.5% to 7.5% and increased its non-GAAP EPS guidance to $12.95 to $13.05. The company is successfully expanding into high-growth areas, with GLP testing revenue growing 70% year-over-year and PFAS testing revenue increasing over 50% year-over-year. Negative Points The TA division experienced weakness, particularly in macro-sensitive polymer and materials testing applications, leading to a decline in sales. Academic and government segments underperformed, declining by 3%, despite better-than-expected performance. The operating tax rate presented a $0.05 headwind to adjusted EPS due to jurisdictional mix and discrete items specific to the quarter. The company faced margin dilution from tariff surcharges, impacting the gross margin for the quarter. The TA business in the Americas declined by 20% due to macroeconomic conditions and tariff challenges affecting material science and polymers customers. Q & A Highlights Q: Can you provide an update on the replacement cycle in LC and competitive dynamics, particularly regarding the Alliance iS? A: Udit Batra, President and CEO, explained that LCMS continued to grow high single digits, with strong replacement activity across large pharma customers, especially in the US and Europe. The Alliance iS grew 300% year-over-year, contributing significantly to this growth. Additionally, the TQ Absolute XR instrument has shown exceptional robustness, allowing for significant improvements in testing capabilities. Q: Regarding the BD acquisition, what is the timeline for bringing new products to market, particularly in mass spec and MALDI for microbiology? A: Udit Batra noted that while the microbiology opportunities are not included in the deal model, the team is excited about the potential. The development of new products in this area could take two to five years, with a total addressable market of around $400 million to $500 million. Q: What are your expectations for LCMS growth in the second half of the year, given the high single-digit growth in Q2? A: Udit Batra stated that the replacement cycle remains strong, particularly in large pharma, CDMOs, and generics. The TQ Absolute XR has exceeded expectations, and the company is confident in continued growth. Amol Chaubal, CFO, added that the guidance assumes a conservative 5% instrument growth, not fully reflecting the strong funnel and momentum. Q: Can you elaborate on the margin dynamics and the impact of tariffs in Q2? A: Amol Chaubal explained that the margin impact was primarily on the gross margin line due to geographical mix and costs associated with tariff remediation. The tax rate also created a $0.05 headwind on EPS. Margins are expected to improve progressively in Q3 and Q4. Q: How sustainable is the growth in China, and what are the expectations for the second half of the year? A: Udit Batra highlighted that China grew double digits in Q2, with strength across all end markets. The company remains conservative in its guidance for the second half, assuming low to mid-single-digit growth, despite strong performance in CDMOs and battery testing. Q: What are the expectations for the academic and government (ANG) segment, given recent funding dynamics? A: Udit Batra noted that ANG declined 3% in Q2, ahead of expectations. The company remains conservative for the second half, assuming continued decline, despite some positive funding news. Growth in China was strong due to localization and modest stimulus impact. Q: How do you plan to achieve the $290 million synergy target post-acquisition of BD's Biosciences and Diagnostic Solutions? A: Udit Batra outlined that immediate impacts are expected from instrument replacement, service attach rate improvements, and e-commerce expansion. The company plans to leverage its existing operational discipline to achieve these synergies quickly. Q: What is the outlook for the drug discovery business within the pharma segment? A: Udit Batra stated that pharma drug discovery remains slow, with no significant replacement cycle activity. However, large pharma and CDMOs are experiencing healthy replacement cycles and order conversion. For the complete transcript of the earnings call, please refer to the full earnings call transcript.
