TORONTO, May 22, 2025 /CNW/ - Neo Performance Materials Inc. (" Neo" or the " Company") (TSX: NEO) today announced that the board of directors of Neo (the " Board"), on the recommendation of Neo's special committee (the " Special Committee") of independent directors, has determined to continue to accelerate the execution of Neo's current strategic plan with a focus on building upon Neo's long-standing leadership in rare earth magnetics and critical materials. The strategic review process was initiated in June 2024 to assess opportunities to maximize shareholder value, including the current strategy of the business, opportunities to optimize its portfolio, Neo's approach to capital allocation, and the potential for an en bloc sale of the Company or asset level transactions.
Upon completing its determination, the Board stated:
"Neo is at an important inflection point with substantial momentum in its projects and its recent performance validates Neo's focus on downstream opportunities, with significantly less exposure to rare earth price volatility.
As the Special Committee evaluated a number of alternatives in the course of the strategic review, it concluded that there were opportunities for value creation through the accelerated execution of Neo's strategic plan and that the deal completion risks associated with an en bloc sale were significant given current geopolitical dynamics.
Neo's end markets continue to grow as its customers see a growing need for a diversified supplier base. The Company is scaling its European magnet operations and evaluating additional supporting capabilities, such as heavy rare earth separations. Neo also continues to achieve enhancements in its cost of capital, capital efficiency, and its long-term return on capital by exiting low profitability businesses and allocating capital to more attractive growth opportunities.

Key Findings of the Strategic Review
Potential for En Bloc Sale: The Special Committee and its financial advisors conducted a comprehensive outreach to strategic and financial counterparties and considered potential en bloc sale opportunities. After giving consideration to the potential value available and in light of the associated transaction risks, including in the context of the current geopolitical environment, the Board determined to end the strategic review process and continue to execute on the Company's strategy.
Strategy for Advancing the Business: The Special Committee determined that becoming a premier global supplier of rare earth permanent magnets and critical materials is a transformative and value maximizing strategy for the Company. In this regard, the Company's permanent magnet facility in Europe is expected to be completed on time and on budget and start commercial production in 2026. Neo has executed numerous off-take agreements with upstream providers, has begun engineering and design for a pilot heavy rare earth separation line in Europe expanding on its light rare earth capabilities already in production and will look to expand its production capacity in Europe and elsewhere (including the US).
Portfolio Optimization: The Special Committee recommended ongoing asset optimization to simplify and focus the business while unlocking value for shareholders. During the course of the strategic review process Neo successfully completed sales of its majority equity interest in non-core Chinese separation facility assets, known as JAMR and ZAMR, at premium valuations, divested its Gallium Trichloride business in Quapaw and closed the hydrometallurgy portion of its Niobium and Tantalum business. Neo also completed the construction of its world class and highly automated emissions catalyst facility, which is currently running at scale and has qualified products with all of its customers.
Capital Allocation: Neo maintains a strong balance sheet and liquidity position. Neo's exit from its China separation facilities reduces its exposure to volatile pricing and freed up working capital and cash balances in China. Substantial completion of major capital projects and securing favourable loans and government grants have reduced Neo's capital exposure. The Board intends to maintain Neo's current dividend policy and, subject to approval by the Toronto Stock Exchange, re-institute a normal course issuer bid.

SOFIA, Bulgaria (AP) — Bulgaria is close to realizing its decades-old goal of joining the euro currency union and deepening ties with the more prosperous countries of Western Europe. But the government faces a populist backlash against the shared currency on the eve of a key decision by European Union authorities. Fears of inflation, poverty and the unknown are mingling with disinformation spread on social media that aims to turn people against the euro. The discontent tracks with increased support for populist and anti-EU parties across Europe, which is exploited by nationalist and pro-Russian politicians in a country that remains one of Europe's poorest and most afflicted with corruption. 'Adopting the euro will make us feel the threshold of poverty. After all, prices will be in euros,' said 78-year-old retiree Tanya Ignatova. 'Bulgaria is not ready for the euro. Someday we may be ready, but not now,' said another retiree, Mario Georgiev. Several thousand people rallied against the euro in the capital on Saturday, urging a referendum on whether to transition from the lev currency to the euro. The head of the pro-Russian Varazhdane party, Kostadin Kostadinov, told the crowd that 'Bulgaria has risen and declared: Freedom, we choose the Bulgarian lev!' Many do support the euro Others in Bulgaria say the country already benefits from EU membership and it does not matter what the currency is. 'We have inflation now and we will have it in the future,' said 26-year-old Konstantin Bozhinov. Aiming at deepening European integration amid growing geopolitical tensions, the government is pressing ahead. It has asked for a review of whether it meets the requirements of low inflation, sound government finances and legal conformity to EU institutions. On Wednesday, the European Commission will announce the results. If the commission gives a green light, other member states will decide on Bulgaria's candidacy in the coming weeks. At the last review in 2022, Bulgaria failed on the inflation requirement. Inflation has since fallen. President Rumen Radev has encouraged the anti-euro voices by proposing a referendum on the currency, citing public concerns over inflation and purchasing power. That followed a protest in February that saw the offices of the EU's executive commission in Sofia spattered with red paint and its entrance set on fire. The president's proposal was turned down by the pro-European majority in parliament, which accused Radev of acting in favor of Russia with his last-minute attempt to sabotage the euro adoption. According to the EU's multi-country Eurobarometer survey released last week, 50% of Bulgarians are against the adoption of the euro, while 43% are in favor. In contrast, trust in the euro continues to grow across the rest of the EU. Bulgaria joined the EU in 2007. It has been plagued by political instability and corruption that have fueled euroscepticism among its 6.4 million citizens. Analysts say disinformation campaigns from abroad have fed fears of economic changes that could bring more poverty. Scores of false claims by opponents of the eurozone have been published on social networks. One claim says the EU plans to take away people's savings if they fail to spend them within a certain period. Another claims that plans to introduce a digital version of the euro are part of a plan to control everyone. 'There is a powerful brainwashing of the average Bulgarian. Illusory fears are being spread, lies are being told wholesale, unscrupulously and brazenly,' said Ognyan Minchev, director of the Institute for Regional and International Studies in Sofia. Risks and rewards Economists say joining the euro will not bring massive change to Bulgaria's economy in the short run. That's because the government has pegged the currency to the euro by law, at a fixed rate of 1 lev for every 51 euro cents. Joining the euro can bring lower borrowing costs, greater ease in comparing domestic and foreign prices and no need to exchange money when vacationing in another euro country. More than that, it's a sign of integration into the EU and its large economy. Members get a seat on the European Central Bank's interest rate-setting committee. Monday Mornings The latest local business news and a lookahead to the coming week. Countries agree to join the euro when they join the EU, but so far 20 of 27 members have taken the step. Croatia was the last to join in 2023. Bulgaria's government has very little debt, at 24.1% of GDP — the second lowest in the EU and well below the 60% level in euro membership criteria. That's a sharp contrast to its neighbor, Greece, which entered the euro in 1999 with high debt that was concealed through complex financial transactions. Greece's broken finances eventually triggered a eurozone-wide crisis. Bulgaria's government has been 'fiscally super conservative … the risk of Bulgaria becoming a fiscal risk to the eurozone is essentially zero,' said Zsolt Darvas, senior fellow at the Bruegel think tank in Brussels. Fears of inflation are not entirely without basis. Experience in other countries shows that 'whenever there is a changeover from national currency to the euro, there is often a minor inflation effect, but it's typically less than 1%,' said Darvas Economists say a one-time increase occurs as service providers such as restaurants, which don't adjust prices as often as other sectors, take advantage of re-doing menus and price lists to implement hikes.

(TSXV: HASH) (" SSC") announces that it has filed its annual audited financial statements and management's discussion and analysis for the year ended December 31, 2024 (" Annual Financials") on the Company's SEDAR+ profile at SSC also announces that due to delays incurred with filing these annual financial statements, the Company anticipates filing its first quarter results for the three months ended March 31, 2025 on or before June 20, 2025 pursuant to an extension from the Alberta Securities Commission (the " ASC"), the Company's principal regulator, of its previously announced management cease trade order (" MCTO") under National Policy 12-203 – Management Cease Trade Orders (" NP 12-203") initially approved on May 5, 2025, and subsequently updated by SSC through press releases issued on April 30, 2025, May 14, 2025, and May 20, 2025. 2024 Highlights SSC achieved major milestones during 2024, including: SSC completed three acquisitions, including 1) the Lamplighter brand, 2) licenced producer CannMart Inc., and 3) leading preroll co-manufacturer ANC Inc. These three acquisitions buttressed SSC's infrastructure significantly, which is now comprised of strong extraction, formulation, prerolling, and cultivation abilities, providing a solid foundation for future growth. SSC closed two over subscribed non-brokered financings for total gross proceeds of $4.7 million, and $7.8 million was raised from the exercise of warrants. Subsequent to December 31, 2024, SSC closed the acquisition of Delta 9 Bio-Tech and re-branded the operation to Humble Grow Co. The acquisition of Humble vertically integrated SSC's operations upstream to include cultivation in a market where the demand for cannabis flower appears to be transitioning back into expansion mode. 2024 was a transformative year for SSC, and with a portfolio of assets providing manufacturing capability across the largest product categories, and the proven ability to close accretive acquisitions in a distressed market and industry, and to attract top talent, the Company is positioned for significant growth through 2025. 2024 Financial Highlights 2024 Gross Revenue: the Company generated gross revenue of $20,498,204 (2023 - $6,973,401), increase of 194% over the prior year. 2024 Net Revenue: the Company generated net revenue of $13,679,144 (2023 - $6,191,646), increase of 121% over the prior year. 2024 Gross Profit ($): the Company generated a gross profit of $1,181,189 (2023 - $3,497,279), a decrease of 66% over the prior yea r 2024 Adjusted EBITDA: the Company generated an adjusted EBITDA loss of $3,803,445 (2023 - $2,246,926), a decrease of 269% over prior period December 31, 2024 Working Capital: $1,626,131 (2023 - $3,693,879), a decrease of 56% over the prior year. This increase in assets is primarily due to SSC closing several high-impact acquisitions during 2024. Subsequent to the year end, further substantial assets were added through the Humble acquisition that closed on February 28, 2025 (refer to Note 24 – Subsequent Events in the Annual Financial for further details.) The ASC has approved a further extension of the MCTO to June 20, 2025 to provide the Company with adequate time to prepare the Q1, 2025 financial results due to the delays incurred in filing the Annual Financials. Pursuant to the MCTO, management of the Company may not trade in securities of the Company until such time as the Company files the March 31, 2025 financial statements and the MCTO is revoked. The MCTO does not affect the ability of other shareholders of the Company to trade in securities of the Company. The Company confirms that it will satisfy the provisions of the alternative information guidelines under NP 12-203 by issuing biweekly default status reports in the form of news releases for so long as it remains in default of the above-noted filing requirements.
