HOUSTON, July 31, 2025 /CNW/ -- Shell Midstream Operating LLC (SMUS), a subsidiary of Shell plc ("Shell"), has completed the previously announced sale of its 16.125% interest in Colonial Enterprises, Inc. ("Colonial") to Colossus AcquireCo LLC, a wholly owned subsidiary of Brookfield Infrastructure Partners L.P. and its institutional partners (collectively, "Brookfield").
The divestment reflects Shell's focus on performance, discipline and simplification and enables the company to concentrate on areas where it has scale and competitive advantage.

Together with Shell, the co-owners of Colonial Enterprises, Inc., have sold 100% of their Colonial shares to Brookfield. Colonial was previously divided among five partners: Shell Midstream Operating LLC (16.125%), Koch Capital Investments Company, LLC (28.088%); KKR-Keats Pipeline Investors, L.P. (23.443%); La Caisse (16.549%); and IFM Investors (IFM) (15.795%).
The sale values Shell's share of Colonial at $1.45 billion, inclusive of approximately $500 million in non-recourse debt and excluding customary closing adjustments.
Colonial operates as an independent company and fully owns Colonial Pipeline Company (CPC), a non-operated venture, as well as Colonial Marketing Company. CPC provides oil products transportation services from the US Gulf Coast to the US Atlantic Seaboard.
Shell Midstream Operating LLC is an indirect, wholly owned subsidiary of Shell Pipeline Company LP, and the largest pipeline operator in the Gulf of America. It transports 1.5 billion barrels of crude oil, refined products, chemicals and NGLs annually through its vast network of pipelines and tank farms across 12 states and the Gulf of America.

Shell's net-zero emissions target
Shell's operating plan and outlook are forecasted for a three-year period and ten-year period, respectively, and are updated every year. TotalEnergies (Paris:TTE) (LSE:TTE) (NYSE:TTE) announces that its affiliate Total Austral has signed an agreement with YPF SA for the sale of its 45% operated interest in two unconventional oil and gas blocks in Argentina, Rincon La Ceniza and La Escalonada, for an amount of USD 500 million at a valuation of around 10,000 USD/acre. Located in the Vaca Muerta area in the Neuquén Basin, these concessions (51,000 net acres) are currently in a pilot development phase. Total Austral's partners in these concessions are Gas y Petroleo de Neuquen (10%) and O&G Developments LTD S.A (45%), owned by Shell. 'The sale of Rincon La Ceniza and La Escalonada blocks is part of our active portfolio management strategy. TotalEnergies remains fully committed to Argentina, where it operates a large unconventional area of 183,000 nets acres in the Vaca Muerta play, after the divestment of these two blocks which represented around 20% of our net acreage in that play. The Company is currently producing gas and condensates from the operated blocks Aguada Pichana Este and San Roque, with a combined production of around 50,000 boe/d in TotalEnergies share in 2024. Shell Q2 Earnings Beat Even as Production & Oil Prices Fall

Europe's largest oil company, Shell plc SHEL, reported second-quarter 2025 earnings per ADS (on a current cost of supplies basis, excluding items — the market's preferred measure) of $1.42, which came in well above the Zacks Consensus Estimate of $1.13 on the back of cost reductions and higher natural gas realizations. However, the bottom line fell from the year-ago adjusted profit of $1.97 due to lower upstream production plus a decline in oil prices. Shell's revenues of $66.4 billion were down from $75.1 billion in second-quarter 2024 and missed the consensus mark by 9.9%. Meanwhile, Shell repurchased $3.5 billion in shares in the second quarter. The London-based company expects another $3.5 billion worth of repurchases for the third quarter. Inside Shell's Segments Upstream: The segment recorded a profit of $1.7 billion (excluding items) during the quarter, down from $2.3 billion (adjusted) in the year-ago period. This primarily reflects the impact of lower production and oil prices. At $63.62 per barrel, the group's worldwide realized liquids prices were some 19% below the year-earlier levels, but natural gas prices rose roughly 11%. Shell's upstream volumes averaged 1,732 thousand oil-equivalent barrels per day (MBOE/d), down 2.9% from the year-ago period, mainly due to a dip in natural gas churned out by the company. Liquids production totaled 1,334 thousand barrels per day (an increase of 2.9% year over year), and natural gas output came in at 2,310 million standard cubic feet per day (down 18%). Chemicals and Products: In this segment, the London-based supermajor reported an adjusted profit of $118 million, plunging more than 89% from $1.1 billion earned in the year-ago period. The unfavorable comparison was due to lower margins. Meanwhile, refinery utilization came in at 94%. Integrated Gas: The unit reported an adjusted income of $1.7 billion, deteriorating from $2.7 billion in the April-June quarter of 2024. Results were primarily impacted by lower production available for sale, which fell 6.8% from the second quarter of 2024 to 913 MBOE/d. However, LNG sales volumes were up 8.3% year over year to 17.77 million tons. Marketing: The segment recorded an income of $1.2 billion (excluding items) during the quarter compared to the year-ago earnings of $1.1 billion, due to higher margins and favorable tax movements. Renewables and Energy Solutions: The segment incurred an adjusted loss of $9 million, reflecting an improvement from the year-ago loss of $187 million. The performance boost primarily reflects lower operating expense and favorable tax movements. External power sales were down 5.4% year over year to 70 terawatt hours, while piped gas sales fell 10.8% to 132 terawatt hours. Financial Performance As of June 30, 2025, the Zacks Rank #3 (Hold) company had $32.7 billion in cash and $75.7 billion in debt (including short-term debt). During the quarter under review, Shell generated cash flow from operations of $11.9 billion, returned $2.1 billion to its shareholders through dividends, and spent $5.4 billion on capital projects. The company's cash flow from operations decreased 11.6% from the year-earlier level. Meanwhile, the group raked in $6.5 billion in free cash flow during the second quarter compared to $10.2 billion a year ago. Guidance Shell expects third-quarter 2025 upstream volumes of 1,700-1,900 MBOE/d, while Integrated Gas production is expected between 910 MBOE/d and 970 MBOE/d. The company also foresees marketing sales volumes of 2,600-3,100 thousand barrels per day and refinery utilization in the range of 88-96%. Important Energy Earnings So Far While we have discussed Shell's second-quarter results in detail, let's take a look at some other Big Oil energy reports of this season. American multinational ExxonMobil XOM reported second-quarter 2025 earnings per share of $1.64 (excluding identified items), which beat the Zacks Consensus Estimate of $1.49. The bottom line, however, declined from the year-ago level of $2.14. ExxonMobil's total quarterly revenues of $81.5 billion missed the Zacks Consensus Estimate of $82.8 billion. The top line decreased from the year-ago figure of $93.1 billion. ExxonMobil's better-than-expected quarterly earnings were fueled by higher liquid production from the United States and stronger industry refining margins resulting from higher seasonal demand and increased volumes. The positives were partially offset by lower crude oil and natural gas prices. Smaller rival Chevron CVX reported adjusted EPS of $1.77, beating the Zacks Consensus Estimate of $1.70. The outperformance stemmed from higher-than-expected production in the company's key upstream segment. The company's output of 3,396 MBOE/d — a record — came in above the consensus mark of 3,326 MBOE/d. Healthy gain in natural gas realizations and stronger refined product sales margins also played their part. Chevron recorded $8.6 billion in cash flow from operations compared to $6.3 billion in the year-ago period due to the absence of prior-year working capital outflows and higher cash distributions from Kazakhstan. Chevron's free cash flow for the quarter was $4.9 billion. London-based BP plc BP reported second-quarter 2025 adjusted EPS of 90 cents. The figure beat the Zacks Consensus Estimate of 68 cents but declined from the year-ago reported figure of $1.00. BP's better-than-expected quarterly earnings can be primarily attributed to higher oil production, which was partially offset by lower price realizations. BP expects third-quarter 2025 upstream production to dip slightly from the prior-quarter level. It also anticipates a seasonal rise in customers' business volumes and a significant decline in its refinery turnaround activity. Taxes are projected to increase by about $1 billion due to payment timing. ExxonMobil Continues to Show That It's the Best Oil Stock

The oil company recently reported its second-quarter financial results, which led the sector across most key categories. The company is in an excellent position to continue delivering leading results going forward, making it a compelling oil stock to buy and hold for the long term. Drilling down into Exxon's second-quarter financial results ExxonMobil earned $7.1 billion and generated $11.5 billion in cash flow from operations in the second quarter. That led all international oil companies (IOCs) by a wide margin. Exxon's earnings were more than double Chevron 's ($3.1 billion) and well ahead of Shell 's ($4.3 billion). "The second quarter, once again, proved the value of our strategy and competitive advantages, which continue to deliver for our shareholders no matter the market conditions or geopolitical developments," stated CEO Darren Woods in the second-quarter earnings release. The oil giant delivered its highest second-quarter production total since the merger of Exxon and Mobil more than a quarter century ago at 4.6 million barrels of oil equivalent (BOE) per day. Its output rose 13%, fueled mainly by its acquisition of Pioneer Natural Resources. Additionally, Exxon reported the best quarter yet for high-value product sales in its products solution segment. Another factor fueling Exxon's strong financial results is its structural cost savings program. The company has delivered $1.4 billion of savings this year, increasing its total to $13.5 billion since 2019. That's more than all other IOCs combined. Exxon's strong cash flows enabled it to return an industry-leading $9.2 billion to its shareholders in the second quarter through dividends and share repurchases, leading the oil sector. It's on track to buy back $20 billion of its stock this year. Since May 2024, Exxon has already purchased about 40% of the shares it issued to buy Pioneer Natural Resources. Even with those lofty cash returns, Exxon maintained its sector-leading balance sheet featuring the industry's lowest leverage ratio, at 8% net debt to capital. Even better days lie ahead for the oil giant Exxon has commenced operations on six key projects this year and expects to start up four more by year-end. "Collectively, these projects are expected to improve our earnings power by more than $3 billion in 2026 at constant prices and margins," commented CEO Darren Woods in the second-quarter earnings press release. Those projects are only the beginning. Exxon's plan to 2030 has it on pace to invest $140 billion in major capital projects and its Permian Basin development program over the next five years. Exxon also aims to deliver a total of $18 billion in structural cost savings by the end of 2030. The company estimates that this plan will provide it with incremental growth potential of $20 billion in earnings and $30 billion in cash flow by 2030. That positions it to deliver compound annual growth rates of 10% for earnings and 8% for cash flow over the next several years. The oil giant's plan would produce a staggering $165 billion in cumulative surplus cash over the next five years. That will provide Exxon with ample funds to continue increasing its dividend (a sector-leading 42 consecutive years) and repurchasing a substantial amount of stock. (It plans to repurchase $20 billion annually in 2025 and 2026.) The best-performing oil stock ExxonMobil is the undisputed leader in the oil sector, as evidenced by its industry-leading financial results in the second quarter. This allowed it to return more cash to investors than peers while maintaining the sector's top balance sheet. The oil giant isn't likely to give up its leadership position anytime soon. Its plan up to 2030 would see it deliver meaningful earnings and cash flow growth over the next few years, allowing it to continue returning lots of money to investors. That combination of growth and cash returns positions Exxon to continue delivering peer-leading total return, which it has done over the past five years with its impressive 25% compound annual total return.
