WeWork India gets Sebi nod for IPO; Embassy Buildcon to sell stake

Upcoming IPO: Embassy Buildcon-backed workspace operator WeWork India Management has received approval from the Securities and Exchange Board of India (Sebi) to launch its initial public offering (IPO).
According to the draft red herring prospectus (DRHP), the company's maiden public issue comprises an offer for sale (OFS) of up to 43.75 million equity shares.
The offer for sale comprises up to 33.45 million equity shares by Embassy Buildcon, the promoter selling shareholder. Additionally, 1 Ariel Way Tenant (investor selling shareholder) will offload up to 10.29 million equity shares.
MUFG Intime India, formerly Link Intime India, is the registrar for the issue. JM Financial, ICICI Securities, Jefferies India, Kotak Mahindra Capital Company, and 360 ONE WAM are the book-running lead managers to the issue.
About WeWork India Management
Launched in 2017, WeWork India Management is a premium flexible workspace operator in India and has been the largest operator by total revenue in the past three financial years, according to the CBRE Report. It provides flexible, high-quality workspaces to customers, which include companies of all sizes. As of June 30, 2024, Grade A properties accounted for approximately 93 per cent of its portfolio.
Embassy Group, one of India's leading real estate developers, owns a majority 73.8 per cent stake in WeWork India. The company has developed over 85 million square feet of commercial real estate and sponsors Embassy REIT - India's first REIT and Asia's largest office REIT by leasable area, according to CBRE.
WeWork India caters to some of the global brands, including Amazon Web Services, JP Morgan, Warner Bros. Discovery, Deutsche Telekom, and Grant Thornton. The company is the exclusive licensee of the WeWork Brand in India.
WeWork India's centres are located in Tier 1 cities in India, including Bengaluru, Mumbai, Pune, Hyderabad, Gurgaon, Noida, Delhi, and Chennai. As of September 30, 2024, WeWork India's portfolio comprised 94,440 desks across 59 operational centres with an aggregate leaseable area for operational centres of 6.48 million square feet.
For the six-month period ended September 30, 2024, the company reported revenue from operations of ₹918.1 crore and net profit of ₹173.6 crore. In the fiscal year 2023-24 (FY24), WeWork India posted a revenue from operations of ₹1,665.1 crore and a net loss of 135.7 crore.

Russia will continue supplying oil to India and the country's President Vladimir Putin will meet India's Prime Minister Narendra Modi in New Delhi by the end of year, a Russian embassy official in India said on Wednesday. Russia has a "very, very special mechanism" to continue oil supplies to India, Roman Babushkin, the charge d'affaires at the Russian embassy in India, told reporters at a press briefing, adding that India's crude oil imports from Russia will remain at the same level. No dates had been finalised for the Putin-Modi meeting yet, he said. The U.S. is set to impose an additional 25% tariff on Indian exports on August 28, citing their imports of Russian oil, which expanded after Western nations sanction Russian supply after its invasion of Ukraine. However, the U.S. has stopped short of imposing similar tariffs on China over its purchases of Russian oil. Last month, the European Union sanctioned Russian-backed Indian refinery Nayara Energy, leading the refiner to cut back processing and companies to curtail their trading with them. Trade between Indian and Russia was expected to grow 10% annually, Evgeniy Griva, Deputy Trade Representative of Russia to India said at the briefing.

Mumbai: All three bidders have increased their financial offers for the debt-laden Lavasa Corp in the third round of bidding, intensifying competition for what was initially billed as the first hill town to be built in Independent India. Valor Estates has substantially upped its bid to ₹946 crore on a net present value (NPV) basis, putting it ahead of the other two bidders. The Welspun-Ashdan combine has increased also its bid to ₹845 crore from ₹776 crore on a NPV basis earlier which has put the Mumbai based Yogayatan Group at number three on a NPV basis with a total NPV of ₹830 crore, people familiar with the development said. Meanwhile, based on the evaluation matrix, Welspun consortium has scored higher than both the other bidders. "All three bidders substantially increased their bids after they were given another chance. By the looks of it this battle will now continue because bankers will have to thoroughly go through the bids," said a person familiar with the details. Creditors to the debt-laden Lavasa Corp had extended the timeline for the resolution process, giving bidders another chance to increase their bids for the real estate venture, ET had reported in its August 7 edition. The extension was forced after one of the bidders, Valor Estates, submitted an improved revised plan. Live Events Last week, Mumbai based Yogayatan Group filed a petition in the National Company Law Tribunal (NCLT) opposing creditors' move to allow revised resolution plans for taking over the debt-laden Lavasa Corp. Yogayatan was opposed to calling for another round of bids because it had emerged as the highest bidder, with its offer of ₹795 crore on a NPV basis. "This time, despite its opposition, Yogayatan submitted a revised bid. It remains to be seen whether it acts on its NCLT plea or prefers to improve its bid further because it does not look like we have seen the last of this story," said another person aware of the details. Any litigation at this stage is likely to delay the process. EY-backed resolution professional Udayraj Patwardhan and process advisor BoB Capital Markets did not reply to an email seeking comment.
