Tata Motors Demerger: Tata Motors' shareholders on Tuesday approved the demerger proposal of separating the auto manufacturer into two listed entities – commercial vehicle and passenger vehicle. The resolution for the Composite Scheme of Arrangement was passed with the requisite majority, with a total of 2,730,875,858 votes polled. Out of these, 2,730,862,142 votes (99.9995%) were in favor, and 13,716 votes (0.0005%) were against. With shareholders' approval, the way for the demerger of the company has been cleared.
On Wednesday, investors welcomed the move as shares gained 4 per cent to become the top gainer of Nifty 50 index.
But there's a question among investors about what will happen next and when it will become effective. Let's know more about it.
Tata Motors Demerger Plan Details
According to the plan, Tata Motors Limited (TML) will split its Commercial Vehicle business, including all its assets, liabilities, employees, and related investments, into TMLCV. Meanwhile, the Passenger Vehicle business in TMPV will merge back into the existing listed entity TML.
When the Scheme takes effect, both TMLCV and TML will be renamed, resulting in two separate listed entities: 1) The Commercial Vehicle business and related investments under TML, and 2) The Passenger Vehicle business, including the Electric Vehicle (TPEM) business, JLR, and related investments, under TMPV.
August 01, 2024: Tata Motors' board approved the Scheme of Arrangement (the demerger scheme).
March 25, 2025: The National Company Law Tribunal (NCLT), Mumbai Bench, ordered a shareholders' meeting to consider the demerger.
March 28, 2025: It is fixed as cut-off date for determining shareholders eligible to vote on the demerger.
May 06, 2025: Shareholders gave the green nod to the demerger proposal.
Tata Motors Demerger Effective Date
Tata Motors in Q3FY25 investor presentation informed that the company is expected to implement the demerger between October and December 2025.

Tata Harrier EV: Powertrain Tata Motors has announced that the Harrier EV will have a dual-motor, all-wheel-drive system, although specific powertrain details are still pending. In their latest ad campaign, the SUV showcases its ability to tackle a steep 34-degree incline. While the exact power output isn't disclosed, it will provide a peak torque of 500 Nm. Additionally, it's anticipated to offer a range of over 500 km on a single charge, but the battery capacity has yet to be announced. Tata Harrier EV: Price Expected The expected price of the Tata Harrier EV ranges from Rs 24 Lakh (ex-showroom) to Rs 30 Lakh (ex-showroom), depending on the model and features chosen. Maruti, Hyundai, Tata see flat vehicle sales in May amid sluggish demand
India's leading car makers Maruti Suzuki , Hyundai Motor India and Tata Motors all sold fewer vehicles in May from a year ago as sluggish demand, especially at the entry-level, kept the dispatches flat. However, Korean auto major Hyundai Motor India climbed up the ranks to the third spot in the passenger vehicle market in May ahead of Tata Motors, but trailed Mahindra & Mahindra (M&M), which retained the second slot for the second straight month this year. Market leader Maruti Suzuki remained ahead of rivals with sales of 135,962 units, but volumes fell by about 6% in May. Hyundai too saw volumes dip by 10.8% to 43,861 units last month but managed to stay ahead of Tata Motors with a lead of 2,304 units. At Tata Motors, sales slid 11% to 41,557 units. Govt approves scheme to boost electric passenger car manufacturing in India
New Delhi, June 2 (UNI) The Central government on Monday approved a forward-looking scheme to promote the domestic manufacture of passenger cars, with a special focus on electric vehicles (EVs). Addressing a press conference, Union Minister of Heavy Industries HD Kumaraswamy said, 'This landmark initiative aligns with India's national goals of achieving Net Zero by 2070, fostering sustainable mobility, driving economic growth, and reducing environmental impact. It is designed to firmly establish India as a premier global destination for automotive manufacturing and innovation'. He said, the scheme is strategically crafted to position India as a global hub for electric vehicle manufacturing. With a minimum investment threshold of Rs 4,150 crore, it provides an enabling policy environment for leading global and domestic players to establish long-term manufacturing footprints in the country. Through calibrated customs duty concessions and clearly defined domestic value addition (DVA) milestones, the scheme strikes a balance between introducing cutting-edge EV technologies and nurturing indigenous capabilities, Kumaraswamy said. 'By mandating domestic value addition targets the scheme will further boost the 'Make in India' and 'Aatmanirbhar Bharat' initiatives, while empowering both global and domestic companies to become active partners in India's green mobility revolution,' he added. The Ministry of Heavy Industries (MHI) has issued notification regarding detailed guidelines for the 'Scheme to Promote Manufacturing of Electric Passenger Cars in India' (SPMEPCI/the Scheme) MHI had issued the Scheme notification on 15th March 2024, an official statement said. The Department of Revenue, Ministry of Finance had also issued the notification on March 15, 2024 for reduced import duties in line with the provisions of the Scheme. The notice for inviting applications under the scheme is proposed to be notified shortly, whereby the prospective applicants would be able to submit online applications. The scheme shall help to attract investments from global EV manufacturers and promote India as a manufacturing destination for e-vehicles. It will also help put India on the global map for manufacturing of EVs, generate employment and achieve the goal of 'Make in India'. To encourage the global manufacturers to invest under the scheme, the approved applicants will be allowed to import Completely Built-in Units (CBUs) of e-4W with a minimum CIF value of USD 35,000 at reduced customs duty of 15 percent for a period of five years from the Application Approval Date. Approved applicants would be required to make minimum investment of Rs 4,150 crore in line with the provisions of the scheme. UNI RBE BM
