Ad hoc releasePublic disclosure of inside information according to Article 17 para. 1 of the Regulation (EU) No 596/2014 on market abuse (Market Abuse Regulation) Dylan Media to Vote Against Proposed Share Buyback and CLIQ Digital Currently No Longer Considers Delisting Düsseldorf, 6 August 2025 – CLIQ Digital AG ('CLIQ Digital' or the 'Company') announces that it has been informed today by its largest shareholder Dylan Media B.V. ('Dylan Media') that it will vote against agenda item no. 7 at the upcoming Annual General Meeting on 21 August 2025. The agenda item, originally requested by Dylan Media itself, relates to a public partial share repurchase offer and a capital reduction by way of redemption of the repurchased shares. Dylan Media's decision follows CLIQ Digital's announcement yesterday. It disclosed obstacles of the Company's ability to process payments from a part of its existing customers and to acquire new customers due to significant developments within the global digital payments ecosystem, resulting in the withdrawal of the Company's financial outlook for 2025. In light of these developments, Dylan Media has expressed its view that pre-serving liquidity is the most prudent short-term strategy and therefore does not anymore support a public partial repurchase offer by the Company at this time. Against this background and in consideration of the current business environment, the Management Board today has decided currently not to consider a delisting from the stock exchange any longer. AI Coding Startup: Work Weekends or Take a Buyout
AI coding startup Cognition acquired fellow AI startup Windsurf's intellectual property, product, and staff last month in a deal with an undisclosed price. This week, The Information reported that after cutting 30 employees from the Windsurf team last week, Cognition is giving the remaining 200-person group a choice: Accept a buyout equivalent to nine months' salary, or stay on the team and work long hours, at least six days or 80 hours a week. According to an internal email viewed by the outlet, Windsurf employees have until August 10 to decide to stay or take the buyout. Related: OpenAI Is Acquiring Former Apple Designer Jony Ive's Startup for $6.5 Billion "We don't believe in work-life balance — building the future of software engineering is a mission we all care so deeply about that we couldn't possibly separate the two," Cognition CEO Scott Wu wrote in an email, viewed by the outlet. Wu further backed up his stance in a post on X on Tuesday, which acknowledged that Cognition has "an extreme performance culture" and that the company is "upfront" about the atmosphere when hiring. "We routinely are at the office through the weekend and do some of our best work late into the night," Wu wrote in the post. "Many of us literally live where we work... we understand it's not for everyone." A typical buyout starts at four weeks of pay, plus an additional week for every year spent at the company, according to CNBC. Nine months is a higher buyout than usual. People have asked about our culture and recent employee communications. Cognition has an extreme performance culture, and we're upfront about this in hiring so there are no surprises later. We routinely are at the office through the weekend and do some of our best work late into… — Scott Wu (@ScottWu46) August 5, 2025 Windsurf has faced a turbulent few months. The startup was initially in talks with OpenAI for a $3 billion acquisition, but the deal fell apart in early July. Then, Google stepped in and agreed to pay $2.4 billion in exchange for nonexclusive licensing rights to Windsurf's technology and access to Windsurf talent to join Google's AI effort. Google hired CEO Varun Mohan, co-founder Douglas Chen, and a select group of researchers from Windsurf as a part of the deal. The rest of Windsurf was ultimately acquired by Cognition on July 14. Trivago Completes $32 Million Holisto Acquisition — and Why That Matters
Trivago is making AI search and booking improvements that could stick — if larger factors such as the ChatGPTs and Geminis, and other Google travel products don't get in the way. Trivago issued its second quarter results Wednesday and we interviewed CEO Johannes Thomas via Zoom after the earnings call to learn why it upped its stake to 100% in hotel rate aggregator Holisto for $32 million. We also asked about Trivago's new AI filters, its most recent ad campaign, and whether Trivago had "turned the tide." (The answer: "The tide is not moving in the wrong direction right now.") Why is the Holisto deal important? Because the achilles heel of price comparison sites like Trivago, Kayak, Skyscanner and Google Hotels is that travelers seldom book right on their platforms. Thomas told us during the interview that it acquired all of Holisto faster than anticipated because it handles Trivago Book & Go. A pilot program with partners during the second quarter showed significant increases in actual travel booking on the Trivago platform.
