Temasek-backed Azalea is back with another PE-backed bond offering

[SINGAPORE] Azalea Asset Management, an indirect subsidiary of Temasek Holdings, will be launching a new series of bonds backed by 40 private equity (PE) funds.
The indicative total size of the new issuance, Astrea 9 Private Equity Bonds, is US$780 million. It is about 48 per cent of the underlying PE portfolio valued at US$1.63 billion as at end-December 2024.
The funds invested in 1,086 companies in various industries, including information technology, industrials, healthcare, financials and consumer discretionary.
The coupon rates of the bonds will be announced later.
The issuance will have three classes of bonds: A-1, A-2 and B Payment-in-Kind (PIK). However, only Class A-1 and A-2 bonds will be made available to retail investors, according to a preliminary prospectus lodged on Tuesday (Jul 22) at the Monetary Authority of Singapore's Opera site.
The indicative size of the lowest-risk tranche of Class A-1 bonds is S$615 million, comprising S$400 million for the public offer and a placement of another S$215 million to institutions and other investors.

The Class A-1 tranche is expected to be rated A+sf by Fitch Ratings, while the Class A-2 tranche is expected to be rated Asf. The 'sf' suffix refers to structured financial instrument.
The indicative size of the Class A-2 bonds is US$200 million. It comprises US$50 million for the public offer and a placement of another US$150 million.
Both classes of bonds are subject to a mandatory call after five years in 2030 and a legal maturity of 15 years in 2040.
Based on the tentative timeline in the prospectus, the public offer for Class A-1 and A-2 bonds will open for applications on Jul 31 at 9 am and close at noon on Aug 6. The minimum application for retail is S$2,000.
The issuance of the Class B PIK bonds has an indicative size of US$100 million, all of which will be offered to institutions and other investors through a placement. The Class B bonds do not have a scheduled call date and they are expected to mature in August 2040.
The expected rating for the Class B PIK tranche is BBBsf by Fitch.

[HONG KONG] Hong Kong developer Tai Hung Fai Enterprise, founded by billionaire Edwin Leong, has secured a private loan of up to HK$900 million (S$148 million), sources familiar with the matter said, as more property firms turn to such financing. Dignari Capital Partners, an Asian private debt firm, provided the two-year loan, which will go to covering construction costs for a 30-storey office tower in the western part of Hong Kong Island, the sources said. The location at 92-103A Connaught Road West is near a memorial park for the revolutionary Chinese leader Sun Yat-sen, and close to the waterfront with views over the famed Victoria Harbour. Total capital provided for the loan up to the maximum drawdown will depend on construction costs and the needs of the project manager, the sources said. A spokesperson for Tai Hung Fai declined to comment, while Dignari did not respond to requests for comment. Hong Kong developers are increasingly seeking private credit, after China's years-long property debt crisis spilt over into the city, leaving banks wary of piling on more real estate debt as they struggle to handle a growing pile of non-performing loans. In May, Gaw Capital Partners provided a HK$300 million private loan to Hong Kong real estate developer First Group Holdings, while investment firm PAG provided Hong Kong Parkview Group with a HK$300 million private bridge loan, Bloomberg News reported in May. Tai Hung Fai was founded in 1977 by Leong initially as an investment company. It's since evolved into a property development firm with a portfolio of over 450 retail shops, commercial buildings and several hotels, including the Hotel Indigo and Hotel 1936, according to the company's website. Bengaluru - Tesla has granted chief executive Elon Musk shares worth about US$29 billion (S$37 billion) in a new pay deal aimed at keeping him at the helm a crucial pivot for the struggling electric vehicle maker. The move is meant to keep Mr Musk, the public face of Tesla and architect of its robotaxi strategy, focussed on the company as it navigates a shift to cybercabs and robotics from its mainstay auto business. It also seems to quell any speculation that the board's patience with Mr Musk could be wearing thin because of the recent tumultuous months, including the CEO's foray into politics. The company described the 'interim award' of the 96 million new shares as a first step, 'good faith' payment to honour Mr Musk's more than US$50 billion pay package from 2018 that was struck down by a Delaware court in 2024. Mr Musk can claim the new award if he remains in a top executive role for another two years and a court does not reinstate the 2018 package currently on appeal. The move to give Mr Musk greater control of the company suggests that directors still see him as best-suited to tackle Tesla's growing list of challenges in the years ahead. Sales have been falling at the company due to its ageing vehicle line-up, tough competition and Mr Musk's right-wing political stances that have tarnished its brand. S&P Global Mobility data shared exclusively with Reuters showed on Aug 4 that Tesla's brand loyalty had plunged since Mr Musk endorsed US President Donald Trump last summer. Mr Musk's involvement in politics and his wider business empire, including AI startup xAI, have also sparked concerns about his devotion to Tesla, the main source of his wealth. Mr Musk has threatened to leave unless he gets more control over Tesla. The new stock award will take his Tesla stake, already the largest, to more than 15 per cent from the 12.7 per cent currently, according to Reuters calculations based on data compiled by LSEG. Before Aug 4's grant, Mr Musk had no active compensation plan and Tesla said he had not received meaningful pay since 2017. With the legal fight over his 2018 package expected to continue, the board said it moved to retain Mr Musk's 'extraordinary talent.' Talent magnet 'While we recognise Elon's business ventures, interests and other potential demands on his time and attention are extensive and wide-ranging... we are confident this award will incentivise Elon to remain at Tesla,' said a special committee Tesla formed in 2025 to consider Mr Musk's compensation. The new shares will also be forfeited or offset if the Delaware courts fully reinstate the 2018 stock award, ensuring there is no 'double dip,' it said. Investors and analysts welcomed the news, with Tesla shares rising nearly 2 per cent in early trading. The stock has lost a quarter of its value in 2025. 'Under normal circumstances, a compensation package in the billions would raise some eyebrows. (But) clearly investors have benefited from Musk's stewardship of Tesla,' said Camelthorn Investments adviser Shawn Campbell, who owns Tesla shares. 'This stock grant will bind Musk to Tesla for the next two years.' Battle for pay The Delaware ruling on Mr Musk's 2018 pay package, the largest in Corporate America, had cited flaws in the board's approval process and unfairness to investors. Mr Musk kicked off an appeal against the order in March. He argued that the package resulted in spectacular growth for Tesla and yet was determined by the lower Court of Chancery to be unfair to shareholders, who voted twice to approve the plan. Tesla shares have risen nearly 2,000 per cent over the past decade, far outperforming the around 200 per cent rise in the benchmark S&P 500 index in the same period. 'This is simply a repackaged version of what was done years ago and was ruled improper by a judge. It renders the Delaware court decision effectively meaningless,' said Mr Charles Elson, founding director of the Weinberg Centre for Corporate Governance at the University of Delaware. 'You don't have to incentivise him to stay. If he leaves, he throws away 13 per cent of the company, which is still a huge part of his net worth, said Mr Elson, who had filed amicus briefs supporting the court's decision to void Mr Musk's 2018 award. [NEW YORK] Joby Aviation said that it plans to buy the helicopter rideshare business of Blade Air Mobility for as much as US$125 million in stock or cash as the electric aviation firm seeks to expand its battery-powered air taxis into a ready-made market for its aircraft. The acquisition encompasses all of Blade's passenger business, including operations in the US and Europe, as well as the Blade brand, Joby said, confirming an earlier report by Bloomberg. Blade's medical division will remain a public company and rebrand, while partnering with Joby on medical transportation. Blade's helicopter business will continue to expand, even as Joby works to certify and bring its electrically powered aircraft into commercial service, JoeBen Bevirt, the company's chief executive officer, said on Monday (Aug 4). 'With the quiet aircraft we are building, we see an explosion in the number of takeoff and landing locations we can operate from,' Bevirt said. 'Blade has built an absolutely spectacular business, not just in the US but also in Europe.' Joby shares advanced as much as 21 per cent on Monday to a record in New York. Blade surged as much as 31 per cent, raising its market value to nearly US$400 million. The transaction is expected to close in the coming weeks, Joby said. The company, which went public through a merger with a special purpose acquisition company in 2021, has not reported an annual profit since it listed. The company's shares had fallen 10 per cent this year prior to Monday's announcement, giving it a market value of US$309 million. Backed by Toyota Motor, Joby expects to have five aircraft in one of the final phases of certification next year as it aims to start commercial flights in early 2026. The US$13.6 billion company announced plans last month to double production capacity at its plant in Marina, California, to manufacture as many as 24 aircraft a year. According to Joby, Blade flew more than 50,000 passengers in 2024 from a network of 12 urban terminals. Joby, which plans to carry its first passengers in Dubai next year, said the purchase will allow it to speed its commercial efforts by using Blade's existing infrastructure and customer base.
