ADNOC completes $1.5B Debut International Sukuk Issuance

The Obligor for the Sukuk is ADNOC Murban RSC Ltd, a wholly owned subsidiary of Abu Dhabi National Oil Company (ADNOC) P.J.S.C. and the primary debt capital markets issuing and rated entity for ADNOC Group.
The Sukuk was issued on the International Securities Market of the London Stock Exchange at a principal amount of US$1.5 billion, maturing on 6th May 2035, with an annual profit rate of 4.75 percent to be paid semi-annually.
The offering generated significant interest across key global Islamic investors, reflecting the market's belief in ADNOC's exceptional credit quality and resilient strategy across commodity price cycles. It was successfully priced on 28th April 2025, at one of the lowest-ever new issue premiums for Shari'a-compliant securities in the region, and at the region's tightest-ever corporate US dollar 10-year spread.
The successful issuance, which captured a strategic opportunity to further diversify ADNOC's funding sources and broaden its investor base, is part of a disciplined funding strategy building on ADNOC Murban's inaugural Global Medium Term Note bond issuance in September 2024, and Green Financing Facility signed in June 2024.
Net proceeds of the issuance will be used by ADNOC Group for general corporate purposes.
ADNOC Murban is rated 'Aa2' by Moody's Investor Services, 'AA' by Standard & Poor's (S&P) and 'AA' by Fitch Ratings – aligned with ratings assigned to ADNOC's shareholder, the Government of Abu Dhabi. The Sukuk has been assigned a rating of 'Aa2' by Moody's, and 'AA' by Fitch.
Standard Chartered Bank acted as sole Global Coordinator and Joint Sukuk Structuring Bank. Abu Dhabi Islamic Bank, Dubai Islamic Bank, and First Abu Dhabi Bank acted as Active Bookrunners and Joint Sukuk Structuring Banks. Emirates NBD Capital, Abu Dhabi Commercial Bank, MUFG, and Morgan Stanley acted as Active Bookrunners, whereas KFH Capital, Sharjah Islamic Bank, SMBC, and the Islamic Corporation for the Development of the Private Sector acted as Passive Bookrunners on the Sukuk offering.

This surge reflects growing momentum toward decarbonisation despite ongoing geopolitical tensions and economic uncertainty. Solar energy continues to lead the charge. Combined investment in utility-scale and rooftop solar is expected to reach US$450 billion, making it the largest single item in the global energy portfolio for 2025. Battery storage is also gaining ground rapidly, with investment expected to exceed US$65 billion. In contrast, the fossil fuel sector is seeing a slowdown. The Damascus Securities Exchange (DSE) aims to attract investment funds in 2025 or next year as part of its plans to introduce new products, Basel Asaad, the executive director of the bourse told Zawya in a phone interview on June 1. Trading resumed on June 2, after more than five months of suspension. Last month, Western countries led by the United States lifted economic sanctions on Syria following Saudi mediation, to revive the economy and reintegrate Syria into the Arab and international community. "It is necessary to introduce new products (such as) Sukuk and investment funds," Asaad said. He noted that working on these products requires legislative amendments that will be devised without specifying a timeline. In response to a question about the product likely to be launched in the short term, Asaad said, "Investment funds are more important for us at the moment, at least to attract foreign investment." Asaad added that DSE is seeking to launch investment funds that tracks the Sharia index introduced by the bourse in December 2023. According to Asaad, foreign investors account for barely 2% of more than 23,000 trading investors. He expressed hope that this percentage would rise after lifting restrictions related to the inflow and outflow of funds to and from Syria. Trading resumption The last trading session on the market was on December 5, 2024, and trading was suspended on Sunday, December 8, 2024, due to the political events in the country that saw the hurried departure of former president Bashar al Assad. Trading, at the moment, will be open for three weekly sessions, from Monday to Wednesday, according to a statement from DSE. Asaad added that the market administration is keen to resume operations under the same trading rules for now, with the possibility of adjusting at a later stage. Brief market background The DSE, headquartered in Damascus, was established in 2006 and officially opened in March 2009. DSE is divided into a main market with 21 listed companies, a parallel market "A" with three listed companies, and a parallel market "B" with three listed companies. These sub-markets differ based on several criteria, including the company's capital, whether it has made a profit or loss, and the number of shareholders. The banking sector controls 86% of the total shares through 15 banks (11 conventional banks and four Islamic banks), followed by the insurance sector with 6 listed companies. In addition to stocks, trading is available on the DSE for government bonds and pre-emptive rights, which have presented a good investment opportunity for market traders. The initial price of a pre-emptive right is calculated as follows: the closing price of the share minus one hundred Syrian pounds. Saudi-based private conglomerate ERAM Holdings, which operates across multiple sectors including oil and gas, utilities, and petrochemicals and giga projects, is planning to tap the debt markets before the end of the year and has already started discussions with potential lenders. ERAM currently operates across five key verticals which include specialised technical support services, travel and tourism, healthcare, R&D & manufacturing, and industrial support services. In May 2025, the company secured a global credit rating of B+ and a national Saudi credit rating of BB+ from S&P Global, a development that is expected to support the conglomerate's global expansion efforts and facilitate its transition to capital markets-based funding. 'Very few companies hold the B+ and BB+ Saudi national credit rating. Long term we are looking at what kind of instruments we can use in the global and regional markets,' ERAM's Director of Corporate Development & Partnerships, Sarfraz Mohamed told Zawya. 'While an IPO is under consideration, it is not imminent,' he added. Accessing the debt capital markets would help fuel ERAM's growth across its manufacturing, healthcare, Travel and specialised technical services verticals. 'I believe this is the first step in getting ourselves visible to investors,' he added. The conglomerate has been in discussions with global investment banks and is exploring the investor appetite if it were to issue a sukuk. 'By the end of 2025, perhaps sooner, we should make some announcements and moves towards the debt capital markets,' he said. ERAM is aiming at a 15% growth for 2025 and little more than that for 2026. 'We have already made some capex investments in the manufacturing, R&D facilities, and we have future plans of expansion aligned with vision 2030 mandates and that's one of the major reasons why we are looking at the debt markets, Mohamed said. According to ERAM, its power electronics manufacturing facility in the kingdom is the first of its kind in the GCC. It's R&D center in Bangalore, India, caters product development. S&P anticipates revenue growth of approximately 12%–16% in 2025 and 24%–28% in 2026. The stable outlook reflects expectation that ERAM could significantly expand its EBITDA, benefiting from substantial growth opportunities in Saudi Arabia. The rating agency expects ERAM to report S&P Global Ratings-adjusted leverage of 2.1x in 2024, declining to 1.3x-1.7x in 2025, supported by a strong 30%-40% EBITDA growth and limited financial debt.
