PE groups Permira, CVC Cap, EQT in fray to buy Nuvama Wealth from PAG

Mumbai: Private equity buyout groups CVC Capital Partners, Permira and EQT are in talks with Asia-Pacific-focused private equity firm PAG to buy its controlling stake in Nuvama Wealth Management Ltd (NWML), formerly Edelweiss Wealth Management, in a buyout that's potentially worth $1.6 billion, said people in the know.
ADVERTISEMENT Competing with them is HSBC, Europe's largest bank by market capitalisation, said the people cited, in a hotly contested race, as Nuvama's role as the local trading partner of Jane Street came under investor scrutiny.
India's stock market regulator has barred Jane Street from the local securities market. Nuvama's shares plunged 11% in trading, the most in three months, after the interim order - over allegations of market manipulation by Jane Street - became public on Friday.
The four contenders listed above have been shortlisted after non-binding bids were submitted late last month. Due diligence is ongoing with an aim to submit binding bids by this month's end, a deadline that most analysts said will be difficult to meet.
A Fallback Option Also, Warburg Pincus is said to have made a verbal offer with an indicative value for the business and is being kept as a fallback option.
ADVERTISEMENT Domestic fund ChrysCapital is also said to be in the fray. Sources said the potential buyers may be open to a smaller transaction for a lower stake and look to team up with others as co-investors. Consortia are likely to get formed as the cheque size is expected to be large, said the people cited. As promoter, PAG owns 54.78% of Nuvama, which has a market capitalisation of Rs 26,150.87 crore. Any deal involving a change of control will trigger an open offer for 26% of shares held by minority shareholders. At Friday close, PAG's stake is worth Rs 14,383 crore.
ADVERTISEMENT With the stock surging 114% since the firm's listing in September 2023, PAG had decided to start a sale process earlier this year and appointed investment banks JP Morgan and Morgan Stanley as advisers. After an initial approach to strategic buyers, a wider circle of potential suitors including buyout funds were tapped. In the past year, the stock has jumped 55.02%.PAG, CVC, EQT, Permira and ChrysCap didn't respond to queries.
ADVERTISEMENT HSBC declined to comment. Sources close to the bank said it's not pursuing the acquisition.
Nuvama offers wealth management solutions, covering investment advisory, estate planning, asset management services, investment management, lending and broking services for individuals, institutions, senior executives, professional investors and family offices.
NWML is the flagship entity of the Nuvama Group that also offers institutional equities, broking, custodian and settlement services and investment banking services to institutional clients. It was previously a wholly owned subsidiary of Edelweiss Financial Services Limited (EFSL), which announced the sale of a part of its stake in the wealth management business to PAG in September quarter of FY21.

Revenue from asset servicesFollowing completion of the demerger process in June 2023, it got listed in September that year. PAG invested about $325 million for a controlling stake in Nuvama in March 2021.Even though 47% of revenue in the March quarter of FY25 came from asset services (custodian, settlement), equities and investment banking, at the profit after tax (PAT) level, 35% came from wealth management. Around 51% of consolidated PAT came from asset services and 18% from equities and investment banking, which includes M&A and capital market advisory for the full FY25.Jane Street is among the largest clients of this vertical, sources said. While some analysts estimate 40% of business comes from that single client, this could not be independently verified. As per a company presentation, the vertical handled $14.7 billion of institutional assets in FY25, a breakout year when the business saw its revenues jump 85% from the year before.Though Sebi has not named Nuvama in its order, it got caught in regulatory crossfire as it had earlier responded to the NSE's investigation into Jane Street's trades, which the exchange closed in May.
Strong show in FY25 Overall, Nuvama reported a strong performance in FY25 with a 58% YoY increase in profit after tax and a return on equity of 31%. The implementation of regulatory measures for strengthening the index derivatives framework in November 2024 and the moderation in market trends saw Nuvama's revenue from the institutional equities and investment banking segments declining by 27% in March quarter of FY25 from the best-ever performance in Q2 of the same fiscal year.According to ICRA, the franchise's strengths are partially offset by exposure to the inherent volatility in the capital markets besides regulatory uncertainties and associated franchise and reputational risks.'The Jane Street episode will be a one-time hit but not have structural impact,' said one of the executives cited. 'However, valuation may be likely to get impacted if the matter drags on.'Most investors are keen on Nuvama because of its wealth platform. The sector in India is fragmented across different types of players. Currently, wealth under professional management in India stands at around 15%, as compared to ~75% in matured markets. Indian wealth managers have $130-160 billion of assets under management (AUM) of India's $1-1.2 trillion wealth management market.

New Delhi: In a significant Independence Day address, Prime Minister Narendra Modi unveiled the Rs one lakh crore Viksit Bharat Rozgar Yojana, a nationwide employment initiative aimed at transforming job opportunities for India's youth. 'There is big news for the youth of the country,' PM Modi declared from the Red Fort. 'On this day, we are starting and implementing a scheme of Rs 1 lakh crore for the youth of my country,' he said. The scheme, effective from August 15, is designed to incentivise both first-time employees and private sector employers. Under the initiative, any young person securing their first job in the private sector will receive Rs 15,000 directly from the government. 'The son or daughter who gets their first job will be given Rs 15,000 by the government,' PM Modi announced, emphasising the scheme's role in easing the transition into formal employment. To further stimulate job creation, companies that generate sustained employment will be rewarded with financial incentives. Employers hiring additional staff will be eligible for up to Rs 3,000 per month per new employee, with extended benefits for the manufacturing sector. The scheme is expected to create approximately 3.5 crore new jobs over the next two years, with 1.92 crore beneficiaries entering the workforce for the first time. The Ministry of Labour & Employment, in collaboration with the Employees' Provident Fund Organisation (EPFO), will oversee implementation. PM Modi framed the initiative as a cornerstone of the Viksit Bharat mission, aimed at building a developed and inclusive India by 2047. 'This is my gift to the youth -- a double Diwali celebration,' he said, promising economic empowerment and national progress. With its dual focus on youth and enterprise, the Viksit Bharat Rozgar Yojana marks one of the most ambitious employment-linked reforms in recent years. Gurugram's Sohna Road and Noida's Sector-150 have emerged as standout performers in the National Capital Region's property market, leading both capital and rental growth between 2021-end and Q2 2025, according to fresh ANAROCK Research data. Capital values at Sohna Road have jumped 74% in just over three years, while average monthly rents for a standard 2BHK have surged 50% to ₹37,500. Its dual appeal to end-users working in Gurugram's business hubs and investors seeking steady yields has kept demand strong. Sohna Road has blended the advantages of strong corporate leasing nearby with major infrastructure upgrades, notably improved linkages via the Delhi–Mumbai Expressway. As per data analysed by real estate consultant Squareyards, the number of housing units built in Sohna since 2020 exceeds its total from the decade before (2010-20). The average inventory age in the area is less than four years. The total new supply in Sohna since 2020 has already surpassed the cumulative supply of the previous decade (2010–2020), signalling an inventory with an average age of less than four years. The market is dominated by 2BHK units, accounting for 65% of supply, followed by 3BHK units at 26%. "As of 2024, 2BHK units make up 65% of the market's new supply while 3BHK units account for 26%. Notably, properties priced above Rs 1 crore now constitute 34% of new supply, more than doubling from 15% in 2009, said the Square Yards report. 'The strategic infrastructure and connectivity projects, such as the elevated corridor and the DMIC, have put the Sohna micro-market on the radar of both developers and homebuyers in Gurugram. Several leading developers have strategically positioned themselves, securing land parcels and actively rolling out new launches across on-going and new projects. The response from homebuyers has been equally robust, matching the increasing supply," said "Rajat Likhyani, Principal Partner, Square Yards. Sector-150 in Noida has seen the most dramatic price growth nationwide, with property values soaring 139% since 2021. The surge is powered by large-scale township projects, master-planned green spaces, and dedicated sports infrastructure. Rents have risen 71%, supported by demand from professionals and families attracted to the area's open spaces and quality of life. Across 14 major micro markets studied, capital values rose between 24% and 139%, while rentals increased 32% to 81%. Bengaluru's Sarjapur Road and Thanisandra, Hyderabad's Gachibowli, and Pune's Wagholi also posted strong double-digit gains, largely driven by IT expansion and connectivity projects such as new metro lines and expressways. MMR, Kolkata, and Chennai Pockets Also Outperform In Mumbai, Chembur's transformation via the Eastern Freeway and Metro extensions pushed prices up 53%, while Mulund saw 50% appreciation. Kolkata's EM Bypass and Rajarhat, along with Chennai's Perambur and Pallavaram, benefited from strong transport links and planned development, though growth was more moderate compared to NCR and Bengaluru.

The companies expected to create President Donald Trump's 'Golden Dome for America' know the objective: to protect the US from missiles and airborne threats. They know it means billions of dollars' worth of contracts. But they don't know much about what, exactly, they are expected to do — and at an event last week, the government officials who might tell them weren't even allowed to mention the project by name. Attendees at the 28th annual Space and Missile Defense Symposium in Huntsville, Alabama, saw signs early on that the topic on everyone's minds might be tricky to discuss. Before the event even began, the industry groups hosting it removed a Golden Dome-focused panel. 'Information regarding Golden Dome for America will be promulgated by the government,' they said. Major defense contractors, including Lockheed Martin Corp., RTX Corp. and Northrop Grumman, prepared slick websites and flashy sideshows for the conference to demonstrate how their work fits with the president's vision for an air and missile defense network protecting the entire US. Their executives were all singing the same tune: The project is so ambitious and potentially lucrative that there's a role for everyone, and plenty of opportunity for collaboration, including between startups and nontraditional defense companies. Just don't ask the government for details. 'In the last six months I've walked into many, many rooms and said, 'I can't take any questions on you-know-what,' and I've never received a question other than something about you-know-what,' Air Force Lieutenant General Heath Collins, director of the Missile Defense Agency, said to laughter after delivering closing remarks at the event. Golden Dome will include existing systems, accelerated development of advanced technology, and ultimately new components such as space-based interceptors, according to Trump, who announced his plan for the programme in one of his first executive orders after returning to the presidency. He also has said the project will be fully operational before the end of his term and will cost $175 billion. The Congressional Budget Office has estimated the price tag for a network of space-based interceptors could be as high as $542 billion over 20 years. Space Force General Michael Guetlein, who is leading the project, is expected to unveil its architecture by mid-September. At the conference, industry representatives showcased their hardware, including RTX's Patriot missile defense system, which uses Lockheed Martin's PAC-3 MSE interceptor, and Northrop Grumman's Integrated Battle Command System, as they sought insight from the government on how the pieces will fit together. Companies also pointed to the work they or their corporate predecessors had done on President Ronald Reagan's space-based Strategic Defense Initiative - the so-called 'Star Wars' missile defense program that fizzled in the 1980s — saying they were up for the challenge of making it work 40 years later. Riki Ellison, founder and chairman of the Missile Defense Advocacy Alliance, said on the sidelines of the symposium that not being able to speak openly about an 'executive order that is out in the public, that we're going to build this in three years for $175 billion — it just delays this process and puts more pressure to get this thing in play.' None of the industry or academic sources interviewed for this article knew why there were such restrictions. In a statement, the Pentagon declined to disclose further information because of operational concerns, saying only that the Defense Department is gathering information to support Golden Dome. The Pentagon has declined so far to detail which organisation compiled the $175 billion estimate, how many years it covered, an annual breakdown of the costs and categories on which the money would be spent. 'It would be imprudent for us to release further information at this time,' Pentagon spokesperson Kingsley Wilson told reporters last week. Space Force General Guetlein 'just got in the building,' said Wilson, who pledged to be 'transparent where we can be' about a 'very expensive' but 'very critical' programme. Not all of the government speakers at the event avoided the forbidden words. A NASA representative — notably not bound by the Pentagon's strictures — spoke about the work his agency is doing that could support Golden Dome, including advanced propulsion technologies and materials science. Industry representatives say they hope to learn more soon. The restriction on what can be discussed 'seems to have been partially lifted and probably will be more lifted as we keep going through this,' said Milton Carroll of Peraton, which aims to help Golden Dome systems communicate seamlessly. MDA's Collins also sounded an optimistic note, telling the defense officials, contractors and academics at the event that the program's launch presented a unique opportunity. 'It's a fleeting moment,' he said. 'As history has shown, this doesn't last forever, and we need to make a monster change now.'
