Park Hotel Management director breached fiduciary duty by selling assets to himself under value

Mr Allen Law, the sole director and shareholder of PHMPL, sold assets to himself at 'gross undervalue' and diverted more than $32 million in cash and receivables for his benefit.
SINGAPORE – Allen Law, the scion of Hong Kong-based billionaire Law Kar Po, was found to have breached his fiduciary duties and prejudiced the interests of creditors, while navigating his company Park Hotel Management (PHMPL) through financial challenges resulting from the Covid-19 pandemic.
According to a 165-page High Court judgment released on Aug 6, Mr Law, the sole director and shareholder of PHMPL, sold assets to himself at 'gross undervalue' and diverted more than $32 million in cash and receivables for his benefit.
'When (Mr Law's) company was in financial peril, he transferred its viable assets and businesses (effectively) to himself at a gross undervalue and manipulated the books of the company to eliminate receivables owed by him and his entities, leaving the creditors with nothing,' High Court Judge Hri Kumar Nair noted.
'Far from demonstrating selflessness, Mr Law showed contempt for his fiduciary obligations... While PHMPL may have failed because of events beyond his control, his response was entirely regrettable.
'He appropriated PHMPL's assets for himself and manipulated PHMPL's books to hide his subterfuge. His conduct, both in relation to the `restructuring' and his defence of these proceedings, was dishonest and dishonourable. His first and only thought was to benefit himself,' the judge said.
Mr Law and three other companies were sued by PHMPL and its liquidators over matters relating to assets sold to entities related to him before the company was placed in liquidation in July 2021 in the wake of the pandemic, which had devastated the hospitality industry globally.
The three defendant companies are Park Hotel Group Management (PHG), BVI-incorporated Good Movement Holdings and Singapore Institute of Hospitality (SIOH).
PHG and SIOH are owned by Good Movement, which in turn is owned by Mr Law, who is married to Ms Tan Shin Hui, granddaughter of former UOB chairman, the late Mr Wee Cho Yaw. She is the executive director of PHG.
PHMPL was also the sole shareholder of hotel management company Park Hotel Management (Maldives), restaurant operator Yan and Park Hotel Affiliates (PHA).
Due to plummeting occupancy rates and pandemic-related restrictions, Park Hotel CQ, operator of the former Park Hotel Clarke Quay property in Unity Street; and Grand Park OR, operator of the former Grand Park Orchard hotel, were unable to meet their lease obligations.
Despite efforts to negotiate with landlords and seek relief under the Covid-19 (Temporary Measures) Act, PHMPL's financial position became increasingly precarious.
A sale of PHMPL's assets was done in March 2021. But the liquidators said that PHMPL did not receive any consideration for the substantial assets it disposed of.
This included a sum of $2.7 million for assets sold to PHG under an asset share and transfer agreement (ASTA) in March 2021. The assets included 12 hotel management agreements, licence agreements, business names, and PHMPL trademarks.
The shareholdings in Park Hotel Maldives were purchased by PHG and Good Movement for US$40,000 (S$51,490), while the shareholding in Yan was purchased by Good Movement for $ 500,000, and the assets of the Singapore Institute of Hospitality were sold by PHMPL for $ 200,000.
'The effect of the agreements was that PHMPL's assets... were transferred to the defendant companies for a total sum of $ 3.4 million and US$40,000,' according to the judgment.
'But Mr Law... arranged it such that PHMPL did not even receive these sums,' Justice Nair said.
Furthermore, the judge found that the market value of these assets amounted to $ 26.4 million and US$2.42 million.
'The transfer of assets and businesses from PHMPL to the defendant companies was only one part of Mr Law's plan. In the period when Park Hotel CQ and Grand Park OR were failing to meet their obligations under their respective leases, Mr Law extracted substantial amounts of cash from all three companies,' according to the ruling.
In addition, Mr Law also breached the no-profit rule of the Companies Act when he diverted an opportunity to manage Park Hotel Kyoto to PHG, to the detriment of PHMPL.
The second part of the plan, the judge found, 'was to cause PHMPL to declare and backdate substantial dividends in Mr Law's favour and to effect a series of transfers and set-offs in PHMPL's books, most of which were also backdated, to eliminate his and his entities' liabilities to PHMPL.'
Mr Law received cash payments from PHMPL and also diverted receivables of $ 22.3 million due from his related companies to PHMPL. These amounts were set off against dividend declarations of $ 22 million and $ 5.9 million, and an accounting entry of $ 6.75 million in his favour.
But the judge found that the dividend declarations were invalid as PHMPL was insolvent at the time they were made. As a result, Mr Law must repay $ 10.1 million in cash payments and $ 22.3 million in receivables.
'Given my findings that PHMPL was at the very least financially parlous by 31 December 2020 and Mr Law knew this, the cash payments were not in the interests of PHMPL and amount to breaches of Mr Law's fiduciary duties to PHMPL,' Justice Nair said.
A representative from the defendants said: 'This remains a legacy matter arising from the exceptional circumstances of Covid lockdowns in 2020 and their unprecedented impact on the hospitality sector. The judgment is being reviewed and appropriate next steps are being considered.'

THE thing about trading stocks is everyone has an opinion. And right now there's an unusual divergence in the market that's as stark as man versus machine. Computer-guided traders haven't been this bullish on stocks compared to their human counterparts since early 2020, before the depths of the Covid pandemic, according to Parag Thatte, a strategist at Deutsche Bank. The two groups look at different cues to form their opinions, so it's not a shock that they see the market differently. While computer-driven fast-money quants use systematic strategies based on momentum and volatility signals, discretionary money managers are individuals looking at economic and earnings trends to guide their moves. Still, this degree of disagreement is rare – and historically, it doesn't last long, Thatte said. 'Discretionary investors are waiting for something to give, whether that's slowing growth or a spike in inflation in the second half of the year from tariffs,' he said. 'As the data trickles in, their concerns will either be proven right if the market sells off on growth fears, or the economy will remain resilient, in which case discretionary managers would likely begin to lift their stock exposure on economic optimism.' As of the week ended Aug 1, they'd cut their equity exposure from neutral to modestly underweight on lingering uncertainty surrounding global trade, corporate earnings and economic growth, according to data compiled by Deutsche Bank. 'No one wants to buy pricier stocks already at records so some are praying for any selloff as an excuse to buy,' said Frank Monkam, head of macro trading at Buffalo Bayou Commodities. Chasing momentum Trend-following algorithmic funds, however, are chasing that momentum. They've been lured into a buying spree after cut-to-the-bone positioning in the spring cleared the path to return in recent months as the S&P 500 rallied almost 30 per cent from its April low. Through the week ended Aug 1, long equity positions for systematic strategies were the highest since January 2020, Deutsche Bank's data shows. This divergence underpins the tug-of-war between technical and fundamental forces, with the S&P 500 stuck in a tight range after posting its longest streak of tranquility in two years in July. The Cboe Volatility Index – or VIX – which measures implied volatility of the benchmark US equity futures via out-of-the-money options, closed at 15.15 on Friday, near the lowest level since February. The VVIX, which measures the volatility of volatility, dropped for the third time in four weeks. 'The rubber band can only stretch so far before it snaps,' said Colton Loder, managing principal of the alternative investment firm Cohalo. 'So the potential for a mean-reversion selloff is higher when there's systematic crowding, like now.' This kind of collective piling into a trade periodically happens with computer-driven strategies. In early 2023, for instance, quants loaded up on US stocks on the heels of the S&P 500's 19 per cent drop in 2022, until volatility spiked in March of that year during the regional banking tumult. And in late 2019, fast-money traders powered stocks to records after a breakthrough in trade talks between Washington and Beijing. This time around, however, Thatte expects this split between man and machine to last weeks, not months. If discretionary traders start selling in response to weaker growth or softening corporate earnings trends, pushing volatility higher, computer-based strategies are likely to begin to unwind their positions as well, he said. In addition, fast-money investors will likely reach full exposure to US equities by September, which could prompt them to sell stocks as they become vulnerable to downside market shocks, according to Scott Rubner of Citadel Securities. CTA risk Given how systematic funds operate, selling may start with commodity trading advisers, or CTAs, unwinding extreme positioning, Loder said. That would increase the risk of sharp reversals in the stock market, although there would need to be a substantial selloff for a spike in volatility to last, he added. CTAs, who have been persistent stock buyers, are long US$50 billion of US stocks, putting them in the 92nd percentile of historical exposure, according to Goldman Sachs Group. However, the S&P 500 would need to breach 6,100, a decline of roughly 4.5 per cent from where the index closed on Friday, for CTAs to begin dumping stocks, said Maxwell Grinacoff, head of equity derivatives research at UBS Group. So the question is, with quant positioning this stretched to the bullish side and pressure building in the stock market due to extreme levels of uncertainty, can any rally from here really last? 'Things are starting to feel toppy,' said Grinacoff, adding that the upside for stocks 'is likely exhausted' in the short run given that CTA positioning is near max long. 'This is a bit worrisome, but it's not raising alarm bells yet.' What's more, any pullback from systematic selling would likely create an opportunity for discretionary asset managers who missed out on this year's gains to re-enter the market as buyers, warding off a more severe plunge, according to Cohalo's Loder. 'Whatever triggers the next drawdown is a mystery,' he said. 'But when that eventually happens, asset-manager exposure and discretionary positioning is so light that it will add fuel to a 'buy the dip' mentality and prevent an even bigger selloff.' BLOOMBERG

Hyperlocal deliveries fuel 300% stock rise for Shopee owner Sea

[SINGAPORE] In the battle royale of global e-commerce, the names are familiar and formidable: Amazon. TikTok Shop. Shein. Temu. But in South-east Asia, home to 675 million people and a US$160 billion online shopping market, the reigning monarch is an app the colour of a traffic cone. It is called Shopee. And it is thriving. Owned by Singapore-based Sea Ltd, Shopee has pulled off one of the more improbable corporate comebacks in recent memory, sending its stock soaring more than 300 per cent since the start of 2024. A key secret weapon is a little known logistics operation powered by an army of homemakers, students and retirees. And the help of some very large Ikea bags. That operation is SPX Express, a homegrown in-house delivery network that Sea spent years building in the shadows. While rivals like plastered ads across the city for Black Friday and TikTok Shop flooded feeds with flash sales, Shopee was busy rewiring the infrastructure of South-east Asian commerce one community at a time. They are a familiar sight in Singapore. The retired 'uncle' in flip-flops, slinging parcels across a housing block in an ever-practical blue Ikea bag. Or an entrepreneurial homemaker busily sorting a makeshift Shopee kiosk beside the elevator. They are the human backbone of SPX Express, which now handles the majority of Shopee's several billion parcels annually. And Wall Street has noticed. Shopee's success has helped Sea inch towards a US$100 billion market cap, on the heels of Singaporean banking giant DBS, the region's most valuable company. The stock, listed on the New York Stock Exchange, has soared 324 per cent since hitting a low in January last year. Of the 41 analysts tracked by Bloomberg who rate Sea, 33 of them have a 'buy' recommendation on the stock. Sign Up Sign Up 'Sea's significant recovery was largely driven by growth in its e-commerce business, which was executed really well during the post-Covid period,' said Hussaini Saifee, an equity research analyst at Maybank Securities, who rates the stock a 'buy.' In 2021, Shopee was facing a conundrum: demand was exploding – especially during the Covid pandemic – but its delivery pipeline was buckling under the pressure. Until then, Shopee had relied mostly on third-party carriers like J&T Global Express and Singapore Post to navigate the logistical complexity of South-east Asia: thousands of islands, alleys too narrow for vans, dirt roads more familiar to scooters than trucks. That changed almost overnight. As online orders more than doubled in 2021, Sea bet big on building its own logistics arm. During a 2022 Sea earnings call, chief executive officer Forrest Li pledged to build up its logistics business, spending nearly US$1 billion that year alone. Lowering the cost of delivering parcels will be 'key to long-term growth,' he said. It was a big risk during a difficult period. Sea had just lost almost 90 per cent of its value from its 2021 peak. Investors were disillusioned about its money-making potential in a global tech rout, scrutinising Sea's growth prospects after shoppers emerging from pandemic lockdowns started cutting back on online purchases. The gaming and e-commerce giant had cut about 7,000 jobs to try assuage some of these concerns. It also shuttered its e-commerce operations in some European and Latin American markets and said it would reduce expenses to cope. CEO Li brought in Hoirul Hafiidz Bin Maksom, a bespectacled 43-year-old former hospital operator, experienced in coordinating large local teams in a high stakes, time-sensitive, customer-centric environment. Over the span of two years, as Hoirul obsessed over shortening delivery timings and ways to bring down costs, Sea built up a network of delivery drivers, warehouses and thousands of collection points. The market share of its logistics operations in South-east Asia, which was essentially non-existent in 2022, grew to about 25 per cent in 2024, according to research firm Momentum Works. 'Covid was a great accelerator for us,' said Hoirul. 'There was definitely a gap in the services available for last-mile logistics, just because e-commerce was just growing too fast during Covid. So we had to do our part and solve this problem.' Today, SPX Express is a finely tuned operation. At midnight, sorting centres buzz to life. Parcels are unpacked, scanned, and routed via conveyor belts into colour-coded plastic bags – blue, orange, green and purple – each representing a different part of the island. One such sorting facility can processes up to 400,000 parcels a day. With SPX Express, 90 per cent of its parcels are delivered the next day in Singapore. In the rest of Asia, almost half of SPX Express orders were delivered within two days. But what's truly characteristic to Shopee begins after the parcels leave the warehouse. SPX Express' edge is in its intimacy. It's the fact that your parcel might be delivered by your retired neighbour, or the kid next door looking to earn pocket money. People like John, a 64-year-old who's been delivering in his neighbourhood for four years, going up and down apartments in a quarter-mile radius to hand over hundreds of parcels every day. He does it for the money, sure – a little extra cash is always nice. But he also likes the community. 'I've made so many friends, I get to chat with elderly neighbours who welcome me into their home and witness milestones of so many families,' John said. Shopee scaled this model. Hoirul's lightbulb moment came while walking through his public housing estate last year. He noticed that neighbours were already informally receiving parcels on behalf of others. Why not pay them? This would be easy to set up, the parcels would be safe and SPX Express would be able to leverage the existing public housing infrastructure of Singapore, where more than 80 per cent of the population lives. So Shopee started doing just that – setting up collection points in the very homes of the people who live in the buildings they deliver to. Shopee now has more than 3,500 of these sites, which also include shops and lockers, across Singapore. Some look like tidy mini post offices. Others are literally living rooms stacked with brown packages and a folding table. Pearlyn Tan and her husband, a delivery driver, run one out of their flat. She handles up to 80 parcels a day. At S$0.30 per package, they earn enough to cover a few days of groceries each week. Then there is Diyana Scott, a TikTok influencer and mother of five, who turned to Shopee after losing her job earlier this year. Her whole family helps. Her kids rotate shifts and greet neighbours collecting their orders. 'I made new friendships with many mothers in the neighbourhood,' Scott said. 'I love it.' 'Shopee's vibrant orange is plastered over thousands of touchpoints all across South-east Asia – delivery trucks, parcel lockers and sometimes even on the back of motorbikes,' said Jianggan Li, founder of Singapore-based research firm Momentum Works. 'This level of visibility, coupled with the human touch, helps Shopee reinforce their presence in the fabric of life of locals; especially across South-east Asia's diverse landscape and hard-to-reach places in the region.' By the fall of 2024, Sea's logistics arm was delivering a majority of its own packages. It also briefly surpassed J&T Express, according to Momentum Works. SPX is also partnering with other companies like Shopify to expand its logistics services. Ahead of Sea's second quarter earnings on Aug 12, the company is forecast to post a record US$5 billion in revenue, according to Bloomberg estimates. Its e-commerce arm is projected to account for 72 per cent (US$3.61 billion) of sales, with value-added services including logistics estimated to contribute US$799 million, up 14 per cent from a year ago. Shopee's market share has jumped to 56 per cent of US$120 billion in gross merchandise value last year, according to Momentum Works based on the top four South-east Asian e-commerce platforms. TikTok Shop and Lazada claimed 19 per cent and 15 per cent, respectively. But SPX Express is not friction-free. Residents complain that they are using shared public spaces to sort parcels and local councils in Singapore often make them shift from one block to another. And the gig-like pay structure, with typical payouts of S$0.50 per parcel, mean workers often hustle longer hours to keep up with rising volumes. Also, while SPX may have briefly overtaken J&T Express in parcel volume, margins remain tight and SPX has yet to prove that it can win outside of Shopee's terrain as it looks to offer its logistics services to more companies. Meanwhile, TikTok Shop remains a formidable force with its tight partnership with J&T Express and deep-pocketed investment in the region. 'TikTok Shop's emergence was a concern for Shopee because they have the capital backing from ByteDance to take market share,' said Maybank's Saifee. 'Shopee's retention of its market share is linked to SPX Express, as well as increasing the assortment on their platform and bringing down prices by working together with sellers.' But it is clear that Shopee has become part of the social fabric in South-east Asia. In Indonesia, SPX collection points operate out of warungs – small family shops that double as pickup depots. In Taiwan, they have been installed in convenience stores and shops filled with Shopee lockers. In Brazil, where Shopee has also expanded, the network is growing too. John, the retiree, has witnessed first hand how fast Shopee has expanded and is not worried about the competition. The number of packages he delivers has tripled in four years. He knows his neighbours' unit numbers by heart and sometimes slips the package behind their shoe rack if they're not home. 'I just take things in my stride,' said John, hurrying off with two Ikea bags full of parcels. BLOOMBERG

SINGAPORE – The income ceiling for couples applying for Build-To-Order (BTO) flats, as well as the minimum age of 35 for singles purchasing flats, is being reviewed, and changes to these policies – if any – will depend on upcoming flat supply and demand, said National Development Minister Chee Hong Tat. Speaking to local media outlets on Aug 5, when he laid out some of his ministry's priorities, Mr Chee said a continued strong supply of BTO flats is needed to make any changes to the eligibility conditions for flat buyers. To this end, he said 55,000 BTO flats will be launched between 2025 and 2027 – 10 per cent more than the Government's previous supply commitment of 50,000 flats over the same period. Apart from potential changes to public housing policies, Mr Chee also made announcements on plans to enliven commercial spaces, as well as improve the maintenance of private estates. Eligibility conditions for flat buyers On BTO eligibility conditions that exclude couples who currently exceed the $14,000 income ceiling, as well as singles who are not aged 35 yet, from applying for flats, Mr Chee said these are still being reviewed. 'I want to assure Singaporeans that we are reviewing both income criteria and also the age requirement for singles, and at an appropriate time, we do intend to make some moves,' he said. 'But I want to make sure that when we make those moves, we will not end up with a situation where there's insufficient supply,' he added, noting that the Government has worked very hard to ease the BTO supply crunch caused by the Covid-19 pandemic, when many applicants were not able to choose flats, or faced a very long wait for their new homes. Mr Chee said demand for new flats remains strong, including from young couples who want to own their own home while also living near their parents, instead of the whole family living in the same flat – a practice more common in the past. Whether the income ceiling for couples and the minimum age for singles can be adjusted depends on the supply that can be introduced over the next few years, said Mr Chee. 'Because you can imagine, if we lower the age limit for singles, or if we raise the income threshold, there will be more applicants who qualify and therefore demand will go up,' he said, adding that this demand cannot be met without a strong supply of BTO flats. 'I think it's important for us to create the right conditions to be able to make these policy moves at an appropriate time.' Only when there is sufficient supply to meet increased flat demand can the income ceiling for couples, or age threshold for singles, be tweaked, he said. Business improvement districts The Ministry of National Development will propose new legislation to formalise the Business Improvement District (BID) model, said Mr Chee. This follows a successful pilot by the Urban Redevelopment Authority (URA) that has been ongoing since 2017. Under the BID programme , private-sector property owners and businesses take collective ownership of the precincts they operate in, by pooling funds for marketing, hospitality and organising events. Under the pilot BID programme, businesses in each participating precinct had to develop a multi-year business plan and contribute funds to roll out programmes. To kick-start the programme, the government offered support by matching every membership dollar raised dollar-for-dollar, up to a cap of $500,000 per annum. Four BIDs are still active – in Marina Central (from January 2020), Tanjong Pagar (from September 2019), the Singapore River (from April 2017) and Raffles Place (from January 2020) – while a BID for Marina Bay called the Marina Bay Alliance operated from January 2020 to December 2023. Programmes organised include the Singapore River Festival by Singapore River One, and District M, a pop and electronic music festival by the Marina Central BID. Mr Chee said the Government hopes that formalising the BID model will result in more BIDs being set up across Singapore. He added that the new laws will leverage the established BID framework and safeguards to allow commercial property owners to self-organise and form their own BIDs. In turn, commercial precincts are expected to be livelier with the insertion of new programmes. He said one sector that could be revitalised by the BID model is the nightlife industry . URA said the Government is aiming to enact the BID legislation within the next two years. Change-of-use applications To shorten regulatory processes and lower costs for some businesses, the Government is working on streamlining processes such that applications to URA will no longer be required. Currently, businesses need to obtain URA's permission for change of uses within commercial spaces in JTC business parks and community centres managed by the People's Association (PA) – a process that takes about two weeks and costs $500. URA's permission is also required for land-based solar farm projects, and comes with a $3,500 application fee. Mr Chee said the Government is working towards no longer requiring URA's permission to be granted in both these instances. URA said the rule tweaks regarding change of use will apply to 'selected commercial uses in PA's community centres' – for instance, changing a shop to a gym. The agency said JTC and PA will assess and administer proposals for authorised commercial uses on their respective premises, and work directly with tenants on operational matters. As for the rule changes for land-based solar farms, URA said they will apply to those to be set up on state and statutory board-owned land. 'The respective land owner agencies would have already obtained URA's upstream land use approval for the land-based solar projects,' said the agency. URA said the streamlined processes are expected to be implemented in 2026. Private estate maintenance Noting that both public and private estates in Singapore are ageing, Mr Chee said the Government is reviewing the Building Maintenance and Strata Management Act to better enable management corporation strata titles (MCSTs) to upgrade their developments. This comes on the back of a growing number of condominium developments grappling with deteriorating infrastructure and insufficient sinking funds to carry out major repair and replacement works. In addition, Mr Chee said that in line with Age Well SG – a national programme to support seniors to age well in their homes and their communities – the Government will study how the Building and Construction Authority's Accessibility Fund can better support MCSTs. The fund provides grants to building owners to upgrade their existing buildings with essential accessibility features, such as ramps, wheelchair-friendly lifts and accessible carpark spaces. Studies are still at the early stage, said Mr Chee.
