Vedanta Q1 profit falls 11%; Co drops plan to tap strategic reserves
The metals and mining major has shelved its plans to transfer ₹ 12,587 crore from its strategic reserves to retained earnings, the total profits that a company keeps after distributing dividends to shareholders.
The move was seen as an attempt by the company to free up cash by liquidating reserves to increase the dividend outgo to its shareholders, including its London-based parent company Vedanta Resources. Vedanta had earlier moved the Mumbai bench of the National Company Law Tribunal to seek its nod on the transaction.
'In view of evolving strategic priorities, the Board of Directors, at its meeting held today, has decided not to pursue the aforesaid Scheme at this stage,' the company said in a regulatory filing on Thursday.
The company's board also approved an additional $84 million for the expansion of its zinc mines at Gamsberg in South Africa. Earlier, it had approved a $466 million plan to double the mine's capacity from 4 million tonnes a year. With the additional investment, the capacity will be ramped up to 8.4 million tonnes a year, making Vedanta Zinc International the largest Zinc producer in South Africa, the company said.
Vedanta Ltd reported a profit of ₹ 3,185 crore, lower than ₹ 3,606 crore a year ago. The corresponding quarter last year had a deferred tax gain of ₹ 735 crore, which turned to a ₹ 206 crore outgo this year, impacting its bottom line.
Its revenue for the quarter was 6% higher year-on-year at ₹ 37,434 crore.
The company's stock closed 2.16% lower at ₹ 425.3 on the BSE on Thursday. The earnings were disclosed during trading hours.
'Our 1Q performance has set a strong foundation for the year ahead. Amidst global market volatility, we delivered the highest-ever first quarter Ebitda,' Anil Agarwal, chairman, Vedanta, said in a press statement.
The company reported earnings before interest, tax, depreciation and amortization (Ebitda) of ₹ 9,528 crore, up 1% year-on-year.
'This strong performance alongside corporate initiatives, such as the HZL stake sale which generated ₹ 3028 crore cash, has enabled Vedanta to deliver a Net Debt to EBITDA ratio of 1.3x,' said Ajay Goel, chief financial officer of the company.
'Given our NCD (non-convertible debenture) issuance of ₹ 5,000 crore and other refinancing, the cost of our debt has reduced by around 130bps y-o-y to 9.2%. The recent reaffirmation in credit rating at AA by both Crisil and ICRA highlights our financial strength and market's confidence in Vedanta's growth story,' he said.

The Mahindra Group has announced a one-time employee stock ownership plan (Esop) grant for 12,000-14,000 employees, including shop floor workers for the first time ever. The move across three core companies—Mahindra & Mahindra (auto and farm sector), Mahindra Electric Automobile and Mahindra Last Mile Mobility —comes amid surging sales and profit on the back of hit products such as the Thar driving the M&M stock up more than 12 times in five years. Mahindra has also overtaken Hyundai to become the country's second biggest manufacturer of passenger vehicles, thanks to its range of SUVs. The Esops will help broad-based wealth creation, the tractor-to-technology conglomerate said in an internal circular. ET has seen the note. It did not reveal how many shares the group will earmark for this purpose, but people in the know estimate the total outflow to be in the range of ₹ 400-450 crore. While granting Esops to keep employees motivated is not unusual, this could be the first time a large Indian conglomerate extends these benefits to shopfloor workers. The Esops, structured as restricted stock units (RSUs). Productivity Boost? The grant is being positioned as a reward for long-term contribution and a tool to align employees with value creation. Rajiv Agarwal, department chair for strategy at leading B-school SPJMR, said with this move, Mahindra is fostering a productive environment, where labour participation drives higher overall productivity. 'This approach not only supports the company's growth but also allows employees to benefit from the rise in the stock price,' Agarwal said. 'It's a smart strategy — compensating workers not just with their salaries for the hours they work, but also rewarding them when the company does well. This dual benefit truly aligns employees' interests with the company's success.' The Esop scheme comes on the back of a sharp surge in valuations of Mahindra Electric and Mahindra Last Mile as well. Both have seen over 10x growth in the past five years, supported by strong execution, strategic focus and new business momentum. M&M's shares closed at ₹ 3,160 on the BSE on Friday, down 1.35 per cent from its previous close. Its market cap stood at ₹ 3,92,925 crore. The Esop shares will be granted to employees on permanent payrolls with at least 12 months' tenure in the group as of the announcement date. Depending on their income tax bracket, the beneficiaries may have to pay tax on the profits they make when they sell their Esop shares. However, shopfloor workers who earn below the taxable income limit won't have to pay any tax on these gains. The Mahindra Group communication credited executive chairman Anand Mahindra and executive director Rajesh Jejurikar for steering the transformation, while thanking employees' families and retired leaders for their support.

Mithi River fraud: EOW submits charge-sheet against two middlemen
MUMBAI: A 7,000-page charge-sheet has been submitted against two alleged middlemen involved in the Mithi River desilting fraud. Police said the charge-sheet also names deputy chief engineers Prashant Ramgude and Ganesh Bendre of the storm water drains department of the Brihanmumbai Municipal Corporation (BMC), and civic official Prashant Tayshete. The court is yet to take cognisance of the chargesheet,' said a police officer, adding that around 15 people have been cited as witnesses. The charge-sheet was submitted by the Economic Offences Wing (EOW) of the Mumbai Police in the Esplanade metropolitan magistrate court on Friday. The case relates to a ₹65.54-crore fraud that involves the manipulation of tenders to favour certain middlemen, in the desilting of the Mithi River. 'Our evidence in the charge-sheet is primarily receipts, statements, air-ticket copies of foreign trips of BMC officers, which show how the two arrested accused middlemen, who acted as middlemen, sponsored foreign trips for BMC officials. These middlemen are Ketan Kadam, director of Woder India LLP, a Mumbai-based company that provides desilting services, and Jayesh Joshi, who is associated with Virgo Specialties Pvt Ltd, a Mumbai-based industrial products manufacturer. The middlemen then got contracts to supply equipment to the contractors at inflated rates. The equipment was then supplied to the BMC,' said a police officer. Police have charged the accused under sections 406 (criminal breach of trust), 420 (cheating), 465 (forgery) and 120B (criminal conspiracy) and 474 (possessing a forged document or electronic record with the intention of using it as genuine) of the Indian Penal Code (IPC). Police said that prima facie investigations show that Kadam and Joshi, who acted as middleman in the desilting scam, had together received ₹9 crore. Kadam and Joshi are among 13 people named in the First Information Report (FIR). Investigators have questioned all 13 accused including actor Dino Morea and his brother, but have made only two arrests so far. These are Ketan Kadam and Jayesh Joshi, both of whom are out on bail. 'We have kept the option of further investigations open under section 193 (3) of the Bharatiya Nagarik Suraksha Sanhita (BNSS), for further investigations in the charge-sheet,' said the police officer. The FIR was registered in May, against 13 people, including three civic officials, for allegedly causing a loss of ₹65.54 crore to the BMC through irregularities in the execution of contracts for desilting the Mithi River. The FIR also names senior executives of the contractors involved in the desilting project, such as Matprop Technical Services, Virgo Specialties, Woder India, Acute Designs, Kailash Construction Company, NA Constructions, Nikhil Constructions and JRS Infrastructure. The alleged scam took place between 2013 and 2023, officials said. A special investigation team (SIT) was constituted in August 2024 after questions were raised in the state legislative council about alleged irregularities in the desilting of the 17.84-km-long river.
