TAFE, AGCO settle feud over Massey Ferguson brand outside court

New Delhi, Jul 1 (PTI) Tractors and Farm Equipment Ltd (TAFE) and AGCO Corporation on Tuesday announced a comprehensive out-of-court settlement of all outstanding disputes, with the Indian firm agreeing to buy out the US-based firm's shareholding in it for USD 260 million (nearly Rs 2,225 crore).
Besides, TAFE will buy back AGCO's shares in itself, which amounts to 20.7 per cent of the domestic tractor maker's equity, for a consideration of USD 260 million, making TAFE a wholly-owned subsidiary of the Amalgamations Group, a diversified industrial conglomerate, headquartered in Chennai, it added.
TAFE will also retain its shareholding in AGCO at an ownership level of 16.3 per cent and not exceed it, while participating in AGCO's future buyback programs to maintain its proportionate ownership subject to certain exceptions, it stated.
As part of the settlement, TAFE will support AGCO by voting its shares in favour of all the recommendations of AGCO's Board of Directors at shareholder meetings, subject to certain exemptions, the Chennai-based firm said.
Besides, TAFE will remain a long-term investor in AGCO, it added.
While all commercial agreements between TAFE and AGCO will be mutually terminated, TAFE will honour outstanding supply orders and continue to supply parts for all markets on agreed terms, it stated.
AGCO, in its statement, said, 'Parties have agreed to mutual non-disparagement and TAFE not engaging in public activism.
TAFE will no longer be entitled to nominate a representative to the AGCO Board of Directors and AGCO's Director on TAFE's Board will step down.' The two companies said their agreements will become effective upon the completion by AGCO and TAFE of certain governmental and other processes in India relating to the repurchase of the shares held by AGCO in TAFE.
'As we step into a new era in TAFE's growth story, we recognise and cherish the long partnership we've had with AGCO, and continue to support AGCO as an engaged shareholder,' TAFE Chairman & Managing Director Mallika Srinivasan said.
Stating that TAFE and Massey Ferguson have been synonymous in the minds of the Indian customers for over 65 years, she said, 'We re-dedicate our commitment to transformation of Indian agriculture through our innovative products, solutions and service to the farming community in India.' AGCO Chairman, President and CEO Eric Hansotia welcomed the reaching of an amicable resolution with TAFE on all outstanding commercial, governance and shareholding matters.
'We appreciate the TAFE relationship for its years as a commercial partner and continued support as a shareholder. AGCO's Board and management team are fully focused on our Farmer-First strategy, which we believe will improve outcomes for farmers, drive operational success for our company and deliver strong returns for shareholders,' Hansotia said.
AGCO said it will file the agreements with the US Securities and Exchange Commission.
Last year in September, AGCO Corporation terminated multiple agreements with TAFE, including the Massey Ferguson brand license agreement, a distributor agreement for India, Nepal, and Bhutan.

NEW DELHI: The National Capital Region (NCR) has outperformed other Indian cities in both commercial and residential real estate in the first half of 2025, with a record-breaking 7.2 million sq ft of office space leased and a steep rise in ultra-luxury home sales, according to Knight Frank India 's latest report. Office Market: Strongest Leasing Momentum Ever Recorded in NCR NCR's office leasing rose by 27% year-on-year, hitting an all-time high, underlining the region's growing importance as a commercial hub. Gurugram, often seen as NCR's corporate epicentre, accounted for an overwhelming 65% of the total office leasing during the period—a sharp rise of 900 basis points compared to the same period last year. Notably, the demand wasn't just driven by India-facing enterprises. Global Capability Centres (GCCs)—companies that provide support services to global operations—ramped up their share of office leasing in NCR to 31% in H1 2025, equal to that of domestic firms. This indicates a rising confidence among global firms in NCR's talent pool and infrastructure readiness. The average rental value for office space in the region jumped 8% year-on-year to ₹93.5 per sq ft per month. Delhi's Central Business District remained the costliest, commanding rentals between ₹220 and ₹390 per sq ft per month. Housing sales across NCR stood at 26,795 units in H1 2025, marking an 8% year-on-year drop. New launches also saw a decline of 17%, totalling 25,233 units. Yet, within this subdued environment, the luxury housing segment recorded unprecedented activity. Sales of homes priced above ₹2 crore surged, accounting for 57% of total sales—up from 43% in H1 2024. Even more striking was the growth in ultra-luxury homes priced above ₹50 crore, where sales increased by a staggering 2,550% year-on-year. These marquee transactions were largely concentrated in Gurugram, reaffirming its position as NCR's high-end residential capital. The city alone contributed 51% to total housing sales and 55% to fresh supply, with sectors along Golf Course Extension Road, Southern Peripheral Road, and Dwarka Expressway witnessing heightened traction. Noida and Greater Noida together formed 30% of NCR's home sales, bolstered by infrastructure upgrades such as the ongoing work on the Noida International Airport in Jewar and metro expansions. The increased demand in these regions was predominantly in the mid to upper-mid segments. Residential prices across NCR averaged ₹5,535 per sq ft in H1 2025, reflecting a healthy 14% year-on-year increase. NEW DELHI: India's real estate sector attracted USD 3 billion in institutional investments in the first half of 2025, with domestic investors contributing nearly half (48%) of the total inflow, according to the latest data from Colliers. While overall inflows declined 15% year-on-year, the sharp 53% rise in domestic capital to USD 1.4 billion provided a critical buffer amid a slowdown in foreign investments. Domestic capital, long playing a secondary role, has stepped up significantly, growing from just 16% of total investments in 2021 to nearly half in H1 2025. Foreign investments, in contrast, declined 39% year-on-year to USD 1.6 billion, impacted by global credit tightening and macroeconomic uncertainty. The sector witnessed a strong recovery in Q2 2025, with investments rising 29% over Q1 to USD 1.7 billion, indicating renewed investor confidence across residential, office, and retail assets. Residential real estate led the inflows during the half-year with USD 819.9 million—a 27% year-on-year growth—followed by the office segment with USD 702.8 million, though the latter saw a 22% decline compared to H1 2024. 'The growing influence of domestic capital has helped cushion the impact of global headwinds,' said Badal Yagnik , CEO of the company. 'Over 60% of domestic investments in H1 2025 went into residential and office segments, reflecting sustained faith in India's core real estate sectors.' Mumbai and Bengaluru collectively accounted for 39% of the total investment inflows. Mumbai led with 22% share, clocking USD 656.3 million, a massive 408% jump from the same period last year. Bengaluru followed with USD 498.8 million, a 15% increase, with both residential and office segments comprising 57% of the city's share. An unexpected highlight came from Kolkata, which captured 13% of total inflows on the back of a significant retail transaction worth USD 380 million. Meanwhile, the mixed-use asset class saw inflows surge 148% to USD 628.5 million, indicating rising appetite for integrated developments. Retail and alternate assets also gained traction, collectively accounting for USD 0.5 billion, led by marquee deals in emerging consumption hubs. While office space investments fell compared to last year, demand remains steady, with corporate occupiers and GCCs continuing to evaluate long-term bets in India. Average deal sizes in H1 2025 also indicated increasing interest in portfolio-level investments. The report underscores that India's maturing real estate ecosystem is becoming more self-reliant, with domestic institutions emerging as stabilizing forces amid evolving global investment patterns.
