Faster M&A clearances may keep traffic moving—until the roadblocks hit

A new standard operating procedure has set the framework for slashing the longdrawn procedural drift involved in securing regulatory approvals for mergers and demergers, creating much-needed predictability for dealmakers. Yet, the toughest hurdles remain untouched.
The SOP rolled out by the National Stock Exchange of India Ltd and BSE Ltd, effective 1 August, promises a seven-working-day processing window for merger and demerger applications if all the documents are in order. Until now, the processing window typically stretched for 3-5 months.
The framework, which has been mandated by the Securities and Exchange Board of India, also scraps physical paperwork, requiring only digital filings through platforms such as NSE's Electronic Application Processing System and BSE's Listing Centre.
However, companies listed on stock exchanges still need to approach the National Company Law Tribunal (NCLT) to secure approvals for mergers and demergers, a time-consuming and laborious processthe government had considered eliminating.
Also, regulatory scrutiny and sequence can still stretch deal timetables, said market participants and lawyers, adding that the new framework's rigidity could create fresh risks.
'While the SOP imposes a streamlined and timebound mechanism it simultaneously gives rise to certain challenges, primarily due to the inflexible nature of the framework, undefined obligations of Sebi, and the absence of safeguards against unforeseen procedural failures," said Madhavan Srivatsan, senior partner, Emerald Law Offices.
The SOP enforces strict timelines at every stage. Companies must file their draft scheme for a merger or demerger within 15 days of board approval, and will be given only two opportunities to respond to queries from the exchanges.
The exchanges, if satisfied with the draft scheme, will issue a no‑objection certificate or observation letter to Sebi, which will then issue its clearance. Only then can a company approach the NCLT for a final sanction.
Ketan Dalal, managing director at compliance and advisory firm Katalyst Advisors, termed the first step of securing exchange and Sebi signoffs as 'long and tortuous".
'The first step of taking approval from exchanges (where they internally take Sebi's approval) is now taking 3-5 months. Unless this approval comes, companies cannot apply to the NCLT," he said.
Dalal urged for a structural change: Allow parallel NCLT filings, with companies committing to incorporate Sebi-driven amendments in their draft scheme or withdraw if the plan is rejected. 'This parallel tracking will help to save 4-5 months in a situation where the current timelines are out of sync with commercial reality," he said.
Some gaps, but keeps traffic moving
Srivatsan of Emerald Law Offices pointed to the lack of a statutory outer limit for Sebi's signoff in the new framework, leaving the overall timetable open-ended.
'The SOP could have clarified an outer timeline for exchanges to grant the NoC to the issuer, which actually matters the most to the issuer for filing the scheme with NCLT," he said.
Srivatsan also flagged the absence of redressal mechanisms for technology failures, which could potentially require restarting the review cycle.
The SOP's strict reminders-and-return mechanism for incomplete responses could penalize issuers even when delays stem from exchange systems or required third-party inputs, he added.
Other practitioners warned about the tighter response pressures in the new framework.
'They (companies) will now only get two opportunities to respond to the deficiencies before the application is rejected," said Yash Vardhan Singh, counsel, Sarvaank Associates, adding that the mandate to respond only through a digital platform could test the digital-readiness of a company.
Ravi Mehta, leader–transaction tax, BhutaShah and Co. Llp, flagged that limited timeline allowed for companies to respond to queries from the stock exchanges.
'Companies must respond to exchange queries in three working days, which may be tight if internal approvals, like (from the) board or auditors, are needed. There could also be risk of rejection or deferral if deadlines are missed," he said.
'The exchanges should ideally have the power to relax the time period for responding certain queries upon request," added Anand Jayachandran, partner at law firm Cyril Amarchand Mangaldas.
The new framework, despite these complaints, offers several advantages, market participants and lawyers said.
The fixed turnaround times and common checklists in the new SOP should cut friction, enable cleaner equity issuance timelines, and support capital deployment schedules for investors and private equity funds, said Mehta.
'The SOP also ensures quick transmission of documents to Sebi, which often has been a bottleneck in large deals. Investors and private equity can better estimate when regulatory clearance might arrive," he said.
'Any step that defines or reduces approval timelines is a net win," added Jayachandran. 'They may not eliminate traffic lights, but will ensure listed companies and exchanges try to keep the traffic moving."

Agency: PTI New Delhi, Aug 12 (PTI) Capital markets regulator Sebi on Tuesday proposed the introduction of a standard reason code to streamline the transfer of securities from nominees to legal heirs and ensure appropriate tax treatment for such transactions. In a consultation paper, Sebi suggested introducing a specific reason code 'TLH' (Transmission to Legal Heirs) to be used by registrars, depositories and other reporting entities while intimating the Central Board of Direct Taxes about such transmissions. The move seeks to enable proper application of the provisions of the Income Tax Act, 1961. Currently, transmission of securities from nominee to legal heir of the original holder, some transactions are being treated as normal sale of securities. This has resulted in capital gains tax being levied on nominees, even though clause (iii) of Section 47 of the Act does not consider such transmissions as 'transfers" for tax purposes, Sebi said. The regulator noted that the nominee merely acts as a trustee for the benefit of legal heirs of the original security holder and ultimately the securities which belong to the legal heir(s) are transmitted by the nominee to such legal heir(s). The proposal follows deliberations by a working group comprising registrars to an issue and share transfer agents (RTAs), which engaged with multiple stakeholders. Based on the working group's recommendations, the markets watchdog has sought to make the reporting process more consistent and transparent. The procedural requirements for transmission of securities will continue governed under the Sebi's LODR (Listing Obligations and Disclosures Requirements) Rules, 2015, and the Master Circular for RTAs dated June 23, 2025, as updated from time to time. The Securities and Exchange Board of India (Sebi) has invited public comments on the draft circular till September 2. Sebi said RTAs, listed issuers, depositories and depository participants will be required to make necessary system changes to adopt the 'TLH' code within three months of the issuance of this circular. The capital market regulator's litigation scorecard for 2024-25 shows fewer appeals and stronger outcomes. The latest annual report of the Securities and Exchange Board of India shows that new appeals against Sebi's decisions at the Securities Appellate Tribunal (SAT) fell to 533 in FY25 from 821 in the year prior, with 73% cases dismissed and only 5% allowed. In the Supreme Court, 90% of the 80 disposed cases went the regulator's way. However, Sebi's 2024-25 report shows the regulator closed the year with 960 SAT appeals pending and 520 cases pending in the Supreme Court. Of the 422 appeals disposed of by SAT in 2024-25, 308, or 73% of the cases, were dismissed and only 23 (5%) cases were taken up for hearing. Apart from those, 42 of Sebi's decisions were upheld with modifications, 21 cases were sent back to Sebi for further investigation, and 28 cases were withdrawn. In FY24, Sebi's win rate at SAT was 67.5%; 380 out of 730 disposed appeals were dismissed and 157 appeals were allowed against Sebi. Nearly 62% of the disposed SAT cases involved fraudulent and unfair trade practices, most of which were upheld. At the Supreme Court, Sebi maintained its strong track record with 90% of the 80 disposed cases decided in its favor. The regulator faced 81 fresh cases during FY25, leaving 520 cases pending at the apex court at the end of March 2025. About 76% of the cases pending before the Supreme Court were appeals challenging SAT orders, while the remaining 24% comprised writ petitions, special leave petitions, criminal appeals, and contempt petitions. Beyond SAT and the Supreme Court, Sebi's report showed that High Court pendency in non-prosecution cases fell to 886 in FY25 from 1,162 in the year before, with 98.4% of the disposals decided in Sebi's favor. Prosecution-related High Court pendency rose to 313 from 269, with a 74% favourable disposition rate. Prosecution litigation refers to criminal cases where Sebi files complaints against entities for serious violations of securities laws. These cases can result in conviction, fines, or imprisonment. Non-prosecution cases encompass all other regulatory enforcement actions, including civil proceedings for monetary penalties (adjudication), directions to cease trading, and disgorgement or surrendering of illegal gains. In forums like civil courts, consumer fora, the National Company Law Tribunal, its appellate counterpart, and allied bodies, Sebi's pendency stood at 539 in FY25, with 92.9% of the disposals favouring the regulator. Beyond courtroom victories, Sebi significantly stepped up its enforcement activities. Prohibitive directions under Section 11 of the Sebi Act jumped to 560 entities in FY25 from 439 in the year before. These directions include restraining entities from accessing securities markets, freezing bank accounts, impounding proceeds of suspicious transactions, and prohibiting dealing in securities. In FY25, pending adjudication cases, which are formal inquiries conducted by Sebi officers into securities laws violations, fell substantially to 478 from 1,236. Sebi disposed of 962 matters during the year. Sebi initiated 287 insider trading probes in FY25, a significant jump from 175 cases in FY24, while completing investigations into 192 cases, up from 130 in the previous year. Investigations related to market manipulations and price rigging declined to 106 cases from 160, while completions rose to 105 from 57. Front-running cases, where brokers or their associates trade ahead of large client orders to profit from anticipated price movements, formed a major category under fraudulent and unfair trade practices. Sebi took up 44 such cases in FY25 as compared with 83 in FY24, but completed 51 versus just 17 in the year prior. Sebi collected ₹ 798.87 crore from 284 settled cases, more than eight times the ₹ 94.5 crore it collected in FY24. The regulator received 703 settlement applications in FY25, disposing of 284 while rejecting, returning, or seeing withdrawal of 272 applications. Settlement allows violators to resolve matters without admitting guilt by paying predetermined charges based on the nature and severity of the alleged violations. Sebi says this frees resources for more serious matters while ensuring swift resolution.

The former chief trader and fund manager of Axis Mutual Fund arrested by the Enforcement Directorate (ED) over allegations of cheating through front-running, has claimed in his bail plea that the mutual fund 'only thrived' during his tenure and that he regularly received 'outstanding' ratings in annual appraisals. Viresh Joshi was arrested on August 2 by the ED ,for allegedly misusing confidential information on trades to be executed on behalf of Axis Mutual Fund to preemptively trade stocks, generating substantial illicit gains, through front-running — an illegal trading practice where a fund manager or broker exploits a non-public impending large investment decision to take a position and benefit from price rise after the large investment. The ED has claimed that it suspects the proceeds of crime to be Rs 300 crore in the case, with Rs 91 crore so far traced to bank accounts of family members of Joshi from various shell companies. 'The applicant's (Joshi) professional conduct throughout his 14-year-tenure at Axis Asset Management Company, (AMC) has been beyond reproach. He consistently met or exceeded performance targets, earning timely promotions from assistant vice president to senior vice president and regularly receiving 'outstanding' ratings in annual appraisals. His integrity and diligence were recognised through multiple internal awards….and invitations to speak at prominent industry forums,' the bail plea filed through lawyer Manan Sanghai said. 'The conduct of the applicant during his tenure more than sufficiently adduces that Axis Mutual Funds only thrived while the applicant was employed with them as is evidenced by the publicly available documents issued by AMF in respect of its own mutual funds scheme,' it said. Joshi further said that all trades were routed only through empanelled brokers and he had no discretion over trade selection, timing or price and operated strictly within a tightly regulated framework. 'The applicant's role was operational in nature and served solely to assist between the fund manager's decision and the said decision's market execution,' the bail plea said. In February 2022, the board of directors of the Axis AMC decided to conduct an internal investigation and all employees were asked to hand over their personal and work email ID with passwords, office computer data, office mobile recorded phones, work from home laptops, personal phones, to an external independent investigator. Joshi was placed under temporary suspension on May 3, 2022, and was terminated on May 18, 2022. Market regulatory authority, Securities and Exchange Board of India (Sebi) had initiated a probe and summoned Joshi. He submitted that he had complied with the summons and his statement was recorded. Sebi passed an interim order in 2023 stating that Joshi was involved in 'front-running', and directions were issued including repayment of alleged illegal gains of Rs 30.56 crore. The bail plea says that the allegations are based on snippets of chat and incomplete trade logs and other data, and is pending finality. Joshi in his plea has said that he has cooperated with the probe, spanning multiple parallel agencies, including the Sebi, EOW, Income Tax department and ED and that he is not a flight risk. The ED has been asked to file a reply.
