Wells Fargo Board of Directors Announces Intention to Name CEO, Charlie Scharf, Chairman

SAN FRANCISCO--(BUSINESS WIRE)--Wells Fargo & Company (NYSE: WFC) today announced that the Board of Directors of Wells Fargo intends to appoint Charlie Scharf, Chief Executive Officer, Wells Fargo, as Chairman of the Board. When Mr. Scharf becomes Chairman, the Board intends to appoint a Lead Independent Director to support the Board's continued independent oversight.
In addition, the Board awarded Mr. Scharf a one-time special equity grant consisting of $30 million in Restricted Share Rights and 1,046,000 Stock Options.
These actions reflect the Board's desire to retain Mr. Scharf as the CEO of the Company and to recognize his leadership in transforming Wells Fargo, including creating significant shareholder value and positioning the company for future success. Under his leadership, he has built an outstanding management team, significantly strengthened the company's risk and control infrastructure, improved its reputation, achieved critical regulatory milestones, and delivered a strong financial performance, while making strategic investments in driving growth of our core businesses.
The award will vest (and become exercisable for stock options) on a pro rata basis following the fourth, fifth and sixth anniversaries of the grant date. The Board believes the award design, coupled with our stock ownership policy, promotes further alignment of Mr. Scharf's compensation with long-term shareholder value creation.

Bitcoin Asset Manager Parataxis to Go Public in $400M SPAC Deal Backed by SilverBox

Digital asset manager Parataxis Holdings is officially going public through a SPAC deal with SilverBox Corp IV, confirming earlier plans to list, it announced in a press release on Wednesday. The new entity will be called Parataxis Holdings Inc. and aims to trade under the ticker 'PRTX' on the New York Stock Exchange (NYSE). At a $10 share price, the deal values the combined company at $400 million, with the potential to double that figure if Parataxis exercises the right to raise an additional $400 million through a share purchase agreement. About $31 million has already been raised and earmarked for purchasing bitcoin (BTC), giving future shareholders immediate exposure to the asset. Parataxis manages bitcoin in an active strategy that blends market exposure with yield-generating techniques. Unlike firms that simply hold BTC, Parataxis seeks to generate income through low-volatility trading and treasury-style operations. The platform is run by veterans from Parataxis Capital Management and serves institutional client, including pension firms and family offices. In June, Parataxis made its first international move by acquiring a controlling stake in Bridge Biotherapeutics, a healthcare firm listed on South Korea's KOSDAQ. That firm will be renamed Parataxis Korea and serve as a regional base for its bitcoin treasury strategy. Since the announcement, Bridge shares have jumped 350%, showing strong investor demand for the bitcoin-proxy play. South Korea offers a large user base, political support for digital assets, and notably, no spot Bitcoin ETF — making the market fertile ground for BTC-focused public firms, the company said. Similar strategies have gained traction in Japan, where companies like Metaplanet have seen share prices surge after pivoting to bitcoin. The Parataxis-SPAC deal will also allow the firm to expand its U.S. treasury operations and explore other 'special situations' investments. If successful, Parataxis could become one of the few publicly listed companies offering direct and active exposure to bitcoin outside of an ETF structure. The transaction is expected to close pending shareholder approval and a review from the Securities and Exchange Commission. In paperwork filed on Friday with the Securities and Exchange Commission (SEC), Heartflow said it plans to offer 12.5 million shares, priced between $15 and $17. That could potentially raise more than $208 million. According to Reuters, Heartflow's target valuation could be as high as $1.3 billion. The company plans to trade under the ticker 'HTFL.' Personalized 3D-models of people's hearts Heartflow uses AI and other technology to scan patients for coronary and cardiac problems, creating three-dimensional models of patients' hearts. The Food and Drug Administration (FDA) gave the software the green light in 2022, and it's now being used in some markets to diagnose patients. Additionally, the company got a leg up last year when the U.S. Centers for Medicare and Medicaid Services (CMS) expanded Medicare coverage to include platforms that use imaging results to look for signs of coronary disease, and the American Medical Association (AMA) issued a new Category I CPT code for those platforms. That gives doctors and clinics the go-ahead to start using the technology on a broader scale starting next year. According to the company's SEC filing, Heartflow says that as of the end of March 2025, it's been used to assess more than 400,000 patients. Revenues are growing but profits are elusive Heartflow generated $125.8 million in 2024, a 44% increase over the $87.2 million it made the year before, the company says. Revenue likewise grew 39% for the first quarter of 2025 to $37.2 million. However, the company saw a net loss of $96.4 million in 2024, wider than its net loss of $95.7 million in 2023. It warns in the filing that it expects to incur 'substantial losses in the foreseeable future [and] may not be able to achieve or sustain profitability.' Bain Capital, Panorama Point Partners, and Capricorn Investment Group are among Heartflow's backers, according to Crunchbase. Bain led its most recent fundraising round, a Series F round in 2023, which raised $215 million. This is not the first time that Heartflow has attempted to go public. The company had planned to merge with a special purpose acquisition company during the SPAC frenzy of the early pandemic years, but it halted the plan in 2022, citing 'unfavorable market conditions,' as Fierce Biotech reported. Heartflow's IPO comes on the heels of another growing medtech company's public debut. Carlsmed, which specializes in AI-driven spine surgery technology, recently went public as well, with shares trading on July 23. Since then, the stock is down around 4.5%. Heartflow has not said when it plans to list its stock, although IPO calendar websites say the listing is expected this week. The company declined to comment on the timeline when reached by Fast Company.
