Hexaware Technologies, a provider of IT solutions and services, has acquired SMC Squared, a player in building global capability centers (GCCs), in a cash deal of $120 million to enhance its GCC presence in India, as per a regulatory filing by the company on Thursday (July 17, 2025).
Regarding the acquisition, Hexaware stated that India remained a strategic growth market for the company. The Global Capability Center (GCC) segment was experiencing exponential growth in the country, with the market projected to exceed $100 billion by 2030. 'This presents a significant opportunity for Hexaware to expand its footprint and deepen its capabilities in this space,'' it said in the filing.
By acquiring SMC, Hexaware would gain established GCC expertise through SMC's proven playbook and relationships in the mid-market GCC segment, and the buyout was also expected to give a boost to its go-to-market strategy, it said on BSE.
SMC has a total workforce of around 500 employees, with offices in India and delivery centers in India, in Bengaluru and Hyderabad.
'Our clients are increasingly looking for GCC partners who bring more than staffing or infrastructure,' said Amrinder Singh, President & Head – EMEA & APAC Operations, Hexaware. 'With SMC Squared, we gain proven governance, delivery credibility, and scale in areas where execution strength is non-negotiable. This acquisition enables us to deliver long-term value to enterprises, leveraging our human and digital agent-driven model and proprietary IT delivery platforms.'
The acquisition was a strategic step in Hexaware's mission to deliver future-proof GCC solutions that go beyond cost efficiency, anchored in a combined human and digital agent-driven model, it said in a communique.

NSDL IPO listing: National Securities Depository Limited (NSDL) shares made a robust debut on the bourses on Wednesday, August 6, listing at ₹ 880 on BSE, a premium of 10 percent to its issue price of ₹ 800. The ₹ 4,011.60 crore IPO witnessed robust investor interest during its subscription window from July 30 to August 1, garnering an overall subscription of 41.02 times. The strong demand was reflected in total bids for 144.08 crore shares, significantly exceeding the 3.51 crore shares on offer. This is the second publicly listed depository in the country after Central Depository Services (India) Ltd (CDSL), which made its debut on the stock exchanges in 2017. Among the investor categories, the Qualified Institutional Buyer (QIB) segment saw the most aggressive participation with a subscription of 103.97 times. Non-institutional investors (NIIs) subscribed their quota 34.98 times, while the retail portion was subscribed 7.76 times. The employee category also attracted healthy interest, being subscribed 15.39 times. The NSDL IPO was entirely an offer-for-sale (OFS) of 5.01 crore equity shares, with no fresh issue component. The entities offloading their stake include the National Stock Exchange of India (NSE), HDFC Bank, IDBI Bank, Union Bank of India, State Bank of India (SBI), and the Administrator of the Specified Undertaking of the Unit Trust of India (SUUTI). The lot size for the IPO was fixed at 18 shares, requiring a minimum investment of ₹ 13,680 for retail individual investors. Additionally, the issue had a reservation of up to 85,000 shares for eligible employees at a discount of ₹ 76 per share to the final issue price. Since there was no fresh issue involved, NSDL will not receive any proceeds from the IPO. However, the company stated that listing its equity shares on the BSE is expected to enhance its visibility, improve its brand image, and create a public market for its shares in India. Ahead of the IPO, NSDL raised ₹ 1,201.44 crore from anchor investors, with the anchor bidding date scheduled on July 29, 2025. ICICI Securities Limited acted as the book-running lead manager for the IPO, while MUFG Intime India Private Limited (Link Intime) served as the registrar to the issue. Incorporated in 2012, National Securities Depository Limited (NSDL) is a SEBI-registered Market Infrastructure Institution (MII) in India. It operates as a securities depository, maintaining electronic records of securities allotment and ownership transfers. NSDL offers a range of depository services such as dematerialization, trade settlement, off-market transfers, pledging of securities, and handling corporate actions. Additionally, it provides asset servicing for securities held in dematerialized form. NSDL reported a 24.57 percent rise in its profit after tax, reaching ₹ 343.12 crore for the financial year ended March 31, 2025, compared to ₹ 275.44 crore in FY24. The company's revenue from operations also saw a healthy growth of 11.97 percent, increasing to ₹ 1,420.14 crore in FY25 from ₹ 1,268.24 crore in the previous year. Shares of the country's largest depository, National Securities Depository Limited (NSDL), made a positive debut on Dalal Street on Wednesday, August 6, following the completion of its initial public offering (IPO). NSDL shares listed at ₹880 per share on the BSE, reflecting a premium of ₹80 or 10 per cent above the issue price of ₹800. With this, NSDL became the second listed depository in India, after its counterpart Central Depository Services (India), which went public in 2017. With the listing of NSDL shares, investors who received allotments during the IPO made a gain of ₹80 per share or ₹960 per lot of 18 shares. However, the listing price was slightly below grey market expectations. Before the listing, NSDL's unlisted shares were trading around ₹925, indicating a grey market premium of ₹125 per share or about 15.62 per cent over the issue price, according to market trackers. Should you hold or book profit? Prashanth Tapse, senior VP (Research) at Mehta Equities, suggested that investors who were allotted shares may consider holding the stock for the long term. For those who were not allotted shares, he recommended waiting and observing the price trend before considering an entry. NSDL IPO details The public issue was valued at ₹4,011.60 crore and consisted entirely of an offer for sale with shareholders offloading up to 50.1 million equity shares. The subscription window was open from July 30 to August 1, 2025. NSDL IPO was offered in a price range of ₹760 to ₹800 each, with a minimum application size of 18 shares. NSDL IPO received strong demand and was oversubscribed by more than 41 times. Qualified institutional buyers (QIBs) led the interest, subscribing to their reserved portion over 103.97 times, based on data from the National Stock Exchange. The basis of allotment of NSDL IPO shares was finalised on August 4, and the issue price was set at ₹800 per share. Since the issue was entirely an offer for sale, NSDL will not receive any proceeds from the IPO. The funds will go to the existing shareholders who sold their stakes. About National Securities Depository Limited (NSDL) NSDL is India's largest securities depository based on several key metrics, including the number of issuers, active instruments, market share in demat settlement volume, and the total value of assets under custody as of March 2025.
