Utkarsh Small Finance Bank Limited (USFBL) announced on Monday, July 7, that it has received observation letters from both the BSE and the National Stock Exchange of India (NSE) for its proposed Scheme of Amalgamation with Utkarsh CoreInvest Limited (UCL).
The scheme involves the merger of UCL (transferor company) with USFBL (transferee company), along with their respective shareholders and creditors, under Sections 230–232 of the Companies Act, 2013.
According to the bank's filing, NSE has issued a 'no objection' letter dated July 7, 2025, while BSE issued its observation letter on July 4, 2025, stating 'no adverse observations.' The approvals follow the Reserve Bank of India's (RBI) earlier 'no-objection' to the proposal, communicated in January 2025.
The exchange approvals come with certain conditions, including compliance with SEBI's regulations, full disclosure of ongoing litigations, financials not older than six months, clear rationale for the merger, disclosure of valuation methods, and ensuring that the equity shares to be issued under the scheme are in dematerialised form.
The company also confirmed that all liabilities of the transferor company will be transferred to USFBL as part of the merger. The scheme remains subject to further regulatory and statutory approvals, including from the National Company Law Tribunal (NCLT) and shareholders.

Total income for the quarter came in at Rs 690.95 crore, compared to Rs 915.34 crore in the year-ago quarter and Rs 1,035.43 crore in the previous quarter. Total expenses declined to Rs 633.96 crore in Q1 FY26 from Rs 820.88 crore in the corresponding quarter last year and Rs 934.34 crore in Q4 FY25. Cost of raw materials and components consumed stood at Rs 500.33 crore, while employee benefits expense was Rs 26.32 crore. Finance costs were Rs 17.84 crore, and depreciation and amortisation expense was Rs 11.92 crore. Profit before tax from continuing operations fell to Rs 45.96 crore from Rs 90.11 crore in Q1 FY25 and Rs 92.25 crore in Q4 FY25. The company's total tax expense came in at Rs 14.27 crore, compared to Rs 24.42 crore in the year-ago quarter. Cost of materials consumed stood at Rs 296.54 crore, while employee benefits expense was Rs 81.91 crore. Finance costs were Rs 5.20 crore and depreciation and amortisation expenses came in at Rs 25.21 crore. The suspension is primarily due to a planned shortfall in Air India's fleet, as the airline began retrofitting 26 of its Boeing 787-8 aircraft last month. The extensive retrofit programme, designed to significantly enhance customer experience, will keep multiple aircraft out of service at any given time until at least the end of 2026. Adding to the challenge, the continued closure of Pakistani airspace has forced longer flight routings for Air India's long-haul operations, increasing operational complexity and impacting schedules. Customers with bookings to or from Washington, D.C., beyond September 1 will be contacted by the airline and offered alternative travel arrangements, including rebooking on other flights or full refunds. This will allow customers to travel on a single itinerary with their baggage checked through to the final destination.
