Nippon Steel shares rise after Trump approves $14.9 billion US Steel bid

TOKYO, June 16 (Reuters) - Nippon Steel (5401.T), opens new tab shares rose on Monday after U.S. President Donald Trump approved its $14.9 billion bid for U.S. Steel (X.N), opens new tab, clearing a key hurdle in its 18-month pursuit and securing access to a vital market for its growth strategy.
The approval capped a tumultuous process marked by union resistance and two national security reviews.
Shares of Nippon, the world's fourth-largest steelmaker, gained 3% to 2,915 yen by the mid-day break after being untraded with a glut of buy orders earlier in the day. They outperformed Tokyo's benchmark Nikkei 225 index (.N225), opens new tab, which was up about 1%.
On Friday, Trump signed an executive order allowing the tie-up to proceed, contingent on an agreement with the Treasury Department addressing national security concerns. The companies then announced they had signed the agreement, effectively clearing the deal.
The agreement includes $11 billion in new investments by 2028, along with commitments on governance, production and trade. Nippon Steel also confirmed plans to acquire 100% of U.S. Steel's ordinary shares.
"Investors have welcomed the resolution of uncertainty surrounding the deal," said Shinichiro Ozaki, senior analyst at Daiwa Securities.
"Overall, the agreement appears relatively reasonable in both investment size and timeframe," he said, noting the acquisition is central to Nippon Steel's medium- to long-term growth strategy.
The deal would boost Nippon Steel's annual production capacity to 86 million metric tons from 63 million tons.
"Shares rose on long-term growth expectations, driven by preferential access to the U.S. market, where steel demand is expected to increase," said Masayuki Kubota, chief strategist at Rakuten Securities.
Still, some investors remain concerned about near-term financial strain from the sizable investments. Also, the U.S. government's ownership in the combined company, known as the "golden share", has raised questions of the degree of control it can exert.
"While the risk of a capital increase hasn't completely receded, it may be less severe than expected," Ozaki said, referring to Trump's earlier comment that the steelmaker plans to invest $14 billion in the next 14 months.
Ozaki downplayed management risk linked to the golden share, saying "Nippon Steel anticipates growth in the U.S. market for high-end products, making production cuts and job reductions unlikely."

The draft, which a source said had not yet been approved by U.S. President Donald Trump, also said minerals markets should reflect the real costs of responsible extraction, processing, and trade of critical minerals. China's decision in April to suspend exports of a wide range of critical minerals and magnets disrupted supplies needed by automakers, computer chip manufacturers and military contractors around the world. Trump last week said Chinese President Xi Jinping agreed to let rare earth minerals and magnets flow to the United States. Rare earths and other critical minerals, though, remain a source of leverage for Beijing. "Non-market policies and practices in the critical minerals sector threaten our ability to acquire many critical minerals," the draft said. "Recognizing this threat to our economies, as well as various other risks to the resilience of our critical minerals supply chains, we will work together and with partners beyond the G7 to swiftly protect our economic and national security." This included anticipating critical minerals shortages, coordinating responses to deliberate market disruption, and diversifying mining, processing, manufacturing, and recycling, it said.

BRUSSELS, June 16 (Reuters) - The European Commission dismissed on Monday reports suggesting it was willing to accept a broad U.S. tariff of 10% on EU goods as speculative and said they did not reflect current discussions. "Negotiations are ongoing, and no agreement has been reached at this stage. The EU has from the start objected to unjustified and illegal U.S. tariffs," the Commission said in a statement. German newspaper Handelsblatt had said earlier on Monday that Brussels negotiators were prepared to accept the flat 10% U.S. tariff on most EU imports to avert higher duties on EU cars, drugs and electronics. The Commission, which negotiates trade deals for the 27-nation EU, responded by saying "reports suggesting that the EU accepts a US tariff of 10% across all our exports are speculative and do not reflect the current state of discussions." The next step in negotiations is a planned meeting between European Trade Commissioner Maros Sefcovic and U.S. Trade Representative Jamieson Greer at this week's G7 meeting in Canada. U.S. President Donald Trump has announced wide-ranging tariffs on trade partners, and wants to reduce the U.S. goods trade deficit with the EU, which he has said was "formed in order to screw the United States". European Union exporters are currently contending with U.S. tariffs of 50% for steel and aluminium, 25% for cars and car parts and a 10% tariff on most other goods, which could rise in July after a 90-day pause announced by Trump in early April. Britain accepted a limited bilateral trade agreement in May that retains Trump's 10% tariffs on British exports, while cutting higher rates for steel and cars. EU trade ministers subsequently said that would not be acceptable for the 27-nation bloc. However, U.S. officials have said in public and told EU counterparts in private that the 10% flat rate is a minimum it will not drop below for any trading partner.

The Trump family has unveiled plans to start selling a $500 (£368) gold-coloured smartphone and launch their own mobile network under the president's name. The Trump Organization will start selling the 'T1' Android phone for $499 in August. The president's sons Eric and Donald Jr have also launched a new 'Trump Mobile' operator to cater to conservative consumers, which they said will 'revolutionise cell phones'. It comes as the Trump family seek to capitalise on the president's popularity by building an ecosystem of businesses to serve Maga supporters. Other ventures include the Truth Social social media platform and cryptocurrency businesses that they promise will bring financial freedom. The expansion of the Trump family's businesses while Donald Trump is in office has sparked alarm and claims of profiteering from the highest office of the US state. It has also triggered concerns about conflicts of interest, given Mr Trump's significant role in regulating US businesses with which some of his family's ventures compete. For example, the president has repeatedly attacked Apple for building its iPhones abroad, threatening to impose tariffs on the smartphones unless manufacturing is moved to America. The T1 phone has a 50-megapixel main camera, compared the iPhone 16e's 48 megapixels, which sells for $599 and has similar features such as AI face unlock. Unlike the 16e, however, it also has an in-screen fingerprint sensor. The Trump Organization's new service offers 5G through all three major cellular carriers in the US as well as telemedicine services, roadside assistance and free international calls to more than 100 countries. The so-called '47 Plan' costs $47.45 per month and comes with unlimited calls and data. As with most Trump-branded products, the family will not manufacture or provide the services themselves. Instead, they are renting the family name to other companies that build the phone and run the service. Partners have not yet been named. The Trump family has generated hundreds of millions of dollars in new revenue from ventures launched since Mr Trump's second election victory. The family and its business partners have collected at least $320m in transaction fees alone from the $Trump meme coin that they launched just before the president's inauguration. Earlier this month, Mr Trump disclosed that he had received $60m in income from World Liberty Financial (WLF), the cryptocurrency venture that he backs with his sons. The White House says the president has no conflicts of interest because his assets are in a trust managed by his children
