Newmont Announces Monetization of Equity Received Through Successful Divestiture Program

Newmont Corporation (NYSE: NEM, TSX: NGT, ASX: NEM, PNGX: NEM) ('Newmont' or the 'Company') is pleased to announce that it has executed agreements for the sale of shares in Greatland Resources Limited ('Greatland') and Discovery Silver Corp ('Discovery') for aggregate cash consideration of approximately $470 million, net of taxes and commissions.
In February 2024, Newmont announced its intent to divest certain high-quality non-core assets, building an unparalleled portfolio of world class gold and copper operations and projects. The monetization of the Greatland and Discovery shares further streamlines Newmont's equity portfolio, while generating cash for the business.
Newmont remains on track to deliver on its 2025 guidance, while continuing to generate strong free cash flow from the Company's world class portfolio of high-quality, long-life assets. With today's announcement, Newmont now expects to generate $3.0 billion in after-tax cash proceeds from its divestiture program in 2025 to support Newmont's capital allocation priorities, which include strengthening our balance sheet and returning capital to shareholders.
Sale of Greatland Shares
Working in conjunction with Greatland, Newmont agreed to divest half of its shares in June 2025. The Greatland shares sold were received as part of the consideration for the divestment of the Telfer operation and Newmont's 70% interest in the Havieron gold-copper project to Greatland in 2024 (the 'Telfer-Havieron Transaction'). The sale reflects an approximately 230% return relative to the value announced at the time of the Telfer-Havieron Transaction. Following the sale of the shares, Newmont's remaining equity stake in Greatland is approximately 9.9%.
Sale of Discovery Shares
Working in conjunction with Discovery, Newmont agreed to divest 100% of its shares in May 2025 and July 2025. The Discovery shares sold were received as part of the consideration for the divestment of the Porcupine mine to Discovery in 2025 (the 'Porcupine Transaction'). The sales reflect an approximately 200% return relative to the value announced at the time of the Porcupine Transaction. To facilitate the sales, Discovery agreed to waive certain provisions of the Investor Rights Agreement entered into between the parties with respect to the Porcupine Transaction. Following the settlement of the July 2025 sales 1, Newmont will not be a shareholder of Discovery.

Both patent pools opted to maintain their current royalty rates and caps for Licensees who sign before December 31, 2025, and to extend an incentive that aligns the royalty caps for Advance's Multi-Codec Bridging Agreement ('MCBA') and the VVC Advance Patent Pool for Licensees who sign the MCBA during the same period. Article content The result is that Licensees who join the HEVC Advance program, gaining access to more than 27,000 patents, on or before December 31, 2025, can lock in current rates and caps through 2030. This protection applies both to ongoing royalty obligations and calculation of royalties due for past sales. Article content Additionally, both current and new HEVC Advance Licensees who join the VVC Advance Patent Pool and execute the MCBA by December 31, 2025, will enjoy MCBA royalty caps that match the royalty caps for the VVC Advance program. This reflects an extension of an incentive that expired June 30, 2022, and locks in current rates through 2030, effectively reducing the current MCBA royalty caps and reinforcing Access Advance's commitment to rewarding early adopters of its platform licensing approach. Premier David Eby is encouraging residents to continue spending their vacations within Canada following remarks from the U.S. ambassador Monday morning. Pete Hoekstra, an appointee of U.S. President Donald Trump, appeared at the Pacific Northwest Economic Region summit in Bellevue, Wash., where he was asked about the decrease in Canadians crossing the border. 'Canadians staying home, that's their business,' Hoekstra said, in audio of the event provided by Eby's office. 'If you want to ban American alcohol, that's fine. It doesn't necessarily send real positive signals in terms of their treating us well. There are reasons why the president and some of his team refer to Canada as being mean and nasty to deal with.' Data from U.S. customs shows the number of travelers crossing the border from Canada has declined sharply since last year, amid ongoing concern and frustration over Trump's comments about the country becoming the 51st state. Eby responded to Hoekstra's remarks in a statement Monday afternoon, saying: 'Clearly, our efforts are having an impact.' 'I say to my fellow Canadians: Keep it up. Keep buying Canadian. Keep your vacations Canadian,' the premier said. 'We won't take these attacks our jobs, our economy and our sovereignty, lying down. We'll stand strong together.'

THE CANADIAN PRESS/Liam Richards Saskatchewan has now added two more provinces to its list of improved interprovincial trade partners, as leaders from across Canada continue to move toward more integration in the face of U.S. tariffs. Saskatchewan Premier Scott Moe signed Memorandums of Understanding (MOU) with his opposite numbers in Prince Edward Island and Manitoba on Monday. The agreements include a framework for direct-to-consumer alcohol sales between the provinces, in addition to measures aimed at boosting interprovincial labour mobility and investment while strengthening public safety and maintaining Crown corporations. A similar MOU was signed between Saskatchewan and Ontario prior to the first ministers meeting in Saskatoon in early June. The total value of interprovincial trade between Saskatchewan and PEI was $44.25 million in 2021 – while trade with Manitoba totalled $6 billion. The announcements come as provincial premiers gathered for three days of meetings in Muskoka, Ont. and just days after Moe called on all provincial leaders to join the New West Partnership. 'You see numerous memorandum of understandings being signed, various pieces of legislation building on, not only the Canadian Free Trade Agreement that we have and some of the exemptions that are being removed, but maybe a discussion today about moving forward with a little bit more expansive agreement,' Moe said told reporters, referring to his New West Partnership pitch. 'These are all steps. They're steps in the right direction. We need to have free and open trade between our provinces.'
