
CMB.TECH's update on the Golden Ocean merger process
The transaction is structured as a stock-for-stock merger, with Golden Ocean merging with and into CMB.TECH Bermuda Ltd. ("CMB.TECH Bermuda'), a wholly-owned subsidiary of CMB.TECH, with CMB.TECH Bermuda as the surviving company (the 'Merger'). In the framework of the Merger, all outstanding common shares of Golden Ocean[1] will ultimately be exchanged for newly issued CMB.TECH ordinary shares at an exchange ratio of 0.95 ordinary shares of CMB.TECH for each common share of Golden Ocean (the 'Exchange Ratio'), subject to customary adjustments pursuant to the agreement and plan of merger dated 28 May 2025 (the 'Merger Agreement'). Upon closing of the Merger, CMB.TECH would issue approximately 95,952,934 new ordinary shares, assuming the Exchange Ratio is not adjusted.
CMB.TECH notes that the notice by Golden Ocean to hold a special general meeting on 19 August 2025 at 9.00 am ADT, at Hamilton Princess and Beach Club, 76 Pitts Bay Road, Hamilton HM 08, Bermuda, to vote on, among other things, the approval of the Merger Agreement, the Bermuda Merger Agreement (as defined in the Merger Agreement) and the transactions contemplated thereby including the Merger and the appointment of the exchange agent (the 'Golden Ocean SGM'), is available on Golden Ocean's website: GOGL – Notice of Special General Meeting – Golden Ocean. Golden Ocean shareholders of record at the close of business on the record date (16 July 2025) will be entitled to vote at the Golden Ocean SGM.
Subject to a positive outcome of the Golden Ocean SGM, approval of the secondary listing on Euronext Oslo Børs and timely fulfillment of the Merger closing conditions set forth in the Merger Agreement, such as the Golden Ocean refinancing, which is progressing, the parties intend to complete the Merger as soon as possible after the Golden Ocean SGM. The parties currently expect closing to take place on or around 20 August 2025, which would also be the first day of trading for the newly issued shares on NYSE, Euronext Brussels and, tentatively, the first day of trading of CMB.TECH on Euronext Oslo Børs. The day prior to the closing date would be the last day of trading of Golden Ocean's common shares on Nasdaq and on Euronext Oslo Børs.

CMB.TECH understands that Golden Ocean has received customary demand letters for additional disclosure in relation to the Registration Statement, as well as correspondence from certain shareholders stating their intention to exercise their rights as dissenting shareholders under Bermuda law, and notes that related legal proceedings have been filed. Forward Air misses Q2 mark; investors await strategic review decision
Transportation and logistics provider Forward Air missed second-quarter expectations on Monday after the market closed. Forward Air didn't provide an update on an ongoing strategic review process that could include selling the company following the fallout of its heavily contested merger with Omni Logistics. For the time being, Forward's current leadership team is tasked with executing a marketing plan that now includes a freight forwarding business alongside its legacy linehaul operations. Forward (NASDAQ: FWRD) reported a second-quarter net loss from continuing operations of $20.4 million ($12.6 million attributable to Forward Air, or 41 cents per share). The result was worse than the consensus estimate calling for a per-share loss of 26 cents. Consolidated revenue of $619 million was 4% lower year over year. Revenue increased 1% from the first quarter. Forward's management team touted 'across-the-board' business wins in truckload, international airfreight and ground transportation on a Monday evening conference call. It said many of the wins came from existing customers. Recent press releases from the company referenced the addition of 15,000 annual expedited TL shipments from a 'leader in the package delivery services industry,' as well as a separate distribution services and TL contract with an athletics brand. The company's expedited segment, which includes less-than-truckload operations, reported a 12% y/y revenue decline to $258 million. Tonnage fell 13% y/y (up slightly from the first quarter) while revenue per hundredweight, or yield, increased 2% y/y excluding fuel surcharges (flat sequentially). The yield improvement was attributed to 'pricing actions' taken earlier this year. Forward again increased shipment weights in the quarter. Weight per shipment was up 3% y/y in the period (up less than 1% sequentially). (Higher shipment weights negatively impact the yield calculation.) Expedited reported a 7.6% operating margin, which was 10 basis points higher y/y and 130 bps better than the first quarter. Salaries, wages and benefits (as a percentage of revenue) declined 100 bps y/y. Purchased transportation expenses were down 60 bps. Adjusted earnings before interest, taxes, depreciation and amortization of $30 million in the unit was $4 million higher than in the first quarter. An 11.6% adjusted EBITDA margin was 120 bps better sequentially. Omni reported revenue of $328, a 5% y/y increase. The segment recorded adjusted EBITDA of $30 million (a 9% adjusted EBITDA margin) compared to $26 million in the first quarter (a 7.9% adjusted EBITDA margin). Consolidated adjusted EBITDA of $74 million was $5 million higher than in the first quarter. That pushed last 12 months' (LTM) adjusted EBITDA to $298 million. Net debt of $1.69 billion stood at 5.7 times LTM adjusted EBITDA, an increase from 5.3 times at the end of the first quarter. Liquidity at the end of the second quarter was $368 million, a $25 million decline from the first quarter. However, the change included $34 million in semi-annual interest payments. Cash flow from operations totaled $14 million in the first half of the year. (The company used $13 million in cash in the second quarter.) Shares of FWRD closed on Monday at $28.57, down 5.6% on the day and well below the $110 closing price on the last trading session before the merger was announced in August 2023. The stock was 1.3% higher in after-hours trading on Monday. Report – Inter Milan Put Off By €70M Price Tag For Monaco Star
Inter Milan are reportedly put off by the €70 million price tag from Monaco to sign forward player Maghnes Akliouche. This according to French outlet L'Equipe, via FCInterNews. Right now, Inter Milan are still all-in on signing Ademola Lookman. However, the Nerazzurri are accepting the possibility that their pursuit of the Nigerian could fail. Inter see Lookman as a perfect opportunity to bolster their attack with a proven commodity from within Serie A. However, they will not break the bank to sign the 27-year-old. And if Inter cannot sign Lookman for what they consider a reasonable fee, they will sign a different attacker. The 23-year-old certainly impressed in a recent friendly match against Inter. He scored the opening goal within a minute. Therefore, it was not necessarily a surprise to see the Nerazzurri approach Monaco with an interest in signing Akliouche. According to L'Equipe, however, the price tag proved to be prohibitive. Monaco want a fee of €70 million for Akliouche. And that is more than Inter are able to spend.

Why quality non-US stocks are the 'cream of the crop'

So for me personally, I think I think the cream of the crop of the companies that are uh growing the same or better and people are ignoring would be quality stocks outside the United States. Look, let's let's set the stage here for a second. I don't think most people realize that the Euro stocks index is up about 20 something percent this year. Germany is up 30 something percent in US dollar terms versus Nasdaq up 9 to 10. Right? So the backdrop is you've already got a lot of performance going on that nobody cares about, but if you look at non-US quality, their growth rate, their anticipated growth rate is the same in some cases better than the MAG 7. They give you 10 times the dividend yield, basically 0.3 versus three, and they're selling at discounts of 30 to 50%. So Josh, the way I'd like to think about it is, if you could buy a Maserati for the price of a Chevy, wouldn't you do it? I think you probably would, and I think you'd probably ask me for two or three of them. Well, that's basically what's going on as the Maseratis are on sale. But Rick, you recently contributed to our Yahoo Finance chart book and so too did Steve Sosnick who's sitting next to me and you just hit on essentially exactly what Steve and I talked about during that project. Steve, you highlighted international stocks, right? And you you pointed out that rally. I mean, what do you make of sort of that side of the trade? Is there still more opportunity given the rally that we've seen outside of the US? Is that an area that you'd still be looking for? I would be, because for the for the reasons uh Rich just said. I mean, there there's a there are a lot of stocks that have been overlooked for years, and certainly you can't one thing you can't say about the the MAG 7 and friends is that they've been overlooked. Everybody everybody who's anywhere, thanks to um just their weights and indexes and FOMO and all these other factors, have been investing in them. So um yes, if you can if you can find these alternatives outside the US or or wherever, well, you know, even in the US, but but generally there's there's more of them outside the US. People have gotten um more tuned to that, um I think, you know, as the as the calendar turned, uh but that trade is not over yet. There there's still there's still plenty of value out there. I'm certainly not going to argue with that.
