The Star06-06-2025
KUALA LUMPUR: Ho Hup Construction Company Bhd has defaulted on revolving credit facilities totalling RM45.27 million, prompting a legal action by AmBank Islamic Bhd (AIB).
In a Bursa Malaysia filing today, the company stated that it received a notice of demand and termination dated May 29, 2025, from Lee & Koh, acting for AIB, regarding the respective credit facilities, on June 4, 2025.
It said the outstanding amount represents 13.37 per cent of Ho Hup's net assets of RM338.48 million based on audited results for the financial year ended Dec 31, 2023, and 31.97 per cent of its latest reported net assets of RM141.60 million.
"The default in payment arose due to the failure of the company to pay the instalment payments on the principal and interest due to cashflow difficulties,' it said.
On April 18, 2025, the company was classified as a Practice Note 17 listed issuer and is currently under the restraining order.
"The company plans to engage with AIB and other creditors on a debt restructuring proposal to regularise its financial position.
"The company has appointed an independent financial advisor to engage with the creditors for this purpose,' it added. - Bernama

Pestec trading halted on PN17 trigger

KUALA LUMPUR: Trading of Pestec International Bhd's securities was halted for an hour from 3.01pm yesterday after it triggered Practice Note 17 (PN17) listing requirements. This was due to its shareholders' equity falling below 50% of its issued share capital, calculated based on the audited financial results of Pestech as at March 31, 2025, the company said in a filing with Bursa Malaysia. Pestec said it would submit an application for a waiver from being classified as a PN17-affected listed issuer, citing measures already taken. These include undertaking the listing and quotation of 231.79 million restricted shares on the Main Market of Bursa Malaysia on June 13, 2025, at an issue price of RM0.12 per share. — Bernama

Pestec triggers PN17, seeks waiver from Bursa

KUALA LUMPUR: Pestec International Bhd has triggered Bursa Malaysia's Practice Note 17 (PN17) criteria after its audited results showed shareholders' equity fell to half or less of its issued share capital as at March 31, 2025. In a filing with Bursa Malaysia today, the company said it will apply for a waiver from being classified as an affected listed issuer, citing measures already taken to strengthen its financial position. Pestec said it had completed the listing and quotation of 231.79 million restricted shares on the Main Market on June 13 at an issue price of 12 sen each, which increased its share capital from RM392.94 million to RM420.76 million. Pestec said it initiated a pre-packaged scheme of arrangement under Section 369C of the Companies Act 2016, which was approved by scheme creditors on Jan 15 and subsequently sanctioned by the Kuala Lumpur High Court on April 28. The scheme was lodged with the Companies Commission on May 26. A day later, Pestec made a single payment of RM65 million to scheme creditors and secured a debt waiver of RM202 million. "The company has already taken measures to regularise its financial condition," Pestec said, adding that further announcements will be made in line with the bourse's requirements.

Plywood products manufacturer Annum to be delisted on Aug 12

KUALA LUMPUR: The securities of plywood products manufacturer Annum Bhd shall be delisted from Bursa Malaysia on Aug 12, 2025, following the dismissal of the company's appeal for an extension of time to submit its regularisation plan. "With respect to the securities of the company which are currently deposited with Bursa Malaysia Depository Sdn Bhd (Bursa Depository), the securities will be withdrawn from Bursa Depository by the Company upon the de-listing of the securities from the Official List of Bursa Securities. "The company will continue to update and maintain the shareholders' information in their Register," said the stock exchange in an announcement today. Bursa Malaysia said the company will be delisted pursuant to paragraph 8.04 of the Main Listing Requirements. It added that the company will continue to exist as an unlisted entity, and will be able to continue its operations and business and proceed with its corporate restructuring. "Its shareholders can still be rewarded by the company' performance," it said. However, the shareholders will be holding shares that are no longer quoted and traded on Bursa Malaysia. The interests and rights of the shareholders will remain safeguarded under the Companies Act 2016. Trading in Annum's shares has been suspended since May 28, 2025. At its last close on May 27, 2025, the share was traded at 0.5 sen a unit. The company, formerly known as Cymao Holdings Bhd, was required to submit a regularisation plan after being classified as a Practice Note 17 company on May 8, 2024, following a disclaimer of opinion issued by Messrs SBY Partners PLT for the period ended June 30, 2023. Subsequently on April 30, 2025, auditors Messrs LTTH PLT also expressed a disclaimer of opinion on the financial statements of the group as it had not been able to obtain sufficient appropriate audit evidence to provide a basis for an audit opinion.
