
Torrent Pharma not planning to make leadership changes after buying JB Pharma
Torrent said on Sunday that it would acquire a controlling stake in JB Pharma from global investment firm KKR, at an equity value of ₹ 25,689 crore. The deal will be followed by a merger of the two entities. The deal is expected to be completed in 15-18 months, and is likely to be funded through debt.
'At this stage, all we can share is that there is no intention to change anything in business as usual,' Aman Mehta, whole time director and managing director-designate at Torrent Pharmaceuticals, told investors when asked about leadership plans for JB Pharma.
'In terms of how we plan to integrate, we do recognize that the scale of this acquisition is far larger than our past ones. So it's not really comparable in that sense,' said Mehta. '...directionally, even in this case, it should be fairly similar to what we've seen in the past three deals,' he added.
In the last five years, under the leadership of chief execuitve officer Nikhil Chopra, JB Pharma has emerged as one of the fastest growing pharma companies in India. Chopra, who was previously executive vice president—India business at Cipla, was brought on after investment firm KKR acquired a 54% stake in JB Pharma from the promoters, the Mody family, in July 2020 for about ₹ 3,100 crore, or ₹ 745 per share.
Torrent's management declined to share specifics on future plans for the deal.
The transaction is expected to be EPS (earnings per share) accretive by FY28, which would be the first year of the merged entity, said Sudhir Menon, chief financial officer at Torrent Pharma.
Torrent is acquiring a 46.39% equity stake (on a fully diluted basis) in JB Pharma through a share purchase agreement for ₹ 11,917 crore at ₹ 1,600 per share, followed by a mandatory open offer to acquire up to 26% of the company's shares from public shareholders, at an open offer price of ₹ 1,639.18 per share, amounting to about ₹ 6,843 crore.
Torrent also intends to acquire up to 2.80% of equity shares from certain employees of JB Pharma at the same share price as KKR, that is ₹ 1,600 per share, totalling about ₹ 719 crore.
The acquisition will be followed by a merger between Torrent and JB Pharma through a scheme of arrangement, subject to necessary regulatory approvals.
The acquisition will provide Torrent access to a fast-growing India franchise, with JB's leading brands in the chronic segment, and entry into untapped therapeutic areas like ophthalmology, and IVF.
Following the deal, Torrent moves up the rank in the Indian drug market from the 7th position to 5th position. 'If the double digit growth sustains in merged entity, we think Torrent can become #4 ranked company in India in 3-4 years,' said brokerage Nuvama in a note.
The deal also facilitates Torrent's entry into the contract development and manufacturing organization segment. It will also aid consolidation in key international markets.
'Although JB Chemicals has been operating efficiently under KKR's ownership, the merger is expected to unlock further value through the reduction of corporate costs and potential synergies in the field force, particularly as both companies have a strong presence in cardiology and gastroenterology therapies,' analysts at JM Financial said in a note.
Torrent is likely to finance the deal through debt.
'At the outset, the leverage required for this transaction is looking quite comfortable from a servicing point of view. However, depending on the MTO (mandatory tender offer) outcome, which is a variability which is there, we will see if equity mix is required at all,' Menon told investors.

Kotak Bank launches Solitaire to target India's growing affluent class

The Mumbai-based private lender backed by billionaire Uday Kotak Wednesday launched 'Kotak Solitaire,' an offering targeted at salaried customers with Rs 0.75 crore ($86,786) in relationship value and self-employed clients with Rs 1 crore. 'The affluent segment is growing twice as fast the rest of the wealth market,' said Rohit Bhasin, chief marketing officer at Kotak Mahindra Bank. Through Solitaire, Kotak is looking to grow its 4 per cent market share among affluent Indians by offering them banking and investment products and services usually reserved for the wealthy and super-rich, he said. The move comes as independent wealth managers like 360 One WAM Ltd., Nuvama Wealth Management Ltd. and Blackstone Inc.-backed ASK Group are spreading out across the country to woo high networth individuals beyond India's metropolitan centers. 'This is a stickier customer, you can earn more from affluent customers and their needs pan out across products,' Bhasin said. More than a third of the bank's business comes from its affluent customers, he added. Kotak is India's fourth-largest private bank after HDFC Bank Ltd., ICICI Bank Ltd. and Axis Bank Ltd. Its private banking division is among the largest wealth managers in the country, catering to individuals with over $1 million in investable assets and servicing 60 per cent of India's top 100 families. Solitaire's offerings include dedicated relationship managers, access to alternative assets, portfolio management services and lifestyle products, the bank said in a release. For businesses, there will be enhanced working capital loans, payments, cash management and forex services. Kotak managed assets worth Rs 8.45 trillion across its private banking, priority banking and investment advisory divisions as of March 31. The bank's shares closed 0.5 per cent higher at Rs 2,170.40 in Mumbai on Wednesday.

Reliance Industries faces scrutiny as EU targets diesel from Russian crude
By Yongchang Chin, PR Sanjai and Rakesh Sharma The oil-procurement patterns of India's Reliance Industries Ltd. are coming under scrutiny after the European Union announced new restrictions on diesel made from Russian crude. Reliance bought Abu Dhabi's Murban crude in a rare purchase late last week, traders said, adding that it picked up the cargo soon after Friday's sanction package. The private refiner isn't a regular buyer of the UAE grade, a premium crude that tends to be costlier than its regular appetite of Russian Urals and heavier Middle Eastern varieties. Separately, people familiar with Reliance's import plans said the company has begun seeking to diversify its crude purchases away from Russia, its single-biggest source of oil so far this year. The people asked not to be identified as they aren't authorised to speak publicly. Reliance, a mega refiner owned by billionaire Mukesh Ambani, and other Indian processors have been among the world's top beneficiaries of Moscow's war in Ukraine. Europe shunned Russian crudes soon after the 2022 invasion, leading to deep cargo discounts that enticed Indian refiners to crank up opportunistic buying for production of fuels such as diesel, which it resold to western customers. An Airbus jet owned by Reliance Industries landed in Moscow's Vnukovo airport on Wednesday morning, according to data from flight tracking website FlightRadar24. The plane last took a flight to Russia last December, the data shows. It's not clear if Ambani was on board. A Reliance spokesman wasn't immediately available to comment. According to ship-tracking data compiled by Kpler, Russia has supplied almost half of Reliance's crude imports so far this year. In turn, around one-fifth of the processor's total product exports were sold to Europe. The process of refining Russian crude into diesel for sales into Europe has put Reliance in the line of fire of EU's latest pressure on Moscow, with the ban set to take effect Jan. 21 next year. While it's too early to tell if Reliance will pivot dramatically away from Russia, traders say there are some initial signs of the company seeking alternatives from places such as the Middle East. Still, it's unclear how the mega refiner will source close to 600,000 barrels a day of crude from other producers, and at what cost, they added. So far, the South Asian nation has been critical of latest EU sanctions, with India's Foreign Secretary Vikram Misri on Tuesday saying that there was a need for 'balance' when secondary sanctions are imposed on the purchase of Russian oil and gas.

India, UK likely to sign FTA today; business heavyweights converge
Prime Minister Narendra Modi and his British counterpart, Keir Starmer, are set to meet on Thursday for the formal signing of the long-negotiated India–UK free-trade agreement, marking a significant moment in bilateral ties. The signing is scheduled to take place at Chequers, the British prime minister's countryside retreat in the Chiltern Hills of Buckinghamshire. The 16th-century manor, located roughly two hours from London, will provide the backdrop for the ceremonial close of years of talks between the two nations. 'I am embarking on a visit to the UK and the Maldives from July 23 to 26. India and the UK share a Comprehensive Strategic Partnership that has witnessed significant progress in recent years. Our collaboration spans a wide range of sectors, including trade, investment, technology, innovation, defence, education, research, sustainability, health and people-to-people ties,' Modi said in an official statement ahead of his departure. Commerce and Industry Minister Piyush Goyal, along with senior officials from the commerce department — including Special Secretary and Chief Negotiator L Satya Srinivas, Industry Secretary Amardeep Singh Bhatia — and a high-powered business delegation, are already in London for the occasion. While Goyal and UK Business and Trade Secretary Jonathan Reynolds are expected to ink the agreement on Thursday, a business-to-business summit is set for the following day. Delegates from both countries will explore how to leverage the trade pact's provisions and expand opportunities under the new framework. The timing of the signing is seen as strategically significant. India is also in the advanced stages of concluding a trade deal with the United States, at a time of rising geopolitical polarisation. The Union Cabinet approved the FTA on Tuesday. While implementation in India is now a formality, the UK must still seek approval from Parliament. Once enacted, the agreement is expected to bring substantial benefits. India will see British tariffs eliminated on around 99 per cent of tariff lines, essentially encompassing the full trade value between the countries. Indian tariffs, in turn, will be reduced or eliminated on 90 per cent of tariff lines, with 85 per cent becoming fully duty-free within a decade. The deal is expected to boost Indian exports to the UK, making them more competitive through tariff reductions and improved market access. S C Ralhan, president of the Federation of Indian Export Organisations (FIEO), said the agreement could have a positive impact on job creation, particularly in labour-intensive sectors such as textiles, leather and jewellery. It could also lead to a rise in bilateral investment flows. Kirit Bhansali, chairman of the Gems and Jewellery Export Promotion Council (GJEPC) and a member of the Indian delegation, projected that exports of gems and jewellery to the UK could nearly treble to $7 billion in the next financial year. 'We are expecting exports of studded jewellery to pick up,' Bhansali said. India is expected to import gold, silver, and platinum from the UK in return, though these will be subject to a certain cap. Bilateral trade between India and the UK stood at over $55 billion in FY24. The UK is currently the sixth largest investor in India, with cumulative investments of $36 billion, while India has invested nearly $20 billion in the UK, according to data from the Ministry of External Affairs.
