Pennsylvania-based Limbach Holdings extended a move into long-term service contracts by acquiring Minnesota-based mechanical contractor Pioneer Power, Inc., earlier this month for $66 million.
Limbach specializes in developing and upgrading HVAC, plumbing and other facility infrastructure projects. With the acquisition, it's building on a shift since going public in 2021 to add more owner-direct relationships business to its portfolio. ODR business typically involves ongoing maintenance and repair work for facilities as part of longer term contracts.
'It aligns well with our strategic shift towards prioritizing ODR,' said Michael McCann, Limbach's president and CEO.
The move into more ODR business enables Limbach to tap into an expanding profit area, says Valens Research.
'Over time, they expand the scope of services they take on for clients by cross-selling additional offerings and completing projects like equipment replacement,' Valens Research Chief Investment Strategist Joel Litman and Director of Research Rob Spivey say in their analysis.
The majority of Pioneer Power's revenue comes from time and materials contracts, and small capital project work focused on maintenance, renovation and retrofit activity, according to Limbach. Pioneer's scope of work includes capital projects, facility expansions, renovations and retrofits, and recurring industrial maintenance services. It primarily operates in the upper Midwest.
With the acquisition, Limbach is building on capabilities it acquired in its 2024 purchase of Consolidated Mechanical, which provides mechanical, millwright, steel fabrication, plumbing, maintenance and outage services in Kentucky, Michigan and Illinois. That deal was for $23 million.
Under ODR contracts, Limbach works directly with building owners to provide facility services over extended periods — typically five to 10 years.

Zillow hit with federal copyright lawsuit over 47K allegedly stolen property photos

Real estate player CoStar, parent of and is suing Zillow, claiming the online real estate marketplace is using tens of thousands of its copyrighted photographs to prop up its business. In court documents filed with the Southern District of New York this week, CoStar said it is trying to 'redress Zillow's widespread and systematic infringement of CoStar's copyrighted photographs, which Zillow has unlawfully exploited to bolster its online rental listings business.' CoStar claimed in the June 30 filing that Zillow had displayed and profited off of nearly 47,000 CoStar-copyrighted images on and other Zillow sites, with many of the images even including the CoStar watermark. In many cases, an image will appear on multiple different Zillow pages and different versions of listings, displaying over 250,000 times, according to the suit. 'Zillow's misconduct is not limited to the Zillow family of websites. Through lucrative syndication agreements, Zillow is also distributing CoStar's images to its partnership network of listing websites, hosted by Zillow's supposed competitors, and Redfin,' CoStar stated in the suit. CoStar said in a release that it invested billions of dollars to create 'the most comprehensive database of real estate information' including building what it describes as the 'world's largest library of real estate photographs.' The company said it has employed and hired thousands of professional photographers who have created millions of real estate images, which are owned and copyrighted by CoStar Group. CoStar Group is suing Zillow, as the real estate giant claims they are using its copyrighted photographs to prop up their business. Rafael Henrique – FOX Business reached out to Zillow for comment. This adds to the mounting legal challenges that Zillow is facing. This marks the second time within five weeks that Zillow has been hit with a lawsuit. The first came from real estate brokerage Compass, which filed a 60-page complaint in Manhattan federal court, claiming that Zillow is improperly refusing to list homes on its site that were first listed elsewhere. Court documents sent to the Southern District of New York acknowledge that Zillow is using copyrighted photos from CoStar to 'bolster its online rental listings business.' Koshiro K – Compass, based in Manhattan, is seeking an injunction against Zillow to force them to change their practices, as well as monetary damages. Seattle-based Zillow has about 160 million homes in its database, receives 227 million unique visitors a month and received 2.4 billion visits between January and March, according to Reuters. They called Compass' claims 'unfounded' and told FOX Business that it 'will vigorously defend against them.'

Uniper and Tourmaline sign eight-year natural gas supply agreement

Uniper has entered into a long-term natural gas supply agreement with Tourmaline, which spans eight years starting from November 2028. The liquefied natural gas (LNG) netback supply agreement will see Tourmaline supply Uniper with 80,000 million British thermal units (MBtu) of natural gas per day, amounting to an estimated 234 billion cubic feet over the lifetime of the agreement. The gas will be delivered to the ANR trading hub in south-east Louisiana, with pricing based on the Dutch title transfer facility (TTF). This arrangement provides Tourmaline with exposure to international pricing, a strategic move for Canada's largest natural gas producer. Uniper chief commercial officer Carsten Poppinga said: 'We are extremely pleased to close this deal with one of Canada's most respected gas producers. 'It showcases our ability to offer important international pricing exposure to a valued North America supplier and further diversifies Uniper's LNG supply sourcing portfolio, an important aspect of our European security of supply objectives.' The deal follows Uniper's separate LNG agreement with Woodside Energy, which includes commitments from Woodside's US-based Louisiana LNG production and export terminal for up to two million tonnes per annum. Tourmaline president and chief executive officer Mike Rose said: 'This long-term supply agreement with Uniper supports the continued execution of our market diversification strategy. We are proud to be supplying Canadian natural gas to meet rising demand in international markets and to enhance European energy security.' Furthermore, in September last year, Uniper and ConocoPhillips broadened their long-standing gas collaboration, agreeing to a deal that will see the provision of as much as ten billion cubic metres of natural gas over the coming decade. In a shared announcement, the two companies disclosed that ConocoPhillips will deliver natural gas to Uniper in north-western Europe, capitalising on its current network of gas pipelines and its expanding LNG portfolio.
