SCOTTSDALE, Ariz., Aug. 18, 2025 (GLOBE NEWSWIRE) — TILT Holdings Inc. ('TILT' or the 'Company') (Cboe CA:TILT) (OTCID: TLLTF), a global provider of cannabis business solutions that include inhalation technologies, cultivation, manufacturing, processing, brand development and retail, announced today the closing of the sale of two of its Massachusetts dispensaries to In Good Health. The definitive agreement for this transaction was previously announced on February 3, 2025. Simultaneously, with the closing, the parties entered into an amendment adjusting the purchase price to $1.75 million.
The retail transaction is part of TILT's overall strategic alternatives review. Under the terms of the transaction for the two stores, In Good Health will operate the Taunton location going forward and the Brockton dispensary was shut down.

(the 'Company' or 'Next Hydrogen') (TSXV:NXH, OTC:NXHSF) is pleased to announce that further to its press release dated July 23, 2025, it entered into a loan agreement with certain existing directors and officers of the Company (the 'Lenders') providing for the advance of an unsecured loan (the 'Loan') bearing interest at 5.0% per annum in the principal amount of $530,000. The Loan was advanced on July 23, 2025, and matures on the date that is one year from the advance of the Loan (the 'Maturity Date'). The advance of the Loan was completed immediately prior to the advance of a $1 million loan from an arm's length commercial lender (the 'Original Loan'). In consideration of the advance of the Loan by the Lenders, the Company issued to the Lenders, an aggregate of 214,140 common shares of the Company ('Common Shares') at a deemed price of $0.495 per share as bonus shares (the 'Loan Bonus Shares'), representing approximately 20% of the principal amount of the Loan. A set-up fee of $20,000 is also payable to the Lenders on the Maturity Date.
