
NOVAGOLD Files Second Quarter 2025 Report
Strengthened the Company's treasury by completing a public equity offering and a private placement of 65 million shares, resulting in approximately $234 million in net proceeds.
Advanced the Donlin Gold 15,000-meter drill program now focused on converting and expanding reserves and resources.
VANCOUVER, British Columbia, June 25, 2025 (GLOBE NEWSWIRE) -- NOVAGOLD RESOURCES INC. ('NOVAGOLD' or 'the Company') (NYSE American, TSX: NG) today filed its 2025 second quarter report and provided an update on its Tier One 1 gold development project, Donlin Gold, which is owned 60 percent by NOVAGOLD and 40 percent by funds managed by Paulson Advisers LLC ('Paulson').
Details of the financial results for the quarter ended May 31, 2025, are presented in the consolidated financial statements and quarterly report on Form 10-Q filed on June 25, 2025, that is available on the Company's website at www.novagold.com, on SEDAR+ at www.sedarplus.ca, and on EDGAR at www.sec.gov. All amounts are in thousands of U.S. dollars.
As detailed in the above filings, after closing a public equity offering and private placement on May 9, 2025, NOVAGOLD held approximately $319 million in cash and term deposits as of May 31, 2025, and reported net second quarter cash expenditures of $8.3 million — including $6.8 million to fund NOVAGOLD's share of the Donlin Gold project and $1.6 million in corporate general and administrative costs.
For the second quarter of 2025, the Company reported earnings of ($54,275) and earnings per share of ($0.15), primarily due to a non-cash, non-recurring charge of $39,607 related to the warrants issued under the backstop commitment agreement announced during the quarter. As the commitment expired unexercised during the quarter, the fair value of the issued warrants was recorded as a non-cash expense impacting the three- and six-month earnings per share results ending May 31, 2025 by $0.11 and $0.12 after-tax, respectively. Excluding the impact of this one-time charge, NOVAGOLD's results for the first three and six months of fiscal 2025 reflect higher expenditures at Donlin Gold, while remaining in line with budget, due to ongoing 2025 field program underway since February.
Subsequent to quarter end, NOVAGOLD and Paulson completed a $1 billion acquisition 2 of Barrick Mining Corporation's ('Barrick') 50 percent interest in Donlin Gold LLC (the 'Donlin Gold Transaction'), increasing NOVAGOLD's interest to 60 percent. Additionally, the Company closed the public offering overallotment option exercise early in the third quarter, resulting in approximately $26 million in net proceeds. Pro-forma the June 3, 2025 closing of the Donlin Gold Transaction, including the direct legal and transaction costs, and the June 5, 2025 closing of the overallotment option, NOVAGOLD's treasury was approximately $136 million in cash and term deposits.

Together with Paulson, announced the $1 billion acquisition of Barrick's 50% interest in Donlin Gold LLC, with the Company increasing its economic interest to 60% and Paulson purchasing a 40% interest. This transaction marks a significant milestone in a long-term strategy to advance Donlin Gold.
Funded the acquisition of the additional 10% interest in Donlin Gold LLC through a combination of an underwritten public offering ($195.2 million or approximately 48 million shares, not including the overallotment option that closed on June 5, 2025) and a concurrent private placement ($64.4 million or approximately 17.2 million shares) that closed on May 9, 2025 — the proceeds from which were used by NOVAGOLD to purchase an additional 10% interest in Donlin Gold LLC, fund its share of expenses to update the Donlin Gold Feasibility Study, and for general corporate purposes.
Increased the Company's treasury to approximately $319 million in cash and term deposits as of May 31, 2025.
Held the 2025 virtual Annual General Meeting on May 15 at which all nominated directors were elected with strong shareholder participation.
In the second quarter of 2025, Donlin Gold LLC achieved the following milestones:
Initiated efforts to prepare for the updated Feasibility Study, following completion of the Donlin Gold Transaction. A dedicated project team will be assembled at Donlin Gold to advance this work. The contract(s) for this work are expected to be awarded by year-end.
Commenced drilling in February with a total of approximately 8,401 meters completed out of 15,000 planned meters now focused on resource conversion and expansion, after the announcement of the Donlin Gold Transaction.
Met with the Alaska Congressional delegation and industry officials in Washington, D.C. to introduce Donlin Gold's new General Manager, Todd Dahlman, and reinforce the project's importance to Alaska and the Yukon-Kuskokwim (Y-K) region.

This quarter was transformational in numerous ways for NOVAGOLD — starting with the announcement of the transaction whereby the Company and Paulson agreed to purchase Barrick's 50 percent stake in the Donlin Gold project, which closed on June 3, 2025, increasing our economic interest to 60 percent and reintroducing the Company to the market at large with a successful roadshow in the U.S. and Europe. This watershed event was followed by an oversubscribed public equity offering and private placement that enabled us to pay for the additional 10 percent stake in the project and fund ongoing activities, including our share of costs for an updated Donlin Gold Feasibility Study. Adding Valuation Through the Drill Bit
In the second quarter of 2025, Donlin Gold made substantial progress on key initiatives and activities including the commencement of Donlin Gold's 15,000-meter drill program which pivoted on May 4, 2025, to prioritize resource conversion and expansion with a crew of 60 at site. Reinforcing the Project's Importance Through Engagement and Support for Environmental, Cultural, and Social Initiatives in the Y-K Region
During the second quarter of 2025, Donlin Gold's new General Manager and other team members travelled to Washington, D.C. to meet with the Alaska Congressional delegation, Governor Mike Dunleavy, Karen Kelleher, Alaska's Bureau of Land Management acting Director, Department of Interior representatives, and other industry representatives and elected officials, reinforcing the project's importance to Alaska and the Y-K region.
In March, Donlin Gold and NOVAGOLD conducted a follow-up community meeting in Crooked Creek, the closest village to the project, to share information, answer questions, and discuss the project's importance. Additionally, in May, Donlin Gold hosted the fifth Subsistence Community Advisory Committee (SCAC) meeting at the Donlin Gold project site, which included tours of the camp and facilities as well as presentations on topics related to the project such as mining processes, ongoing aquatic resource management and Snow Gulch restoration work.
In April, Donlin Gold continued its participation and support of the Summer Safety Program with NOVAGOLD team members, traveling along the Kuskokwim River with 2019 Iditarod champion and Donlin Gold employee, Pete Kaiser. Together, they visited seven villages in the Y-K region to distribute life jackets and promote water safety among local residents.
That same month, Donlin Gold extended its support to 47 communities for the annual 'Clean-up Green-up' program. This initiative targets the collection and proper disposal of trash that accumulate over the winter months from the tundra, roads, public areas, and beaches in the Y-K region.
Maintaining Current Permits and Pursuing Key State Approvals
In State litigation, Donlin Gold continued to support the state agencies in defending their issuance of Donlin Gold's water rights permits, State pipeline Right-of-Way (ROW), and 401 Water Quality Certification. The cases challenging the water rights permits and pipeline ROW have been fully briefed and argued before the Alaska Supreme Court, and decisions are anticipated in 2025. The Alaska Superior Court in Anchorage issued a decision on May 6, 2025, upholding ADEC's issuance of the 401 Water Quality Certification to Donlin Gold. Earthjustice filed a notice of its intent to appeal that decision to the Alaska Supreme Court on May 28, 2025.
On September 30, 2024, a federal court upheld the federal agencies' analysis on two of the three issues raised in a challenge to Donlin Gold's Joint Record of Decision, 404 permit, and pipeline ROW. The plaintiffs filed a request for reconsideration on one of these issues, which the Court subsequently denied. Briefing on the appropriate remedy to address the Court's decision that a hypothetical larger tailings release should have been analyzed is complete and a hearing was held May 9, 2025. Subsequent to the quarter end, on June 10, 2025, the federal District Court issued an order denying Earthjustice's request to vacate the permits and remanding the case to the agencies to supplement the NEPA analysis on the narrow issue regarding the analysis of a release from the tailings storage facility. The Court retained jurisdiction over the case during the remand and ordered the agencies to file periodic status updates with the court.
In 2024, Donlin Gold submitted the preliminary design packages for the Dam Safety Certificates to ADNR. Comments from ADNR on these packages are anticipated in 2025. Bids have been received and are currently under evaluation for the detailed design package work.
Permitting activities at the Donlin Gold project commenced in 2012 and were followed by an extensive, highly diligent, thorough and transparent process by the state and federal agencies with support from Donlin Gold and Calista Corporation. With the receipt of the federal Record of Decision and 404 permit in 2018, followed by most of the state permits in the ensuing years, Donlin Gold will continue to work with the agencies to obtain the remaining permits and maintain the issued permits in good standing.

Looking ahead, the new ownership of Donlin Gold LLC is expected to build significant momentum as we enter the next phase of development and reinforce the long-term potential of Donlin Gold. Our near-term priorities include commencing the Feasibility Study update, executing the 2025 drill program now focused on converting and expanding reserves and resources, and pursuing further exploration at depth. We are also supporting state permitting efforts and engaging proactively with government representatives.
In addition, stakeholder outreach and investment initiatives across Alaska are ongoing and will continue to be a core focus through all stages of development, construction, and operation. We remain committed to transparent communication and look forward to sharing updates on key milestones in the months ahead.

Liquidity and Capital Resources
In the second quarter and first six months of 2025, cash equivalents increased by $259,767 and $251,512, respectively, primarily due to $243,839 in proceeds from a public equity offering and concurrent private placement, net of $9,734 of transaction and issuance costs, and $34,000 in net proceeds from term deposits partially offset by Donlin Gold funding and corporate general and administrative costs.
Cash used in operating activities in the second quarter and first six months of 2025 was $433 and $519 higher, respectively, than the comparative prior year periods. Funding of Donlin Gold was $3,088 and $3,079 higher in the second quarter and first six months of 2025, respectively, due to increased site activity in 2025 than the comparative prior year periods when field work activities were minimal.
2025 Outlook
Our share of funding for the Donlin Gold project in the first six months of 2025 was $10.4 million, in line with previously issued 2025 guidance. Following the closing of the Donlin Gold Transaction on June 3, 2025, NOVAGOLD has begun a review of Donlin's 2025 work plan which is being amended to enable the commencement of a Feasibility Study. As such and given that our share of funding Donlin Gold's expenses increases from 50 percent to 60 percent with the closing of the Donlin Gold Transaction, we expect our share of Donlin Gold funding to be higher than our previously issued 2025 guidance of $21.5 million. Similarly, we expect NOVAGOLD's corporate general and administrative cash expenditures to be significantly higher than our previous guidance of $16.0 million in fiscal 2025, due to legal and transaction costs related to the Donlin Gold Transaction. NOVAGOLD intends to provide an update on the 2025 projected spending on or prior to the release of the Company's third quarter results.
NOVAGOLD aims to advance the Donlin Gold project through strategic initiatives, financial discipline, and stakeholder engagement. As part of this effort, Donlin Gold will be hiring for key positions to advance activities such as the updated Feasibility Study. The preparation of a request for proposal is in progress to select and award the contract(s) for the firm(s) that will be retained to complete the updated Feasibility Study. The recently redirected 2025 Donlin Gold 15,000-meter drill program is also in progress.

Vietnam automaker Vinfast opens factory in India, eyeing growth in Asia

(AP Photo/ Rafiq Maqbool) THOOTHUKUDI, India — Vietnam's Vinfast began production at a US$500 million electric vehicle plant in southern India's Tamil Nadu state on Monday, part of a planned $2 billion investment in India and a broader expansion across Asia. The factory in Thoothukudi will initially make 50,000 electric vehicles annually, with room to triple output to 150,000 cars. Given its proximity to a major port in one of India's most industrialized states, Vinfast hopes it will be a hub for future exports to the region. It says the factory will create more than 3,000 local jobs. The Vietnamese company says it scouted 15 locations across six Indian states before choosing Tamil Nadu. It's the center of India's auto industry, with strong manufacturing, skilled workers, good infrastructure, and a reliable supply chain, according to Tamil Nadu's Industries Minister T.R.B. Raaja. 'This investment will lead to an entirely new industrial cluster in south Tamil Nadu, and more clusters is what India needs to emerge as a global manufacturing hub,' he said. VinFast Asia CEO Pham Sanh Chau said the company has aspirations to export cars across the region and it hopes to turn the new factory into an export hub. The new factory could also mark the start of an effort to bring other parts of the Vingroup empire to India. The sprawling conglomerate, founded by Vietnam's richest man Pham Nhat Vuong, began as an instant noodle company in Ukraine in the 1990s and now spans real estate, hospitals, schools and more. Chau said Tamil Nadu Chief Minister M.K. Stalin had invited the company to 'invest in a big way' across sectors like green energy, smart cities and tourism, and said that the chief minister had 'promised he will do all what is necessary for us to move the whole ecosystem here.' A strategic pivot to Asia Vinfast's foray into India reflects a broader shift in strategy. The company increasingly is focusing on Asian markets after struggling to gain traction in the U.S. and Europe. It broke ground last year on a $200 million EV assembly plant in Indonesia, where it plans to make 50,000 cars annually. It's also expanding in Thailand and the Philippines. Vinfast sold nearly 97,000 vehicles in 2024. That's triple what it sold the year before, but only about 10% of those sales were outside Vietnam. As it eyes markets in Asia, it hopes the factory in India will be a base for exports to South Asian countries like Nepal and Sri Lanka and also to countries in the Middle East and Africa. India is the world's third-largest car market by number of vehicles sold. It presents an enticing mix: A fast growing economy, rising adoption of EVs, supportive government policies and a rare market where players have yet to completely dominate EV sales. 'It is a market that no automaker in the world can ignore,' said Ishan Raghav, managing editor of the Indian car magazine autoX. . A growing EV market in India EV growth in India has been led by two and three-wheelers that accounted for 86% of the over six million EVs sold last year. Sales of four wheel passenger EVs made up only 2.5% of all car sales in India last year, but they have been surging, jumping to more than 110,000 in 2024 from just 1,841 in 2019. The government aims to have EVs account for a third of all passenger vehicle sales by 2030. 'The electric car story has started (in India) only three or four years ago,' said Charith Konda, an energy specialist who looks at India's transport and clean energy sectors for the think-tank Institute for Energy Economics and Financial Analysis or IEEFA. New cars that 'look great on the road,' with better batteries, quick charging and longer driving ranges are driving the sector's rapid growth, he said. The shift to EVs is mostly powered by Indian automakers, but Vinfast plans to break into the market later this year with its VF6 and VF7 SUV models, which are designed for India. The company chose the VF7 for its India launch—unlike the models introduced in the U.S., Canada, the EU, or Southeast Asia—to position itself as a premium global brand while keeping the price affordable, added Chau, the Vinfast Asia CEO. Can Vinfast Succeed Where Chinese EVs Faltered? Chinese EV brands that dominate in countries like Thailand and Brazil have found India more challenging. After border clashes with China in 2020, India blocked companies like BYD from building their own factories. Some then turned to partnerships. China's SAIC, owner of MG Motor, has joined with India's JSW Group. Their MG Windsor, a five-seater, sold 30,000 units in just nine months, nibbling Tata Motors' 70% EV market share down to about 50%. Tata was the first local automaker to court mass-market consumers with EVs. Its 2020 launch of the electric Nexon, a small SUV, became India's first major EV car success. Vinfast lacks the geopolitical baggage of its larger Chinese rivals and will also benefit from incentives like lower land prices and tax breaks for building locally in India. That's part of India's policy of discouraging imports with high import duties to help encourage local manufacturing and create more jobs. The push for onshore manufacturing is a concern also for Tesla, which launched its Model Y in India last month at a price of nearly $80,000, compared to about $44,990 in the U.S without a federal tax credit. 'India's stand is very clear. We do not want to import manufactured cars, even Teslas. Whether it's Tesla or Chinese cars, they are taxed heavily,' added Konda. An uphill battle in a tough market The road ahead remains daunting. India's EV market is crowded with well-entrenched players like Tata Motors and Mahindra, which dominate the more affordable segment, while Hyundai, MG Motors and luxury brands like Mercedes-Benz and Audi compete at high price points. Indians tend to purchase EVs as second cars used for driving within the city, since the infrastructure for charging elsewhere can be undependable. Vinfast will need to win over India's cost-sensitive and conservative drivers with a reputation for quality batteries and services while keeping prices low, said Vivek Gulia, co-founder of JMK Research. 'Initially, people will be apprehensive,' he said. Vinfast says it plans to set up showrooms and service centers across India, working with local companies for charging and repairs, and cutting costs by recycling batteries and making key parts like powertrains and battery packs in the country. Chau added that after a customer clinic in September 2024 and input from top engineers in Vietnam, the company upgraded its feature list to better match Indian customer expectations. Scale will be key. VinFast has signed agreements to establish 32 dealerships across 27 Indian cities. Hyundai has 1,300 places for Indians to buy their cars. Building a brand in India takes time — Hyundai, for instance, pulled it off over decades, helped by an early endorsement from Bollywood superstar Shah Rukh Khan. Canada's economy is showing ‘resilience' against U.S. tariffs. Why?

THE CANADIAN PRESS/Rob Gurdebeke OTTAWA — 'Some resilience' — those were the two words Bank of Canada governor Tiff Macklem used last week to describe how the Canadian economy is holding up under the weight of U.S. tariffs. Just a few days later, U.S. President Donald Trump added 35 per cent tariffs on Canadian goods to a running tally that includes hefty duties on steel, aluminum, automobiles and, more recently, semi-finished copper. With tariffs piling up over the past few months, economists say Canada's economy is starting to show cracks — but few signs of collapse. TD Bank economist Marc Ercolao conceded it's a 'bit of surprise' to see the economy holding up against a massive disruption from Canada's largest trading partner. 'Many months ago, ourselves — as well as other economic forecasters — had an outlook for a much weaker Canadian economy. Obviously, that isn't manifesting now,' he said in an interview. 'We are avoiding the worst-case scenario.' What are tariffs doing to the economy? On Thursday, Statistics Canada gave a glimpse at how the economy wrapped up the second quarter of the year when many of those tariffs came into full effect. While the agency sees a couple of small contractions in real gross domestic product by industry in April and May, its flash estimates show the economy rebounding somewhat in June. If those early readings pan out, StatCan said that would be good enough for flat growth overall on the quarter. Some of those results are distorted by volatility — businesses rushing to get ahead of tariffs boosted activity in the first quarter, and that's giving way to weakness in the second quarter, for example. It's still hard to pinpoint exact impacts tied to tariffs, Ercolao said, but a broad trend is emerging. 'What we can say over the last six months or so is that economic activity is somewhat flatlining,' he said. Services sectors are holding up relatively well, but Ercolao said export-heavy industries such as manufacturing and transportation are bearing the brunt of the impact. In an attempt to shore up some of that weakness, the federal government has announced various programs to support tariff-affected workers and broader plans to accelerate defence and infrastructure spending. Macklem noted during his press conference Wednesday that business and consumer confidence are still low, but have improved according to the central bank's recent surveys. And while some trade-exposed sectors have faced job losses and the unemployment has generally trended upward to nearly seven per cent, employers elsewhere in the economy continue to expand their payrolls. 'Consumption is still growing,' Macklem said. 'It's growing modestly. It's certainly being restrained by the uncertainty caused by tariffs. But it is growing and we expect that to continue through the third and fourth quarters.' Will Canada hit a recession? Last week the Bank of Canada kept its policy interest rate unchanged at 2.75 per cent in a third consecutive decision. If the central bank were panicked about the Canadian economy's ability to withstand U.S. tariffs, Ercolao argued it would likely have lowered that rate. The past week's GDP readings were good enough for BMO to raise its outlook for the third quarter into positive territory. Forecasters at the bank now expect Canada will avoid a technical recession this year. BMO chief economist Doug Porter said in a note to clients Friday that Ottawa's personal tax cut at the start of the month and robust demand for domestic travel amid the trade war will boost the economy this quarter, as will 'the less-dire sentiment' around economic forecasts. Some other forecasters continue to pencil a tariff-induced recession into their outlooks. In the Bank of Canada's monetary policy report released alongside the rate decision, it outlined one scenario for the economy assuming the tariff situation remains largely status quo. Canada avoids a recession in that outcome. Growth in 2025 and 2026 remains overall positive, but half a percentage point lower than it would've been without the weight of tariffs. Macklem told reporters that the Bank of Canada would expect the economy to keep growing even with today's tariffs in place, 'but it'll be on a permanently lower path.' 'Unfortunately, the sad reality is that tariffs mean the economy is going to work less efficiently,' he said. What about the new tariffs? Porter said in his note that the actual impact of Trump's new 35 per cent tariff on Canada's economy could be less than headline figure suggests. Because of a carve-out for Canadian exports that are compliant with CUSMA, BMO sees the effective U.S. tariff rate at roughly seven per cent under the new duties, less than a percentage point higher than where it stood before Friday. But with CUSMA up for renegotiation in 2026, Porter said that 35 per cent tariff rate could loom as a 'cudgel' over negotiations — taking full effect if the trade agreement expires without a new deal in place. The Bank of Canada published a separate 'escalation' scenario this week that would see the United States remove Canada's CUSMA exemption as it ramps up global tariffs. Real GDP would drop an extra 1.25 per cent by 2027 in this more severe case; Porter said that this outcome would be 'serious for sure, but far from disastrous.' Ercolao said much of the tariff doom-and-gloom earlier in the year was tied to the speed at which those import duties would be imposed. But the on-again, off-again nature of U.S. trade restrictions to date has given businesses time to adapt to the new way of doing business and constant delays in implementation, he said. 'If we go back to when Trump began his presidency, had he went 100 per cent on his tariff plan right away, we probably would have seen a deep economic contraction just because it would have been so sudden,' Ercolao explained. 'Now we've been afforded that time to at least try to mitigate some of the negative impacts from what these tariffs were expected to do to the Canadian economy.'
