SECP eases process for bonus, right shares

ISLAMABAD: The Securities and Exchange Commission of Pakistan (SECP) has streamlined the process for bonus and right shares issuance and significantly reduce timelines by 87 percent and 72 percent for bonus and right issue, respectively.
The SECP Thursday issued notification for public consultation on the proposed amendments to the Companies (Further Issue of Shares) Regulations, 2020 (the 'Regulations').
These amendments focus on enhancing market efficiency and enabling quicker capital mobilization. Timelines for bonus and right shares issue are proposed to be reduced to 11 days (existing: 85 days) and 50 days (existing 181 days) respectively.
SECP proposes major reforms to expedite issuance of bonus, right shares
The draft amendments followed an extensive consultation process with key stakeholders, including PSX, CDC, NCCPL, leading Consultants to Issue, lawyers and financial experts. Initial feedback was collected to identify areas for improvement in the Regulations. The insights were synthesized into a detailed Consultation Paper titled 'Reduction in Timelines for Issuance of Bonus and Right Shares by Listed Companies', which was published to invite further feedback.
In-person consultations were held, followed by an online session, where the feedback was discussed in-depth, ensuring the proposals were refined based on a consensus-driven approach. The SECP has now notified the draft amendments for comments before these become effective.
Additionally, amendments are also proposed to remove requirement on a company to prepare draft offer document in Urdu language and introduce a new requirement to submit additional information along with the right offer document to ensure smooth and efficient processing of the right offer document.
The SECP is committed to a robust and transparent consultation process, ensuring stakeholders have ample opportunity to contribute during the regulatory review. Feedback on the draft amendments can be submitted by July 17, 2025 to capitalissuefeedback@ secp. gov.pk. The notification detailing the proposed amendments is available on the SECP website.

In its market review, Topline Securities commented that bulls roared back to life in Tuesday's trading session, lifting the benchmark index to impressive levels. The index surged to intra-day high of 1,684 points, before closing at 139,420, reflecting a solid gain of 1,202 points. The rally was fuelled by positive investor sentiment and renewed market confidence as the index moved upwards ahead of the anticipated announcement of strong corporate results. This wave of optimism helped paint a bullish picture across the board, setting the tone for a potentially upbeat week ahead, Topline said. Overall trading volumes increased to 629 million shares compared with Monday's tally of 608.2 million. Traded value stood at Rs34.7 billion. Shares of 478 companies were traded. Of these, 268 stocks closed higher, 178 fell and 32 remained unchanged. First Dawood Properties was the volume leader with trading in 44.1 million shares, gaining one rupee to close at Rs7.64 per share.

CCP approves CMA CGM's acquisition of Turkish logistics firm Borusan

The Competition Commission of Pakistan (CCP) on Tuesday granted approval for the global shipping and logistics giant CMA CGM S.A. to acquire Borusan Tedarik Zinciri Cozumleri ve Teknoloji Anonim Sirketi (Borusan), a Turkish third-party logistics firm. The merger was reviewed under Section 11 of the Competition Act, 2010, and the Competition (Merger Control) Regulations, 2016, the commission said in a statement. Shipping intelligence report The transaction entails CMA CGM acquiring full ownership of Borusan from its current shareholders, Borusan Holding AS and Borusan Yatirim ve Pazarlama AS, both based in Türkiye. CMA CGM, headquartered in France, is a major player in container shipping and port terminal services, with operations in Pakistan through CEVA Logistics Pakistan Pvt. Ltd and CEVA Air and Ocean Pakistan Pvt. Ltd. Borusan, meanwhile, is primarily active in the Turkish logistics sector and has only a minimal presence in Pakistan through a local agent. According to the CCP's assessment, the merger does not raise competition concerns in the domestic market, particularly in the freight forwarding (air and sea) segment. The Commission concluded that the transaction does not result in the creation or strengthening of a dominant position and does not impose significant entry barriers for other players. The green light signals the Commission's continued support for facilitating cross-border investments while ensuring competitive market practices.

After declining in the previous session, positive sentiments returned to the Pakistan Stock Exchange (PSX), with the benchmark KSE-100 Index settling with a gain of over 1,200 points on Tuesday. Buying momentum persisted throughout the trading session, pushing the index to an intraday high of 139,901.77 At close, the benchmark index settled at 139,419.61, an increase of 1,202.03 points or 0.87%. On Monday, PSX opened the new week on a volatile note. The downturn was largely attributed to investor profit-taking ahead of July's end and cautious sentiment following a record-breaking run. The benchmark KSE-100 Index declined by 379.78 points, or 0.27%, to close at 138,217.58 points. Internationally, Asian share markets held their ground near a four-year peak on Tuesday, buoyed by Wall Street's closing record high ahead of a slate of corporate earnings. At the same time, investors took stock of tariff negotiations between the US and its trading partners. Japanese shares briefly jumped at the open before trading modestly higher, while bonds had a muted reaction as the election results were largely priced in and were not as bad as investors had feared. The yen rallied 1% on Monday, recouping some of the losses from past weeks and was last little changed at 147.46 per dollar on Tuesday. MSCI's broadest index of Asia-Pacific shares outside Japan hit its highest level since October 2021 in early Asian hours but was last little changed. The index is up nearly 16% this year. Overnight, the S&P 500 and the Nasdaq notched record-high closes on Monday, lifted by Alphabet and other megacaps ahead of a burst of earnings reports this week. Investor focus has been on tariff negotiations ahead of the August 1 deadline, with the European Union exploring a broader set of possible countermeasures against the United States.
