I run a coffee shop in Sun Valley. An exclusive conference hosts big executives each year but it's been bad for my business.

I've lived in Sun Valley, Idaho, practically my entire life. My family has been pretty dug into the community for a long time — my mom owns a clothing store, my cousins have a restaurant, and my dad used to run a restaurant, too. About eight years ago, my wife and I opened our own business: Maude's Coffee and Clothes, a caf and vintage shop.
Allen & Company's Sun Valley Conference has been around since I was a kid. When I was a teenager, I remember some of my friends getting hired as nannies or to develop photos, and I was jealous of their opportunity to make an easy chunk of money. Now, though, my perspective on the whole thing is a little different.
We have an incredible local following at Maude's, but this whole area is a visitor's economy. Practically everyone in the retail and service industries relies on tourists. When the billionaires fly into the area every July, they go straight to the Sun Valley Lodge just outside the heart of Ketchum to have a catered experience. Most of their dollars don't flow back into town, unless they're booking out a restaurant.
This is usually the busiest time of year for my business. But when the conference comes, guests rent out tons of rooms and book all the fishing guides, outdoor adventures, and restaurants. Other tourists can't really visit the area that week. The Sun Valley Lodge is big; that's hundreds of people who aren't there and aren't circulating their dollars in local stores.
It's not a zero-sum game, but my number of sales drops at least a bit every year. The billionaires at the conference throw a weird wrench in the cog of the summer economy, stepping on the brakes for regular people during what should be a very, very, very busy time.
That's not to say it's all bad. I'm sure the conference is great if you're directly involved, but many localsI know aren't. I've gotten to know some members of the billionaire entourage, like dancers and bodyguards, who come each year. They're great, and I actually always look forward to seeing them.

enCore Energy Corp. Announces Proposed Offering of $75 Million of Convertible Senior Notes Due 2030

NASDAQ:EUTSXV:EU DALLAS, Aug. 19, 2025 /CNW/ - enCore Energy Corp. (NASDAQ: EU) (TSXV: EU) (the "Company" or "enCore"), America's Clean Energy Company™, announced today that it intends to offer, subject to market and other conditions, $75 million in aggregate principal amount of convertible senior notes due 2030 (the "Convertible Notes") in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"). In connection with the offering of the Convertible Notes, enCore expects to grant the initial purchasers of the Convertible Notes a 13-day right to purchase up to an additional $11.25 million aggregate principal amount of Convertible Notes. The Convertible Notes will be senior unsecured obligations of enCore, will bear interest payable semi-annually in arrears and will mature on August 15, 2030, unless earlier repurchased, redeemed or converted in accordance with their terms. Holders will have the right to convert their Convertible Notes in certain circumstances and during specified periods. The Company will settle conversions either in cash, common shares or in a combination of cash and common shares. enCore may redeem for cash all or any portion of the Convertible Notes, at its option, at any time, and from time to time, on or after August 21, 2028, and on or before the 40th scheduled trading day immediately before the maturity date, if the last reported sale price per common share exceeds 130% of the conversion price for a specified period of time. In addition, the Convertible Notes will be redeemable, in whole and not in part, at enCore's option at any time in connection with certain changes in tax law. The redemption price will be equal to 100% of the principal amount of the Convertible Notes to be redeemed, plus accrued and unpaid interest, if any, to, but excluding, the redemption date. The interest rate, initial conversion rate and other terms of the Convertible Notes will be determined at the time of the pricing of the offering. enCore intends to use a portion of the net proceeds from the offering of the Convertible Notes to pay the cost of entering into capped call transactions in connection with the Convertible Notes. The Company intends to use the remainder of the net proceeds from the Convertible Notes offering to repay amounts outstanding under its loan agreement and for general corporate purposes. If the initial purchasers exercise their option to purchase additional Convertible Notes, enCore intends to use a portion of the additional net proceeds to pay the cost of entering into additional capped call transactions and the remainder of net proceeds for general corporate purposes. The capped call transactions would be privately negotiated with certain financial institutions (the "option counterparties"). The capped call transactions are expected to cover, subject to anti-dilution adjustments, the number of common shares initially underlying the Convertible Notes, including any additional Convertible Notes issuable upon exercise of the initial purchasers' option to purchase additional Convertible Notes. The capped call transactions are expected generally to reduce the potential dilution to enCore's common shares upon any conversion of the Convertible Notes and/or offset any cash payments enCore is required to make in excess of the principal amount of converted Convertible Notes, as the case may be, with such reduction and/or offset subject to a cap. In connection with establishing their initial hedges of the capped call transactions, the option counterparties or their respective affiliates expect to enter into various derivative transactions with respect to enCore's common shares and/or purchase common shares concurrently with or shortly after the pricing of the Convertible Notes. This activity could increase (or reduce the size of any decrease in) the market price of the Company's common shares or the Convertible Notes at that time. In addition, the option counterparties or their respective affiliates expect to modify their hedge positions by entering into or unwinding various derivatives with respect to enCore's common shares and/or purchasing or selling enCore's common shares or other securities following the pricing of the Convertible Notes and prior to the maturity of the Convertible Notes (and are likely to do so during the observation period related to any conversions of the Convertible Notes on or after May 15, 2030, or following early termination of any portion of the capped call transactions in connection with any repurchase, redemption or early conversion of the Convertible Notes). This activity could also cause or avoid an increase or decrease in the market price of enCore's common shares or the Convertible Notes, which could affect the holders' ability to convert the Convertible Notes and, to the extent the activity occurs during any observation period related to a conversion of the Convertible Notes, it could affect the amount of cash and/or the number and value of common shares, if any, that holders will receive upon conversion of the Convertible Notes. The Convertible Notes will be offered only to persons reasonably believed to be "qualified institutional buyers" under Rule 144A of the Securities Act. The Convertible Notes and enCore's common shares issuable upon conversion of the Convertible Notes, if any, have not been and will not be registered under the Securities Act, or any state securities laws, or qualified by way of a prospectus in any province or territory of Canada. As a result, neither the Convertible Notes nor any common shares issuable upon conversion of the Convertible Notes may be offered or sold in the United States except pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws, and may not be offered or sold to persons located or resident in Canada except pursuant to an exemption from the prospectus requirements of applicable Canadian securities laws. This news release is neither an offer to sell nor a solicitation of an offer to buy the Convertible Notes or any common shares issuable upon conversion of the Convertible Notes, nor will there be any sale of any securities in any jurisdiction in which such offer, solicitation or sale would be unlawful. KonaTel Reports Second Quarter 2025 Results

Diversified Hosted Services Expansion DALLAS, TX / / August 19, 2025 / KonaTel, Inc. (OTCQB:KTEL) ( a voice/data communications holding company, today announced financial results for the three-month period ended June 30, 2025. Second Quarter 2025 Financial Summary Revenues of $2.2 million, down 50.3% compared to the second quarter last year. The decrease in revenue, as discussed with our year-end 2024 results, relates to fewer activations within the Company's Mobile Services ("Lifeline") segment as a result of reduced government subsidized revenues from the cancellation of the Affordable Connectivity Program (the "ACP Program"). Gross profit of $550,240, down 38.8% compared to the second quarter last year. Operating loss of $(1,198,558) compared to operating loss of $(1,254,362) in the second quarter last year. GAAP net loss of $(1,187,641), or $(0.03) per share, compared to GAAP net loss of $(1,109,697), or $(0.03) per share, in the second quarter last year. Non-GAAP net loss of $(942,182), or $(0.02) per diluted share, compared to a Non-GAAP net loss of $(884,571), or $(0.02) per diluted share, in the second quarter of last year. Generally, Q2 revenue, gross profit and non-GAAP income were on par with Q1. Cash remained healthy at $1.5 million, and we have already taken significant steps to further reduce cash burn as our new growth initiatives gain traction. Sean McEwen, Chairman and CEO of KonaTel stated, "As previously stated in our 2024 10K filing, congress' failure to re-fund the ACP Program has negatively impacted our business. We continue to aggressively pursue third-party relationships to expand our Lifeline operation, and we are currently awaiting regulatory approval in the state of California to potentially launch a new partnership before the end of 2025. As part of our ongoing revenue diversification/derisking efforts, we continue to invest in the expansion of our CPaaS ("Communications Platform as a Service") cloud platform, including wholesale SMS and POTS ("Plain Old Telephone Service") wholesale cellular replacement service, specifically designed for telecommunications carriers and resellers." McEwen closed, "The unpredictable behavior of Congress during 2024 negatively impacted our business, but we shifted our development and sales efforts into new areas of expansion. We continue to believe one of our strong advantages comes from our established wholesale cloud CPaaS platform, that supports a variety of services, including termination/origination, VoIP/SIP, SMS, POTS, Mobile Data, and Mobile Voice solutions. Management's focus on our CPaaS business is providing a foundation to derisk the Company through the addition of future, low attrition recurring revenue services, and if we are successful with new distribution partnerships within our government subsidized Lifeline cellular service, we expect to see additional revenues." Quarterly Financial Summary (Q2 2025 vs. Q2 2024) Revenue of $2.2 million, a decrease of 50.3% compared to $4.3 million for the reasons discussed above. The decrease in revenue was primarily due to the loss of mobile services revenues under the ACP Program, which ended on June 1, 2024. Gross profit was $550,240, or 25.5% gross profit margin, compared to $899,707, or 20.7% gross profit margin. This increase primarily resulted from adding higher Average Revenue Per User ("ARPU") activations within our Mobile Services segment, and sourcing lower compensation and network costs. Total operating expenses were $1.7 million, compared to $2.2 million. This decrease was primarily due to lower payroll and related expenses associated with the reduction of headcount in our IM Telecom subsidiary in the fourth quarter of 2024 as well as lower application development costs in our Hosted Services segment. GAAP net loss was $(1,187,641) million, or $(0.03) per diluted share (based on 43.5 million weighted average shares), compared to a net loss of $(1,109,697), or $(0.03) per diluted share (based on 43.4 million weighted average shares). Non-GAAP net loss was $(942,182), or $(0.02) per diluted share, compared to a Non-GAAP net loss of $(884,571), or $(0.02) per diluted share. Balance Sheet The Company ended the quarter with $1.5 million in cash, compared to $3.7 million on June 30, 2024. This decrease was due to a corresponding reduction in operating revenues during the same period. Year-to-Date Financial Detail (First Six Months of 2025 vs. First Six Months of 2024) Revenues decreased 56.6% to $4.3 million compared to $10 million, reflecting a 1% decrease in Hosted Services revenues and an 81% decrease in Mobile Services revenues. Gross profit was $1,202,133 or 27.8% gross profit margin, compared to gross profit of $2 million, or 20.3% gross profit margin. This increase in gross profit margin percentage primarily resulted from adding a higher percent of activations in the California market in our Mobile Services segment, and sourcing lower per subscriber network costs. Total operating expenses were $3.3 million, down (18.8%) compared to $4.1 million. This decrease was primarily due to lower payroll and related expenses associated with the reduction of headcount in our IM Telecom subsidiary and lower application development costs in our Apeiron Systems subsidiary. GAAP net loss was $(2,105,169) or $(0.05) per diluted share (based on 43.5 million weighted average shares), compared to net income of $7 million, or $0.16 per diluted share (based on 43.3 million weighted average shares). This decrease was a result of the gain on sale recognized as part of our sale of 49% interest in IM Telecom in the first quarter of 2024. Non-GAAP net loss was $(1,619,014) million, or $(0.04) per diluted share, compared to non-GAAP net income of $7.5 million, or $0.17 per diluted share.
