Seven & i pushes back against Couche-Tard's reasons for deal talks ending

The parent company of 7-Eleven has pushed back against the reasons Alimentation Couche-Tard Inc. gave for why a takeover deal never materialized. Couche-Tard said last week that it was ending a yearlong effort to buy Seven & i Holdings Co. Ltd., saying there had been no sincere or constructive engagement from the Japan-based company over a potential deal. Seven & i's special board committee said Couche-Tard's claims were highly misleading as it rejected the characterization in a letter issued Tuesday. 'We consistently engaged in good faith, and we are disappointed that [Couche-Tard] has decided to walk away from these discussions. We are further disappointed that they have done so in a way that completely mischaracterizes both our engagement and the significant hurdles this transaction faced that they were not committed to resolving,' the letter said. It said that from the start, Couche-Tard didn't take competition concerns seriously, and didn't present a credible plan as to how those concerns would be addressed. Given the scale of the two convenience store chains, Seven & i noted that regulators would likely require a 'very significant divestiture' before approving a deal, but it said Couche-Tard was not able to provide a plan on who could be the buyer or how such a deal would work. Couche-Tard said in its letter last week that it received multiple indications of interest from potential buyers of divested assets, but that Seven & i didn't provide the needed additional information to move those talks forward. The Laval-based company also said in its letter that there was not only a lack of engagement, but also a 'calculated campaign of obfuscation and delay' from Seven & i that reinforced its governance concerns. Couche-Tard initially met with Seven & i on July 23, 2024, with the 7-Eleven owner making talks public in August. The company rejected Couche-Tard's initial offer reportedly worth about US$38.6 billion, leading Couche-Tard to submit a higher offer that media reports suggest was worth US$47 billion. Soon after the second bid, Junro Ito, a member of the family that helped found the company, put forward a new management buyout proposal. But Seven & i resumed talks with Couche-Tard after the family-led effort failed to secure financing. Even as talks resumed, Seven & i announced in March a plan to sell billions of dollars worth of its non-convenience store assets to Bain Capital and launch an initial public offering of its North American 7-Eleven business. The two sides went back and forth with concerns about regulatory approval and a lack of engagement, until on July 16 Couche-Tard said it was ending its bid. Seven & i said it did engage faithfully in the process, and held ten virtual meetings along with the two that Couche-Tard referenced. It said its governance was up to the task, and it was ready to go the distance to determine if a solution could be found. The criticism, including on scripted meetings, demonstrates an unfortunate lack of knowledge of the Japanese market, the board said. 'To suggest that our management presentations were scripted is to misunderstand Japanese culture. Sometimes being different isn't wrong or an act of resistance.' Seven and i said it was disappointed in Couche-Tard ending the process but that it wasn't surprised, pointing to both the regulatory hurdles, and the wider economic issues that have weighed on Couche-Tard. 'We understand and respect the operational, financial and market challenges their business is facing, and we recognize how financing markets have changed. But there is no need to blame Seven & i for that reality.' Couche-Tard's share price had gone from trading around $82 a year ago to about $69 before it announced an end to its deal efforts, which sent its share price up to about $77 to give the convenience store giant about a $73 billion market capitalization. Applied Materials' R&D Investment is Climbing: Can it Deliver Results?

Applied Materials AMAT is heavily investing in research and development (R&D) to drive its long-term growth and leadership in the semiconductor supply chain. AMAT's R&D expenses have risen to double digits in fiscal 2025 from single-digit rise in fiscal 2025. In the second quarter of fiscal 2025, AMAT's R&D expenses grew 13.8% year over year. AMAT's recent efforts in R&D include the establishment of its Equipment and Process Innovation and Commercialization (EPIC) center, joint-lab collaboration with CEA-Leti and the co-development of a fully integrated equipment solution for die-based hybrid bonding with BE Semiconductor Industries. Applied Materials' EPIC center was launched to shorten learning cycles and pace up customers' time-to-market. AMAT plans to house teams from leading chipmaking companies in the EPIC facility to enhance technologies like gate-all-around transistors, backside power delivery, and advanced packaging under a co-innovation model. AMAT's collaboration with CEA-Leti is aimed at accelerating innovation in energy-efficient, specialty semiconductors critical to AI data centers, IoT, communications, automotive and power-based use cases. To strengthen its control over the hybrid bonding equipment space, AMAT acquired a 9% stake in BE Semiconductor Industries, making it the company's largest shareholder. Applied Materials has been able to expand its R&D capabilities without margin contraction. Its operating margin has shown a long-term upward trend, coming at 30.7% in the second quarter of fiscal 2025, which rose 170 basis points year over year. How Competitors Fare Against AMAT Lam Research LRCX and KLA Corporation KLAC are also key players like Applied Materials in the semiconductor supply chain space. Lam Research directly competes with AMAT in the etch and deposition vertical while KLA Corporation competes in metrology and inspection. However, Lam Research's investment in its R&D has been on a constant decline throughout the past four quarters. In the third quarter of fiscal 2025, LRCX's R&D expenses were 11.1% of its top line, whereas in the year-ago quarter, it comprised 12.5% of the top line. As a percentage of revenues, KLA Corporation's R&D expenses also declined in the third quarter of fiscal 2025. In the third quarter fiscal 2025, KLAC's R&D expenses comprised 11% of the top line, however, in the year-ago quarter, it was 14%. AMAT's Price Performance, Valuation and Estimates Shares of Applied Materials have gained 15.1% year to date compared with the Zacks Computer and Technology sector's growth of 9.8%. What is tokenization and is it crypto's next big thing?

(AP Photo/Kin Cheung, File) NEW YORK — Tokenization has long been a buzzword for crypto enthusiasts, who have been arguing for years that blockchain-based assets will change the underlying infrastructure of financial markets. The technology is seen as rapidly increasing in coming years, especially in the U.S., helped by the passage of three new bills. President Donald Trump's administration has eased regulation of the broader crypto industry, paving the way for a boom in the valuation of companies in the sector and the rapid growth of crypto-related securities. However, the growth of the market for tokenized assets has been far slower than expected in recent years, with many projects still in their infancy or not yet live. How does tokenization work? The term 'tokenization' is used in a variety of ways. But it generally refers to the process of turning financial assets - such as bank deposits, stocks, bonds, funds and even real estate - into crypto assets. This means creating a record on digital ledger blockchain that represents the original asset. These blockchain-based assets, or 'tokens,' can be held in crypto wallets and traded on blockchain, just like cryptocurrencies. Where do stablecoins come in? Stablecoins can be seen as an example of tokenization. They are a type of cryptocurrency designed to maintain a constant value by being pegged to a real-world currency, typically the U.S. dollar. The issuer holds one U.S. dollar in reserve for every dollar-pegged crypto token it creates. Stablecoins are blockchain-based tokens acting as a proxy for an asset that already exists outside the blockchain. They allow people to move money across borders without interacting with the banking system. While critics say that this makes them useful for criminals who want to avoid banks' anti-money laundering checks, stablecoin issuers say that they are a lifeline for people in countries without a developed payments system. Are tokenized assets taking off? Yes and no. Stablecoins have grown in recent years, with the market estimated to be worth about US$256 billion, according to crypto data provider CoinMarketCap, and expected to touch US$2 trillion by 2028, according to Standard Chartered. But banks have talked for years about creating tokenized versions of other types of assets, which they say will make trading more efficient, faster and cheaper, and those 'tokens' have struggled to gain traction. While there have been individual issuances, there is not a liquid secondary market for these kinds of assets. One impediment to trading traditional assets via blockchain is that banks are working on their own private networks, making it difficult to trade across platforms. What are the pros of tokenization? Some proponents of the crypto industry have said tokenization can improve liquidity in the financial system. Illiquid assets like real estate could be traded more easily if they are broken up into small digital tokens. It is also expected to improve access to asset classes that are typically out of reach of smaller investors by creating a cheaper entry point. Which companies are interested in tokenization? Some major global banks, including Bank of America and Citi have said they could explore launching tokenized assets, including stablecoins. Asset manager BlackRock is also doubling down on the tokenization boom, and has highlighted its ambition of becoming the largest cryptocurrency manager in the world by 2030. Coinbase, the largest U.S. crypto exchange, is seeking permission from the SEC to offer 'tokenized equities' to its customers. How does new regulation help tokenization? Since stablecoins themselves are tokens and seen as one of the biggest drivers of the growth of tokenization, the new stablecoin law will end up boosting the proliferation of tokenization, experts say. The new market structure bill, known as the Clarity Act, is expected to establish a clear framework that could enable stablecoins and other crypto tokens to become more widely used. What are the risks? Some analysts say the hype around tokenization might be premature and caution that the rapidly growing crypto ecosystem could experience near-term turbulence due to the potential risks of a big decline in prices. European Central Bank President Christine Lagarde has warned stablecoins pose risks for monetary policy and financial stability. Some critics of the industry warn the frenzy around the new technology could introduce new systemic risks, especially in the absence of stringent regulation. They also say there is no reason why blockchain should be any more efficient than the electronic ledgers and trading systems already used in financial markets. Buyers of third-party tokens, which are issued by unaffiliated third parties - such as crypto exchange Kraken - that have custody of securities, could be exposed to counterparty risks, and regulators are sounding notes of caution. Earlier in July, Hester Peirce, a commissioner at the U.S. Securities and Exchange Commission who has frequently spoken positively about cryptocurrency, said tokenized securities would not be able to circumvent existing securities laws.
