The Competition Commission's approval of Gaia's 10% stake acquisitions in each of the Linde and Kalkbult solar PV plants in the Northern Cape, signals a maturing renewables market that can now transition to institutional investment.
When Kalkbult came online in late 2013 (the very first REIPPPP project to feed the grid) and Linde followed in mid-2014, both rode the wave of policy credibility and fiercely competitive tariffs that characterised the first rounds of the Renewable Energy Independent Power Producer Procurement Programme (REIPPPP).
They were built 'bulletproof': fixed-tilt modules at Kalkbult, single-axis trackers at Linde, 20-year Eskom power purchase agreements (PPAs) and robust community trust and socioeconomic development covenants.
Those early projects set the template for scale and structure; today they stand as 'blue chip' assets in a sector that has grown from a few hundred megawatts to multiple gigawatts under the REIPPPP.
Gaia SA has now been granted Competition Commission approval to acquire a 10% stake in each of the Linde and Kalkbult solar PV plants in the Northern Cape as part of a broader deal that also includes a 21% stake in the Jeffreys Bay Wind Farm in the Eastern Cape. The total value of the transaction: more than R700-million.
Capital recycling and the rise of the secondary market
What we're witnessing with Gaia's acquisition isn't just another corporate deal – it's the essential process of capital recycling in action.
Let's break this down: Initial developers and early investors like the IDEAS Managed Fund (managed by Old Mutual's African Infrastructure Investment Managers) can now exit operational assets, freeing up capital for new developments. It's this circulation that keeps the renewable sector alive and growing.
Without a functioning secondary market, the renewable energy sector would eventually stagnate as capital remains locked in existing projects.
Think of it as a relay race. The developers sprint the first leg, then pass the baton to long-term holders like Gaia who are marathon specialists. This handoff is critical for the race to continue.
New funds for new futures
This maturing market enables specialised infrastructure funds such as Gaia, which focus on operational assets with predictable returns, to acquire projects with stable, long-term cash flows under 20-year PPAs with Eskom.
At the same time that Gaia purchased IDEAS's 10% stakes in the Linde and Kalkbult solar PV plants, the Stanlib Infrastructure Fund II acquired majority interests from Scatec in the same farms – a coordinated reshuffle of ownership towards long-hold vehicles.
The growing secondary market liquidity makes renewable assets more attractive to a broader range of investors, including institutional players seeking inflation-linked returns with manageable risk profiles. When pension funds and insurers can confidently invest in renewable energy, that's when you know a sector has truly arrived. It's a sign of the sector's maturation that assets can now change hands in structured transactions with clear regulatory pathways.
Solar a victim of its own success
But the business case for these acquisitions depends on the predictable revenue streams provided by those 20-year PPAs with Eskom, which are designed to deliver inflation-linked cash flows – a key component of Gaia's investment strategy.
So, here's the twist: The economics of solar extend beyond these initial contracts. Solar PV costs have plummeted following what's known as the 'learning curve' – costs falling by about 20% every time global capacity doubles. This relentless cost reduction changes the calculus for long-term ownership of solar assets.
This cost trajectory creates multiple options after the initial PPA expires. Plant operators can upgrade facilities with newer, more efficient technology to extend operational life, or alternatively and most likely, dismantle the installation and return the land to its natural state – a flexibility that few other energy technologies can match.
What this means for the long-term viability of solar farms/h3>
Yield compression: As the value of solar energy drops, the prices and valuations of power purchase agreements (PPAs) will adjust. In plain English: future solar might not be as profitable as it once was. This might lead to lower yields in the secondary market, slowing down transactions or changing return expectations.
Complementary investments: To fight the drop in value, investments in storage, demand response and transmission become crucial. Buyers like Gaia need to consider the costs of grid upgrades or pair solar assets with batteries to maintain revenues. The standalone solar farm may become a relic as integrated power solutions take centre stage.
Policy implications: The government may need to introduce market reforms like hourly pricing, ancillary-services markets or capacity payments to keep financing costs at reasonable levels and to value flexibility and firming. The rules of the game will need to evolve as the technology does.
Delayed gratification
It's wild to think back on the news cycle during the commissioning of the first generation of REIPPPP projects – Jacob Zuma was president and State Capture was entrenched in the country's power structures.
Now the grand old ladies of the energy transition are mature and transitioning to long-term institutional ownership, finally paying off on the bets made in a different time. The programme's success is now shown to be not just in building renewable capacity but creating sustainable assets of long-term value. DM

Spar shareholders might still be waiting for a dividend, but with a strategic retreat from Europe and a renewed focus on local markets, there's hope for payouts by 2026—if it can navigate the consumer pressure back home. There is still no dividend for Spar shareholders, almost three years after the last payout. But the tide may turn by the end of 2026. Spar chief financial officer Reeza Isaacs told Daily Maverick this week that while no dividend had been declared for the interim period, the company was modelling scenarios to possibly resume payouts within the next 18 months. 'We were a dividend-paying share,' Isaacs said, 'and I think our investors expect us to get back to paying dividends.' Spar is retreating to familiar territory after burning a few bucks in Europe and is preparing to face a battered consumer back home. The company is scaling back on its operations in Europe and keeping its eye on the markets it believes it can count on during this 'strategic reset'. 'We completed our exit from Spar Poland in January this year and finalised the restructure of our southern African debt in March,' Spar group CEO Angelo Swartz said. 'The decision to exit Switzerland and the UK was taken after a strategic review of our European footprint. These actions align with our long-term commitment to focus on our core geographies.' Trouble in the Alps and rain over Devon This move back to core markets comes after heavy losses and operating headaches in Europe. Spar's Swiss and UK ventures, once part of a grand international expansion, have been declared discontinued operations. The Swiss arm posted an operating loss of CHF2.4-million (R52-million), after a cyberattack in March cost the company an estimated CHF2.5-million (R54-million) in profitability, Swartz said. Concerning the sale process of Spar's UK and Swiss operations, Isaacs told Daily Maverick that it was 'still in negotiation'. Poland: A 'necessary' loss Between impairments, foreign exchange translation losses, and debt repayment costs, Swartz said the exit from Spar ventures in Poland alone delivered a R531-million blow to Spar's income statement. He framed the loss as necessary: 'This transaction was a key enabler of our balance sheet optimisation strategy,' he said, noting that there were no further cash exposures linked to the now disposed of Polish operations. In the meantime, management insists the strategy is working. 'We are building a stronger, more profitable foundation. Our cost discipline, margin management and pricing strategy are working,' Swartz said. 'We're making more from each rand we earn,' Schwartz said. How does this affect you? Spar's exit from Europe means its attention, energy and cash are now concentrated at home. That could mean more promotion, investment in delivery and better competition against heavyweights such as Checkers and Pick n Pay. But it's also a sign of the pressure consumers are facing. Spar's data shows that customers are doing more small shops and sticking to budget-friendly items. Back from the brink in KZN Stabilisation of Spar's KwaZulu-Natal distribution centre, which previously experienced significant issues with its SAP system, contributed to an improved operating margin. Isaacs called KZN's recovery 'a strong turnaround with a marked improvement in profitability'. But Swartz was candid about the ambitions of the group's revenue. 'Let's be candid: sales growth was below expectations. The southern African consumer is still under severe pressure.' For a while now, South Africans have been price conscious, said Prof Ronald Goldberg, associate professor in marketing management at North West University. This is even more prevalent in 2025 due to rising fuel prices, inflation and limited disposable income, he noted. In Ireland, Spar's revenue fell marginally amid store closures and volume declines driven by inflation, Isaacs said, and added that high-cost categories like cacao and coffee took a hit, while tobacco sales dipped from the previous year. According to McKinsey's 2024 State of Grocery Retail report, retail media networks (RMNs) are boosting retailers' bottom lines in Europe and North America and could offer similar gains in South Africa. (Graph: McKinsey) Cost, convenience, and playing catch-up The company is relying on a few strategies to win back market share. These include improving its price perception, scaling online and on-demand fulfilment, and supporting store level execution through retailer rebates, Swartz said. SPAR2U, the company's online grocery delivery service and app, saw delivery volumes surge to 174% year on year and operates in 580 locations. Spar's new partnership with UberEats is also expanding its reach without the cost of new retail space. Offering multiple platforms to a consumer is a complex task and could hold increased risk for any retailer if not implemented with caution, Goldberg said. 'For a retailer like Spar, the implementation of a multi-platform approach could enhance brand presence as well as diversify their value proposition.' Isaacs said that even though they were 'playing catch-up' when launching SPAR2U, the growth they had seen from the service had been exponential, which showed that consumers preferred online grocery shopping. 'Many customers are becoming increasingly motivated by convenience,' Goldberg said and added that before the pandemic, South Africans were sceptical about online shopping. 'Since then, consumers have now become so used to shopping for anything anywhere by pushing a few buttons on a device.' According to Swartz, Spar's customer loyalty remains strong at nearly 80%. But he has ambitions to improve on this figure: 'We're just on 79% right now. I'd like to see a 12-month rolling average over 80%,' he said. Brand loyalty still exists, but it's no longer unconditional. 'Consumers weigh price and convenience heavily, while brand loyalty is earned through sustained performance and relevance,' said Goldberg. Spar and brand equity With retailers such as Checkers investing heavily in innovation and customer experience, Goldberg says that Spar's continued relevance will depend on: Its ability to standardise core brand values; Leveraging its localised strengths; and Continuing to offer increased value and reasons for customers to shop at its stores. Shifts in consumer choices The average basket size of Spar consumers remains stable, but the frequency of shopping has changed. Schwartz noted smaller, more frequent shops, particularly in its lower-income stores, which grew more than 6% as top-end clusters declined. 'This affirms our strategy to deepen the value offer,' Schwartz said, referring to SaveMor, Spar's private budget-conscious label. Goldberg agrees. 'Consumers are opting to buy value items instead of luxury items. I believe the majority of the South African market constitutes a cost-sensitive market currently, where success in selling products depends on the perceived value-for-money equation.' Spar COO Megan Pydigadu added that any divestment decision in Switzerland would prioritise continuity and sustainability. 'We want to make sure we are disposing of the business in the best manner for our employees in Switzerland, for our retailers and also our suppliers,' she said. Looking ahead, the company is focusing on operational execution, strategic partnerships and margin discipline to turn the tide. 'We understand this environment,' Schwartz said. 'We've taken steps to shield the business from the worst of it, and we are now better positioned to capture upside when the consumer turns.' DM

Despite a large deficit, the South African Rugby Union is optimistic about the short-to-medium-term future. The South African Rugby Union (Saru) reported a R93-million loss for the 2024 financial year, which was expected and forecast, despite record earnings, its latest financial statements reveal. On the up side, new sponsorships and becoming a full shareholder of the United Rugby Championship (URC) from next month, has led to a bold prediction of a R100-million surplus in the current financial year. Overall, in 2024, group commercial revenues exceeded R1.5-billion for the first time (R1.552-billion), up from R1.44-billion in 2023. Total income with the addition of grants (principally from World Rugby of R186-million) took total income to R1.76-billion. Revenues for 2025 are forecast to exceed R2-billion. The 7.8% increase in revenues was attributable to increased broadcast revenues in a non-Rugby World Cup year, competition sponsorships and a strong performance in merchandising receipts, which more than doubled from R30-million to R62-million. Expenses increased from R1.816-billion to R1.871-billion. The 2.9% increase was put down to investment in hosting three World Rugby tournaments (R133-million), a R24-million increase in player image rights (to R148-million), and the costs associated with the mooted private equity transaction (R13-million). Total expenditure attributable to the northern hemisphere international franchise competition was R446-million, while Saru was still able to make a full distribution to member unions. Spending on the No 1 world-ranked team, the Springboks, and other national teams was R433-million, a reduction of R27-million on the Rugby World Cup-winning year of 2023 (R460-million). 'Reporting a loss can never be desirable, but the irony is that we are more than satisfied with our position,' said Saru CEO Rian Oberholzer. 'We had budgeted for a loss in 2024 in the expectation that the members would approve the private equity transaction that they had sought, releasing funds to cover the deficit. 'When that did not happen, we continued with our planned commercial reset, and other revenue generation plans, which have borne fruit. We are in the very rare position among our international peers of continuing to be debt-free and confident of posting a surplus in 2025.' European costs Saru's biggest accumulated cost over the past eight years has been paying to participate in URC (and the Pro14 competition before that). The cost of securing South Africa's place in northern hemisphere rugby, which was accelerated by the collapse of Super Rugby in 2020, has been R2.2-billion. According to the finance notes, Saru currently pays R392-million annually for top club teams to compete in URC and European Professional Club Rugby (EPCR). Without this contribution, the Bulls, Cheetahs, Lions, Sharks and Stormers would have no international competition. Another R54-million is paid to travel and other associated costs for the teams. Saru also paid R347-million to member unions (the 15 provinces) to ensure their existence. Saru president Mark Alexander highlighted a period of significant challenges and growth for the organisation. Despite the unsuccessful private equity transaction, it elevated Saru's profile and led to the exploration of alternative commercial initiatives, including a new commercial app and digital platform to diversify revenue streams. The Saru president acknowledged a financial loss for the period, but emphasised that the R2.2-billion investment was made to secure future participation and full membership in the URC and EPCR by the end of June 2025. He also noted that budgets for 2025-2027 had been secured, ensuring financial stability. Plans include digital transformation and leveraging partnerships for growth beyond 2028. Alexander also praised the Springboks' continued world-class performance, ranking No 1 in 2023 and 2024. Oberholzer said the financial outlook beyond next year was equally healthy, with strong revenues forecast for 2026 with new competition formats in the pipeline. 'The income that SA Rugby generates all goes back into supporting the growth and promotion of rugby in the country,' he said. 'It allows us to fund Springbok campaigns, expand women's rugby programmes and fuel our other national teams. It pays for our members' activities in their communities as well as their professional teams. 'It underwrites our rugby safety programme BokSmart; supports referee and coaching development and our age group competitions as well as development programmes, and allows us in turn on sell-out Test match entertainment and our domestic competitions. 'Ultimately, every rand that we earn goes into powering the game in some shape or form and after a challenging 2024, we have a good news story to tell our South African rugby community as we look ahead.'
