ISS urges Monte dei Paschi investors to vote against cap hike for Mediobanca bid
MILAN, March 28 (Reuters) - Leading governance adviser Institutional Shareholder Service (ISS) said on Friday it had recommended that shareholders in Italian lender Monte dei Paschi di Siena (BMPS.MI), opens new tab vote against a proposed share issue to fund its bid for Mediobanca (MDBI.MI), opens new tab.
ISS said in its report that Monte dei Paschi was proposing "a transformational, almost unparalleled, deal."
The tie-up is unusual because the two banks have little overlap, which reduces the scope for the staff cuts that normally drive savings in bank mergers. It is centred instead around a push to diversify sources of revenues.
Monte dei Paschi was bailed out by the state in 2017 and has since returned to profits and dividends under CEO Luigi Lovaglio. The state has cut its stake to 11.7% from 68%.
"The deal is unique because it is hostile, seeking to merge different entities, and because there is a size difference (the bidder's market cap being 30 percent smaller than the target's on the unaffected date)," ISS said.
Monte dei Paschi has said that Mediobanca's market value should be seen net of the contribution deriving from its position as the main shareholder in Italy's top insurer Generali (GASI.MI), opens new tab.

Gino D'Acampo's restaurant empire 'owed seven-figure sum' before near-closure
Gino D'Acampo's restaurant chain was saved from the brink of collapse after falling into £7million worth of debt. The scandal-ridden TV chef was booted from ITV programming earlier this year after a series of allegations of sexually inappropriate and bullying behaviour from dozens over his career. It's not the only crisis the former presenter, who has firmly denied all allegations, has had to navigate with his culinary empire was almost forced to shut down due to amassing an eye-watering amount of debt. D'Acampo owns restaurants across London, Leeds, Liverpool, Newcastle and Manchester, totalling 11 locations, an Italian ingredients supplier Bonta Italia Ltd, as well as a line of Asda ready meals. The financial woes, however, became apparent last year when he was unable to pay his staff at his My Pasta Bar chain thanks to the business stacking up £5m worth of losses. It has now come to light that the controlling company Upmarket Leisure – of which the 48-year-old TV personality owns 10% – owed £5.3m to HMRC and almost £2m to creditors ahead of its near-closure. This included food suppliers who were owed almost £500,000, a wine dealer due £302,000 and a pasta company waiting for a £4,809 payment. The statement of affairs, publicly released on June 5, also outlined that Upmarket only had£117,000 in cash at the bank and £320,000 in other assets to cover the debt. In May, the chain was saved when Upmarket was bought out of administration in a whopping £5m deal which secured the jobs of all 400 staff members. It also ensured the payment of £4.2m to two major creditors. Chelsea make final decision on Mike Maignan transfer before Club World Cup
Chelsea have failed to reach an agreement with AC Milan to sign Mike Maignan before the Club World Cup, according to reports. The Premier League club were keen on signing Maignan as an upgrade to their current goalkeeping options. The experienced Frenchman has won the Serie A title with Milan and has just one year left on his deal with the Italian giants. Both clubs have been locked in talks over the past week to try and agree a deal which would allow the 29-year-old to move to Stamford Bridge and play for Enzo Maresca's side in the upcoming Club World Cup. However, transfer journalist Fabrizio Romano now reports that a deal will not be agreed before Tuesday's 7pm deadline, with both clubs unable to agree on a valuation for the keeper. Milan are said to be demanding at least £20m for Maignan, who is keen on a move to Chelsea this summer. Despite an inconsistent season at times, Robert Sanchez still retains the faith of his head coach, with Filip Jorgensen, Djojrde Petrovic and Mike Penders all set to provide competition during pre-season. One goalkeeper on his way out of Chelsea is Kepa Arrizabalaga, the most expensive shot-stopper in the world now set to join London rivals Arsenal. Chelsea could still pursue a deal for Maignan when the window reopens later in the summer, but may opt to wait until next summer when the Frenchman is expected to leave Milan on a free. Elsewhere, Chelsea remain in talks to sign Borussia Dortmund winger Jamie Gittens after their opening bid was rejected by the Bundesliga side.
