
GCL Announces Voluntary Conditional Cash Offer for Ban Leong Technologies Limited at S$0.6029 per Share
• Transaction expected to expand GCL's bundled product offerings and have a positive impact on GCL's adjusted EBITDA
SINGAPORE, April 30, 2025 (GLOBE NEWSWIRE) -- GCL Global Holdings Ltd (NASDAQ: GCL) ('GCL' or the 'Company'), a leading provider of games and entertainment, today announced that its indirectly wholly-owned subsidiary, Epicsoft Asia Pte. Ltd. (the 'Offeror'), has made a voluntary conditional cash offer (the 'Offer') of S$0.6029 per share (approximately US$0.4580 per share) (the 'Offer Price') to acquire all of the issued and paid-up ordinary shares in the capital of Ban Leong Technologies Limited (SGX: B26) , excluding shares held in treasury (the 'Shares') pursuant to Rule 15 of the Singapore Code on Take-overs and Mergers ('Code') and subject to the terms and conditions in the formal offer document (the 'Offer Document') to be issued by the Offeror in accordance with the Code. Ban Leong Technologies Limited ('Ban Leong') is listed on the Singapore Exchange Securities Trading Limited ('SGX-ST') and is Singapore's leading distributor in computer hardware and I.T. accessories. On April 30, 2025, the Offeror made an announcement of the Offer (the 'Offer Announcement') on the website of the SGX-ST. The Offeror is a direct wholly-owned subsidiary of GCL Global Pte. Ltd. ('GGPL'), which is in turn an indirectly wholly-owned subsidiary of the Company.
For over 30 years, Ban Leong has distributed a wide range of technology products across Asia that include IT accessories, gaming components, smart (IOT) technology, and commercial products. Ban Leong is an authorized distributor for over 50 well-known brands, including Razer, Nvidia, Samsung, Huawei, TP-Link, and LG. Ban Leong's multi-channel distribution strategy encompasses e-commerce platforms, brick-and-mortar retailers, chain stores, and direct sales to corporate resellers and system integrators, and operating service centres in Singapore, Malaysia, and Thailand that provide technical support and repair services.

This transaction aligns with GCL's strategy to deliver next-generation gaming experiences to the global gaming community while enhancing its business growth and profit margin profile. GCL plans to:

Financial Impact and Financing of the Offer
Based on public filings, Ban Leong's revenue was S$97,533,912 and S$208,080,530 for the six months ended September 30, 2024, and for the fiscal year ended March 31, 2024, respectively. This transaction is expected to have a positive impact on GCL's adjusted EBITDA. The Offer will be financed by a secured term loan facility provided by The Hongkong and Shanghai Banking Corporation Limited, Singapore Branch and Offeror's cash on hand.
Summary of Offer Terms
The Offer is conditional upon the Offeror having received, by the close of the Offer, valid acceptances (which have not been withdrawn) of such number of Offer Shares which will result in the Offeror and parties acting or deemed to be acting in concert with it holding such number of Shares carrying more than 50% of the voting rights attributable to the issued share capital of Ban Leong (excluding any Shares held in treasury) (the 'Minimum Acceptance Condition'). Save for the Minimum Acceptance Condition, the Offer is unconditional in all other respects.
The Offer Price is S$0.6029 (approximately US$0.4580) in cash for each Share. This represents the highest price at which the ordinary shares have traded since Ban Leong's Singapore listing in June 2005 and the following premiums over the historical transacted prices of the Shares on the SGX-ST:
The Offeror does not currently intend to increase the Offer Price but reserves the right to revise the terms of the Offer in accordance with the Code if there is a competing offer.
Irrevocable Undertakings
As of the date of the Offer Announcement, the Offeror has received irrevocable undertakings from Mr. Teng Woo Boon Ronald, Managing Director of Ban Leong, and Ms. Teo Su Ching, Mr. Teng's wife, representing an aggregate of approximately 28.13% of the total number of issued shares in the capital of Ban Leong (excluding treasury shares), to accept the Offer.
Compulsory Acquisition and Listing Status
If the Offeror receives valid acceptances pursuant to the Offer or acquires Shares from the date of dispatch of the Offer Document of not less than 90% of the total number of Ban Leong's issued Shares (excluding treasury shares), the Offeror will have the right to compulsorily acquire, at the Offer Price, Shares from Ban Leong shareholders who have not accepted the Offer.
The Offeror intends to seek a delisting of Ban Leong from the SGX-ST if the minimum free float requirement is not met.

Worried about a stock market crash? The Big Short's Michael Burry was…
The UK and US stock markets are once again approaching all-time highs. Markets have truly rebounded since Trump shocked the world with his trade policy. However, this rebound concerns me. These stock markets are trading near all-time highs despite a huge increase in the average effective US tariff, despite worsening geopolitical tensions, and despite sovereign debt concerns. Personally, I'm not sure investors have truly factored in the full impact of recent tariff increases on corporate earnings. Over the past year, average effective tariff rates have risen significantly, reaching levels not seen since the late 1930s. Under the Biden Administration, the average effective tariff rate was around 2.5%-2.7%. In May, that figure had risen to almost 20%. These tariffs have introduced new costs for businesses that rely on international supply chains. However, I just don't believe we've really seen the impact of them yet. After all, 'Liberation Day' took place at the beginning of Q2, and we're still in Q2. The full earnings impact of these tariffs is expected to become more visible in the second half of 2025, as companies report on their financial results and adjust to the new cost structures. Michael Burry, best known for predicting and profiting from the 2008 subprime mortgage crisis — a story retold in The Big Short — sold nearly all positions at Scion Asset Management in the quarter ending 31 March 2025. This move, alongside concentrated bearish bets through put options — bets that a stock will go down — on major tech and Chinese stocks, seemingly reflected his conviction that the market was sinking. Burry's only notable long was Estée Lauder, suggesting a defensive stance. However, 13F filings only show holdings as of 31 March, so his actions after that date remain unknown. As we know, the market slumped in early April but has since recovered. Within this context, I'm increasing looking at defensive options. I could look at farming stocks like Pilgrim's Pride, for example, which could outperform in a downturn. However, one option closer to home is the National Grid (LSE:NG.). The company recently reported strong financial results for the fiscal year 2025, with statutory and underlying pre-tax profit up 20%. The company is also investing heavily in its infrastructure, with a capital expenditure plan of £10bn aimed at modernising the energy grid and supporting the transition to renewable energy sources. This investment is part of a broader strategy to expand its regulated asset base, which is expected to grow by around 10% annually over the next few years. It does, however, introduce additional execution risk. Net debt is already £47.5bn — very sizeable. It's also not particularly cheap on face value. The stock trades at 14 times forward earnings, which may be a little demanding when we consider debt is on par with market capitalisation. Nonetheless, the forward dividend looks strong at 4.6%. The National Grid is not a stock I'd normally watch, but given my concerns about the potential overheating of the market, it's something I'm adding to my watchlist. It may be worth considering. Inside key meeting to remove Trump tariffs
Trade Minister Don Farrell has detailed the discussion he had with his US counterpart Jamieson Greer, revealing he had the 'greatest confidence' in Anthony Albanese during an expected meeting with Donald Trump next weekend. Senator Farrell spoke to the US Trade Representative while in Paris last week and characterised the talk as 'friendly'. Despite this, he maintained the tariffs were 'simply unjustified', highlighting Australia's trade surplus with the US. Figures indicate Australia buys about $70bn worth of goods from the US, compared to the $30bn of exports Australia sells to America. 'It wasn't a difficult discussion in terms of the relationship between us, and I am certainly of the view that we have the opportunity to continue to talk with Jamieson and Commerce Secretary Lutnick to put our case across,' he said. Senator Farrell also said he was still determined to get the trade barriers slashed. 'It's only by open discussion, honest discussion, with our allies in the United States that I think we can do that, but I certainly haven't given up on the prospect of getting these tariffs removed,' he said. 'And every opportunity I get, I'll continue to pursue that argument with the United States.' However, Senator Farrell said the decision will be ultimately made by Donald Trump, putting increased pressure on Mr Albanese's upcoming meeting with the US President. He said that while there were a 'range of ways' in which Australia communicates with the US, the 'most important … relationship between our prime minister and the president of the United States'. 'Look every meeting, I think, between an Australian Prime Minister and the US president will always be a critical meeting and I have the greatest confidence in our prime minister to push the Australian point of view on this.' The trade barriers currently include a 50 per cent levy on steel, a 25 per cent tariffs on aluminium and a blanket 10 per cent on other goods. While Mr Albanese maintained he won't compromise on Australia's biosecurity, he hinted Australia could review current settings which don't allow the US to import beef which originates from Canada and Mexico. Mr Albanese has also ruled out changes to the Pharmaceuticals Benefit Scheme, News Media Bargaining code and incoming ban on social media for under-16s, while highlighting Australia's critical minerals industry as a potential bargaining chip. 'If things can be sorted out in a way that protects our biosecurity – of course, we don't just say no, we don't want imports in here for the sake of it,' he told ABC radio on Friday. 'But our first priority is biosecurity and there'll be no compromise on that.' Mr Albanese said Australia would not have a 'subservient relationship to any nation'. 'We're a sovereign nation that stand on our own two feet,' he said. Senator Farrell also said he was 'confident' Australia can secure a new trade deal with the European Union, with EU President Ursula von der Leyen expected to visit Australia in July or August. 'We've got lots of things that we can sell to the to the Europeans. I believe now that there's an appetite to reach an agreement on both sides,' he said. 'The world has changed, those countries that believe in free and fair trade have to work together.'
