Vedantu eyes $10–15 million from existing backers via convertible equity

K-12 online tutoring unicorn Vedantu is in talks to raise $10–15 million in a convertible equity round from its existing investors, two people with direct knowledge of the discussions told Mint.
The company is looking to shore up capital as it chases full-year profitability and offline growth ahead of an initial public offering (IPO) over the next two years.
This comes at a time when new investments in edtech startups have slowed significantly, with founders and investors increasingly at odds over the valuation benchmarks set during the boom years of online learning in 2020–21.

'There continues to be a mismatch in valuation, so the company is in talks to raise a convertible equity round with most of its existing investors participating," said the first of the two persons cited earlier, both of whom spoke on the condition of anonymity. Existing investors include ABC World Asia, Accel, Tiger Global, WestBridge Capital, and Omidyar Network India.
Unlike traditional equity rounds, where investors receive shares immediately, convertible equity delays both the valuation and the issuance of shares, until typically a priced funding round or IPO. Convertible rounds have increased in the startup ecosystem, as it started to see more down rounds after the pandemic-led boom in tech valuations, where investors wanted to bet on companies at a lower valuation than the last round.
'Multiple conversations keep happening. Nothing is on paper. We continue to explore and engage people and can potentially look to raise at opportune terms. We have been receiving multiple inbounds because of our growth and profitable numbers," said Vamsi Krishna, co-founder and CEO of Vedantu, in response to Mint's queries.
Financial health
Founded in 2011, Vedantu is a hybrid test preparation platform that offers both online and offline learning, boosted by its acquisition of offline player Deeksha. The company became a unicorn in September 2021 after raising $100 million in a Series E round led by ABC World Asia.
The company has also regularly tapped venture debt from firms like Stride Ventures, Innoven Capital, and Alteria Capital, typically in the range of ₹8–15 crore, to support working capital needs.
The potential fundraise comes ahead of Vedantu's planned IPO of $150–200 million, targeted between late 2026 and 2027, aimed at providing exits to early investors and raising growth capital, as Mint reported earlier in March.
Vedantu's consolidated operating revenue rose 21% year-on-year to ₹184 crore in FY24, while losses narrowed by 58% to ₹157 crore. In FY25, the company reportedly achieved profitability in Q4, closing the year with ₹284 crore in revenue, up 55% from the previous year. It also reduced its cash burn by 30% to ₹70 crore.

Because the real question is not about which technology wins, but who benefits from it. The truth is, both are programmable forms of digital money, designed for different purposes, but potentially coexisting in the same future financial system. Live Events For the user, convenience is king Whether it's a CBDC or a stablecoin, the average Indian citizen wants: Instant settlement Low transaction fees Universal acceptance Interoperability across borders Clear privacy and control over their funds If the Digital Rupee delivers this, it wins. If crypto and stablecoins can do it better, they will continue gaining ground—especially among tech-savvy users, freelancers, SMEs, and NRIs. So far, Digital Rupee usage is modest—with just 19 banks live and around 100,000 daily transactions reported in mid-2024. By comparison, UPI clocks 350 million+ transactions a day, and stablecoins globally settled over $7 trillion in 2023. The bigger problem: Not who builds it, but who controls it Let's zoom out. India built UPI—arguably the most successful public payments infrastructure in the world. But despite being a product of NPCI (a quasi-government entity), UPI adoption is now dominated by three major apps: Google Pay PhonePe (majority owned by Walmart) Paytm (with large foreign ownership) Together, these three control over 94% of UPI transaction volume. So while UPI is Indian in origin, the monetization, data leverage, and platform control rests in the hands of foreign-backed companies. Indian startups in the payments space face high entry barriers, and the market has become increasingly difficult to penetrate due to high compliance, capital, and branding costs. If India repeats the same model with the Digital Rupee—where state infrastructure is handed over to foreign-led platforms for distribution—we will be building Indian rails for global profits, again. India needs a strategic payments agenda To avoid this, India must learn from UPI's journey: Create favorable policies and early access for Indian startups to build on top of the Digital Rupee. Ensure neutral interoperability layers so no single app dominates wallet access or merchant onboarding. Offer incentives and sandboxes for fintechs and Web3 startups to create novel CBDC use cases in sectors like trade, MSME finance, insurance, and mobility. Consider public-private models where infrastructure remains open but innovation is encouraged locally. After all, payments aren't just a technical tool—they are an instrument of economic sovereignty . And whoever controls the interface to money, controls much more than just transactions. It's not Crypto vs CBDC. It's about empowering Indians At the end of the day, the user doesn't care whether their money comes from a central bank node or a smart contract. They care about speed, cost, and usability. A Digital Rupee that settles instantly, works offline, and integrates with UPI? Excellent. A crypto wallet that lets an Indian freelancer receive USD-stablecoins from a US client and cash out into INR at low cost? Also excellent. The key is not to fixate on the rails, but to ensure that the value stays in India, and Indian entrepreneurs are not locked out of building the future. Because if we don't, we risk creating another UPI story—built by India, but controlled by others. And that's a mistake we can't afford to make twice. Indian refiners are exploring alternative energy sources, including those from West African nations, to ensure fuel supply security in case Iran blocks the Strait of Hormuz amid escalating tensions with Israel, according to oil industry officials. Following the eruption of Iran-Israel tensions on Friday, senior oil ministry officials and industry leaders are conducting scenario analyses and preparing contingency plans for potential supply disruptions and price volatility. The oil ministry reports that India maintains crude oil and petroleum product storage facilities capable of meeting 74 days of domestic consumption requirements. The strategic petroleum reserves account for 9.5 days of this total capacity. Unlike its strategic crude reserves, India has not established gas storage facilities. Additionally, the government maintains confidentiality regarding national oil and gas inventory levels. This strategic waterway, spanning just 29 nautical miles at its narrowest section, facilitates the movement of approximately one-third of maritime oil shipments and 20% of global liquefied natural gas. The strategic significance of this passageway, which connects the Persian Gulf to the Gulf of Oman and Arabian Sea, is emphasised by the US Energy Information Administration (EIA), which designates it as the "world's most important oil chokepoint." The International Energy Agency (IEA) reports that in 2023, roughly 20 million barrels per day (mb/d) of crude oil and refined products traversed the Strait of Hormuz, accounting for about 30% of global oil commerce. The majority of this volume—approximately 70%—was destined for Asian markets, with China, India and Japan being the primary destinations. Although alternative pipeline networks are present, their capacity remains restricted. According to IEA calculations, merely 4.2 mb/d of crude oil can be redirected through land-based routes, including Saudi Arabia's East-West pipeline to the Red Sea and the UAE's Abu Dhabi Crude Oil Pipeline to Fujairah. This available capacity constitutes just about one-fourth of the regular daily volume passing through the Strait. Impact on India A potential closure of the Strait of Hormuz could impact 40% of India's crude imports and 54% of its LNG supplies. This strait currently facilitates approximately 30% of global oil trade and 20% of LNG shipments. India's crude oil dependency on imports stands at 90%, with refineries heavily dependent on Gulf supplies. Russian imports constitute approximately 35%, Gulf nations contribute over 40%, whilst Africa, the US and other sources make up the balance. African imports declined to 5% in May from 12% in April. Qatar, ranking amongst the top three global LNG exporters, maintains significant influence over worldwide gas supply. Any interruption to Qatari exports could trigger a surge in spot LNG prices. Additionally, long-term LNG prices could increase, considering 60% of India's long-term agreements are connected to crude oil rates. However, industry executives from Indian refining and gas companies express scepticism about Iran implementing a blockade, based on historical precedents. They suggest that such an action would likely trigger substantial price increases and direct US intervention, whilst also adversely affecting Gulf nations and oil-dependent countries. Additionally, executives note that blocking the strait would disrupt both Gulf exports and essential imports, including Iran's own trade, which serves as a significant deterrent. Currently, Indian refiners are maintaining their normal purchasing patterns without resorting to 'panic buying'. No matter how carefully you prepare, every economy would feel the impact of a supply crunch and price spike." Another executive highlighted the situation's intricacy, stating, "If India turns to West Africa for additional supplies, other importers are likely to follow." The international LNG trade lacks the maturity and flexibility seen in oil markets, with few options for supply diversification. The 2022 energy crisis highlighted this vulnerability when a former Gazprom subsidiary defaulted on its LNG delivery commitments to India's GAIL, compelling the company to reduce supplies to domestic consumers.
