
Great Eastern holders vote on US$704mil OCBC delist plan
SINGAPORE : Oversea-Chinese Banking Corp's (OCBC) final attempt to fully control Great Eastern Holdings Ltd with its S$900 million (US$704 million) bid will be tested today, capping a two-decade quest by Singapore's second-largest lender to take over the insurer.
OCBC is just 6.28% shy of complete ownership, and Great Eastern's minority shareholders will vote at an extraordinary general meeting (EGM) whether to delist the 117-year-old firm with an improved bid from the bank.
If rejected, OCBC's so-called 'exit offer' will lapse, paving the way for the insurer's shares to resume trading.
Acquiring Great Eastern, one of the largest insurers in Singapore and Malaysia, will boost OCBC CEO Helen Wong's strategy to build an integrated financial services group that will better capture growth in the region's booming wealth management sector.
The insurer has total assets of more than S$100 billion with 16 million-plus policyholders, complementing the bank's business.
'The transaction is to streamline the group structure and we also think it opens up the potential to manage group capital more efficiently,' said Jayden Vantarakis, head of equity research for Southeast Asia at Macquarie Capital.
'Still, a full takeover would have a minimal impact on earnings or strategy as OCBC is already in control,' he said.
Trading in Great Eastern's shares has been suspended since July 2024 after OCBC failed to secure a sufficient level for a delisting or compulsory acquisition with last year's offer.
While the bank raised its bid by 17.8% last month to S$30.15 a share, the price is still at a discount to the insurer's 2024 embedded value of S$38.08 per share.
That metric has been used to value insurers elsewhere and has been cited by resistant minority shareholders urging a higher offer.
Great Eastern's independent directors have advised shareholders to accept OCBC's bid, which has been described by the firm's financial adviser EY as 'fair and reasonable'.
The insurer has contributed an average of about S$700 million a year in net profit to OCBC over the past 10 years, translating to an average of about 15% of OCBC's annual net profit over this period, the bank has said.
'While delisting Great Eastern has been a long-term goal for OCBC, the bank is satisfied with its 93.72% stake, regardless of the outcome of the EGM,' it said in a statement last month.
'OCBC does not intend to launch another offer in the foreseeable future,' it added.

TechStore secures RM7.75m Customs job for baggage and body scanners at checkpoint as RTS Link project expands
KUALA LUMPUR, July 28 — TechStore Bhd's wholly-owned unit Tech-Store Malaysia Sdn Bhd has secured a RM7.75 million from the Royal Malaysian Customs Department to provide leasing and training services for four baggage scanner machines and two body scanner machines with accessories. The equipment will be deployed at the Woodlands North Customs, Immigration and Quarantine (CIQ) facility in Singapore under the Johor Bahru-Singapore Rapid Transit System (RTS) Link project, TechStore said. 'The contract period would be 77 months from Aug 1, 2025, to Dec 31, 2031,' the information technology (IT) solutions provider said in a filing with Bursa Malaysia. The ACE Market-listed company said Tech-Store Malaysia will submit a performance bond of RM60,367.34, which is five per cent of the contract value divided by six years and five months as security for the proper and due performance of the works. In a separate statement, TechStore managing director Tan Hock Lim said the contract further expands its involvement in the RTS Link project, which encompasses design consultation for depot equipment and service vehicles, uninterruptible power supply, the RTS enterprise resource planning work packages, and the project for fit-out works for Malaysian agencies at Woodlands North CIQ. 'Beyond the RTS Link, we are involved in major initiatives such as the LRT Kelana Jaya Line, LRT Ampang Line, MRT Kajang Line, and the ongoing LRT3. 'With the government's increasing push toward public transport digitalisation, we see growing demand for integrated, secure, and localised enterprise IT solutions,' he said. The group's unbilled order book remains healthy at RM135.3 million as at May 31, 2025, supported by a robust job pipeline with a tender book totalling RM1.2 billion. TechStore was listed on Bursa Malaysia on Feb 18, 2025, and has raised a total of RM25 million in proceeds to accelerate its growth plans and enhance its capacity to undertake larger-scale projects. — Bernama

SPI Asset Management managing partner Stephen Innes noted that the EU and the US are moving towards a trade deal that could include a 15 per cent US baseline tariff on EU goods and possible exemptions. However, he said, the yellow metal could find support if the US dollar weakens, especially amid speculation over Federal Reserve chair Jerome Powell's stance on interest rates. 'My outlook for the week ahead sees gold finding a bid near the US$3,335 area, with topside resistance around US$3,395 (per troy ounce). The broader range will be dictated by how much traction the 'soft landing plus trade peace' narrative gains versus lingering macroeconomic uncertainty and rate expectations,' he told Bernama. On a weekly basis, the spot-month July 2025 contract slipped to US$3,350.0 per troy ounce on Friday from US$3,360.0 a week earlier, the August 2025 contract decreased to US$3,367.4 per troy ounce from US$3,378.3 previously, and the September 2025 contract fell to US$3,373.3 per troy ounce from US$3,384.20. Meanwhile, the October 2025, December 2025, and February 2026 contracts also settled lower at US$3,402.6 per troy ounce from US$3,413.40 previously. Weekly trading volume expanded to 34 lots from 12 lots in the previous week, while open interest rose to 71 contracts from 67 contracts. Ringgit ends lower vs greenback following Bank Negara's GDP forecast revision
KUALA LUMPUR, July 28 —The ringgit ended easier against the US dollar today, as traders' sentiment was affected by Bank Negara Malaysia's (BNM) gross domestic product (GDP) revision for the year. At 6pm, the local note slid to 4.2275/2345 versus the greenback from last Friday's close of 4.2195/2245. The central bank has revised Malaysia's 2025 GDP growth to 4.0-4.8 per cent from 4.5-5.5 per cent previously, and similarly, the inflation rate for 2025 is projected to range between 1.5 per cent and 2.3 per cent from the previous forecast of 2.0-3.5 per cent. Bank Muamalat Malaysia Bhd chief economist Dr Mohd Afzanizam Abdul Rashid said the BNM is being pragmatic by adjusting the growth forecast lower, taking into account external risks. At the same time, a lower inflation forecast suggests that the impact from the anticipated RON95 subsidies rationalisation is likely to be manageable. 'As such, we foresee this will be positive for the ringgit in the mid- to long-term as fiscal consolidation will continue to take place, resulting in more fiscal space which can be redirected into targeted assistance as well as higher development expenditure (DE).
