Mizuho to acquire Avendus from KKR at $700 million valuation

, valuing the homegrown investment bank at Rs 6,000 crore ($700 million), ending months of protracted negotiations with several twists and turns, said people aware of the matter.
Mizuho Group CEO Masahiro Kihara is scheduled to visit the country later this week for official engagements and a formal announcement is due at that time, they said. Kihara is also director of
Mizuho
Financial Group Inc.
Mizuho and
KKR
, along with the senior leadership of Avendus, agreed on final deal terms in the last few days, even as private equity group Caryle, the only other serious contender in the fray, was circling the prospect.
The deal will mark the biggest investment by Mizuho in India, underscoring the increased strategic interest of Japanese financial groups in the country.
Last month, SMBC picked up a strategic stake in private sector lender Yes Bank.
The transaction will include KKR exiting its entire 60% stake along with some of its earlier, high-net-worth individual investors and Ranu Vohra, as well as small shareholders, including local PE firm Gaja Capital. Vohra is one of the three founders of Avendus. Once completed, the transaction is likely to see the Japanese mega bank owning up to 70% of the investment bank.
In 2015, KKR paid Rs 950-1,000 crore to pick up a controlling stake in Avendus Capital Pvt Ltd (ACPL) from Eastgate Capital Group Ltd and Americorp Ventures, early investors in Avendus via Singapore-based Red Point Investments Pte Ltd. The firm was founded in 1999 by three friends — Vohra, Kaushal Aggarwal and Gaurav Deepak. Other than Vohra, the other two are likely to remain invested and continue to run the company, retaining full operational control, though Mizuho will have veto rights.
One of the hottest domestic deal shops in the country, Avendus operates in the
financial services
space through subsidiaries in financial advisory, capital markets, wholesale financing through Avendus Finance, wealth management and alternative asset management. The acquisition of Spark in 2022 led to the addition of institutional equities to the offerings.
Avendus is present in 10 cities in India, the US and Singapore. A little over half of its profits before tax in the first nine months of 2025 came from the
investment banking
division, followed by credit solutions and institutional equities.
ACPL posted a total consolidated income of Rs 1,035 crore and net profit of Rs 170 crore for the nine months to December 2024, against Rs 1,012 crore and Rs 118 crore, respectively, in FY24.
Upon exit, KKR is expected to make a blended 3.5x return in rupee terms over a nine-year period.
KKR and Avendus declined to comment. Mizuho India country co-head Piyush Aggarwal did not respond to ET's queries.
In the past year, several PE funds and family offices had evinced interest in acquiring the business, including TPG Capital, TA Associates and Azim Premji family office PremjiInvest. Even Nomura, originally chosen to manage the stake sale process, threw its hat in the ring but eventually only Mizuho and Carlyle were left to compete.

'There is a small difference in the valuation between the two but Mizuho brings a far larger strategic play and adds heft in cross-border transactions,' said an executive in the know.
For several investors, the inherent cyclicality associated with the investment banking business was a challenge. The acquisition of Spark has supported profitability through its equity capital market (ECM) products.
'While the group reported strong performance in investment banking in fiscals 2022 and 2023, it was impacted in fiscal 2024 with extended deal completion timelines,' said a March Crisil credit report. 'There was some revival in fiscal 2025 with the nine-month revenue from IB (investment banking) surpassing the full fiscal 2024 revenue… The ongoing diversification in business should support profitability over the medium term.'
One of Japan's largest financial institutions, Mizuho bought boutique investment bank Greenhill & Co in a $550 million deal in 2023, betting that the struggling group could help kickstart its ambitions in the US. The third-largest Japanese lender said it aims to sell 'strategic' shareholdings — stocks held to cement ties with corporate clients — worth at least ¥350 billion over the next three years through March 2028 amid the slump in long-dated Japanese bonds.
Mizuho Bank, the banking subsidiary of Mizuho Financial Group Inc, has had a presence in India for over 25 years, with five branches catering primarily to corporate clients. It has been looking to ramp up its local presence and hired private equity veteran and former India head of KKR Sanjay Nayar as external senior advisor to Mizuho Bank India. The parent has infused about $500 million (Rs 4,100 crore) into its India bank branches. Last year, Mizuho invested $145 million for a 15% stake in credit card issuer Credit Saison's Indian subsidiary Kisetsu Saison Finance (India).

Fashion retailer Shein and partner Reliance Retail plan to rapidly expand their Indian supplier base and start overseas sales of India-made Shein-branded clothes within six to 12 months, said two people with knowledge of the matter. ADVERTISEMENT The China-founded, Singapore-headquartered e-commerce firm has been discussing plans with the Indian retailer since before the U.S. imposed tariffs on Chinese imports that intensified the need to diversify sourcing, the people said. The aim is to raise Indian suppliers to 1,000 from 150 within a year, they said. In a statement to Reuters, Shein said it licensed its brand for use in India. Reliance did not respond to queries. Shein sells low-priced apparel such as $5 dresses and $10 jeans shipped directly from 7,000 suppliers in China to customers in around 150 countries. Its biggest market is the U.S. where it is adjusting to tariffs on low-value e-commerce packages from China which were previously imported duty free. The retailer launched in India in 2018 but its app was banned in 2020 as part of government action against China-linked firms amid border tension with its northeastern neighbour. It returned in February under a licensing deal with the Reliance Industries unit which launched selling Shein-branded clothes produced in local factories. In contrast, Shein's other websites mainly list goods from China. ADVERTISEMENT Reliance, controlled by Asia's richest person, Mukesh Ambani, has contracted 150 garment manufacturers and is in discussion with 400 more, said the two people, declining to be identified due to confidentiality concerns. The goal is 1,000 Indian factories making Shein-branded clothes within a year for both the Indian market and to service some of Shein's global websites, the people said. ADVERTISEMENT Shein initially wants to list India-made clothes on its U.S. and British websites, one of the people said. Discussions have been ongoing for months and the launch time of six to 12 months could change depending on supplier numbers, the person said. The scale of supplier expansion and export time frame is reported here for the first time. ADVERTISEMENT Shein has licensed its brand for domestic use to Reliance which "is responsible for manufacturing, supply chain, sales and operations in the Indian market," Shein said in a statement. In December, Minister of Commerce and Industry Piyush Goyal told parliament that the Shein-Reliance partnership aimed to create a network of Indian suppliers of Shein-branded clothes for sale "domestically and globally". ADVERTISEMENT Shein is a fast-fashion behemoth earning annual revenue of over $30 billion through low prices and aggressive marketing. Most of its products are from China with some made in countries such as Turkey and Brazil. Its expansion in India mirrors interest in the country from the likes of Walmart and others throughout the global fashion and retail industries, particularly those looking for suppliers outside China due to the Sino-U.S. trade war. The Shein India app has been downloaded 2.7 million times across Apple and Google Play stores, averaging 120% on-month growth, showed data from market intelligence firm Sensor Tower. Offerings during its first four months have reached 12,000 designs, a fraction of the 600,000 products on its U.S. site. In the women's dresses category, its cheapest item is priced 349 Indian rupees ($4) versus $3.39 on the U.S. site as of June 9. Shein's Indian partner Reliance, which operates the app, is working with suppliers to assess whether they can replicate Shein's global best-sellers at lower cost, the two people said. Reliance aims to emulate Shein's on-demand manufacturing model, asking suppliers to make as few as 100 pieces per design before increasing production of those that sell well, they said. Executives from Reliance recently visited China to understand Shein's "innovative" supply chain operations, "data driven" design processes and "disruptive" digital marketing, Manish Aziz, assistant vice president Shein India at Reliance Retail, said in a LinkedIn post in which he called Shein's scale and speed "truly incredible". The partnership is one of dozens Reliance has with fashion brands, such as Brooks Brothers and Marks and Spencer. The firm also runs e-commerce site Ajio and its retail network competes with Amazon and Walmart's Flipkart as well as value retailers such as Tata's Zudio. Reliance plans to work with new suppliers to source fabric - especially fabric made using synthetic fibres where India lacks expertise - and import required machinery, the people said. Majhi made the statement while interacting with industrialists at Lok Seva Bhavan, ahead of the first anniversary of his government. 'Odisha is no longer just a minerals and metals hub. We are becoming a diversified industrial powerhouse, where opportunity flows from port to plant and from cities to every aspirational district,' he said. The State is growing across 20 sectors -- from mining, metallurgy and metal downstream to emerging opportunities in chemicals, food processing, apparel and textiles, he said. Majhi spoke about the measures his government has taken to help industries. 'One year ago, the people of Odisha placed their faith in us to build a future that is inclusive, aspirational and transformative. Today, as we reflect on this first year, we do so with pride, in our progress and renewed commitment to the journey ahead,' he said. Maintaining that his government was focused on job creation, he urged the industrialists to join the journey of making the State an industrial powerhouse. 'Over the last year alone, 206 large projects were approved -- nearly double the average of the previous five years. These represent a total investment value of over Rs 4.5 lakh crore and an employment potential of nearly 2.9 lakh jobs,' he said. 'Since the Utkarsh Odish summit, 56 projects have already been taken up for ground-breaking and inauguration, with a combined investment of over Rs 1.78 lakh crore, and employment potential for Odisha industrial development, Mohan Charan Majhi, minerals to diversified industry, job creation, investment in Odisha, governance and reforms 1.1 lakh people. These numbers reflect not only our speed, but scale and substance,' he added. Attacking the previous Naveen Patnaik-led regime, Majhi said in many ways, his government has achieved more in this one year than the past five years combined through quiet, focused and committed action. In the coming year, he said the government will focus on four key priorities. 'First, the government will bring new policies that unlock emerging sectors and offer global competitiveness. Secondly, the government will expand the State's land bank and industrial infrastructure to meet future demand. Third, we will revamp our single window system and develop a modern, integrated project tracking platform. Fourth, we will work to deregulate and simplify burdensome rules and processes,' he said. He asserted that the next four years will lay the foundation for a prosperous Odisha.

Kernex Microsystems (India) frozen at its upper limit of 5% at Rs 1,292.90 after the company announced that its joint venture, the Kernex-KEC Consortium, has received a letter of acceptance (LoA) worth Rs 182.81 crore from Western Railway. The contract involves the provision of KAVACH Version 4.0 or the latest (formerly known as Train Collision Avoidance System TCAS), including the deployment of a communication backbone based on UHF and OFC on the PalanpurSamakhiyaliGandhidham section under the Ahmedabad Division of Western Railway. The project is valued at Rs 182.81 crore and is scheduled to be executed within 730 days. Kernex holds a 70% stake in the consortium. Kernex Microsystems (India) is engaged in the manufacture and sale of safety systems and software services for railways. The company's consolidated net profit surged 358.2% to Rs 32.59 crore on an 829.9% rise in total income to Rs 83.69 crore in Q4 FY25 over Q4 FY24.
