One in five votes against Frontken's share mandate

KUALA LUMPUR: More than one in five of Frontken Corp Bhd's voting shares were cast against granting the board authority to issue new shares at its annual general meeting (AGM) on Thursday, reflecting unease over potential equity dilution.
In a filing with Bursa Malaysia, the company said it received 78.8 per cent support for the mandate, which allows the board to issue up to 10 per cent of its issued capital without prior shareholder approval until the next AGM.
The 21.2 per cent dissent, amounting to over 233.9 million shares, was the highest level of opposition among the six resolutions tabled.
According to an earlier AGM notice, Frontken viewed the mandate as a tool to respond swiftly to funding needs for working capital or potential investments. However, it clarified that no share issuance was currently planned.
"At this juncture, there is no decision to issue any additional share. If there should be a decision to issue any new share after the general mandate is sought, the company will make an announcement," the notice stated.
The proposal to renew the company's authority to buy back up to 10 per cent of its own shares also passed, with 86.7 per cent voting in favour and 13.3 per cent against, a narrower margin compared to other resolutions.
The RM50 million buy-back mandate will be funded through retained profits or borrowings. As of end-2024, Frontken had RM33.7 million in retained earnings, according to its share buy-back statement.
The company repurchased just over 1.1 million shares from the open market in March, bringing its total treasury shares to over 8.3 million. The buy-back was positioned as a tool for managing capital, stabilising the share price and rewarding shareholders.
Meanwhile, two other resolutions saw modest but notable pushback, with nearly five per cent voting against both the proposed directors' fees and benefits of up to RM600,000, and the re-election of Ng Chee Whye as a board member.
The reappointment of the company's auditors was backed by 99.1 per cent of voting shares, while the re-election of Koh Huey Min saw similarly strong support, with nearly 99 per cent in favour.
Frontken specialises in surface engineering and precision cleaning for the semiconductor, oil and gas, power, petrochemical and marine industries.
As at 3.19pm, Frontken's shares rose 0.77 per cent or three sen to RM3.95, with 882,800 units traded. This valued the company at RM6.03 billion. Year-to-date, the stock has fallen 10.86 per cent.

REGION - NORTHERN > NEWS KANGAR, Aug 17 (Bernama) -- Agrobank remains committed to empowering the asnaf (tithe recipients) and B40 groups through the disbursement of iTEKAD grants amounting to RM100,000 to 20 selected agropreneurs for the implementation of the MD2 pineapple planting project in Chuping near Padang Besar yesterday. Agrobank President and Group Chief Executive Officer Datuk Tengku Ahmad Badli Shah Raja Hussin said a total of 20 participants comprising the B40 group and military veterans received a grant of RM5,000 each to support the purchase of additional equipment for cultivating a five-acre plot of land rented from Felda Global Ventures (FGV). 'This project is part of the collaboration between Agrobank and Aqina Fruits Sdn Bhd, which also involves the implementation of pineapple cultivation projects in several other locations, namely in Beaufort and Pekoti. bootstrap slideshow 'For the projects in Chuping and Beaufort, the total allocations are RM6 million each, while the project in Pekoti received the highest allocation of RM12 million,' he said in a statement. Tengku Ahmad Badli Shah said that overall, the collaboration between Agrobank and Aqina Fruits through the contract farming project under the B40 model received a total funding allocation of RM24 million. He said Agrobank, as a development financial institution, provides financing facilities of up to RM280,000 for each participant of the pineapple planting project to cover initial capital. He added that the MD2 pineapple cultivation project is among Agrobank's continuous efforts to strengthen the socio-economic development of the people, particularly among the lower-income group. 'In addition, it also serves to stimulate the growth of the agricultural sector and increase the production of pineapples in the country to meet domestic market needs as well as the export potential abroad,' he said. Meanwhile, through the iTEKAD initiative, several programmes have been introduced such as the MAINJ Micro Entrepreneur Financing Programme, the BERNAS Farm Partner Programme, the Oil Palm Replanting Scheme, as well as the Vessel Modernisation and Catch Mechanisation Programme.

MONEY THOUGHTS: Harness two business tools

THERE are ambitious business startups that focus, initially, on revenue generation and market-share capture instead of profitability. The medium- or long-term hoped-for exit point for shareholders of such businesses is the initial public offering or IPO of their companies' shares on a stock exchange like Bursa Malaysia, the Singapore Stock Exchange or the mighty New York Stock Exchange. On the journey to a potential fat payday for capitalists who take on the sizable risk of investing in a startup at various points of its maturation process, from private to public ownership, many terms describe the funding rounds. Some such terms are seed injecting, angel investing, venture capital funding and then an alphabet soup of capital-raising rounds like Series A, Series B, Series C and possibly more before the potentially big payoff of an IPO. Bear in mind hundreds of thousands of businesses are started by hopeful entrepreneurs everyday everywhere. Most fail. The often bandied about global statistic is that 90 per cent of new businesses fail. This means that for every 10 new startups, only one will survive beyond five years. Also, most survivors never make it big (My experience of nurturing two viable businesses for decades that have stubbornly remained diminutive corroborate that truth). However, in the first half of the 1990s, I had the privilege of writing about big companies run by household-name tycoons, many of whom preside over even larger businesses today. So, although I failed to catch the "Big Time Success Bug", I have learnt enough — over the miles and years — to co-opt two startup metrics that can apply to ambitious employees, professionals and small-business owners. Those business startup metrics are "burn rate" and "runway". BUSINESS METRICS Within promising startups careening toward public listings, aided by the angel investors, venture capitalists and alphabetical serial investors, the vital business metric of profitability takes a backseat — for a while — to top line sales (or revenue) and potential market share. Eventually, though, profits will matter, as does positive cash flow. But the amount of time a promising business needs to reinvest almost all inflowing revenue, plus all borrowings and intermediately raised capital, into expanding its market share can be lengthy. Case in point: Everyone knows Amazon is the tentacular global behemoth that once saw Jeff Bezos, its major shareholder, stand as the wealthiest person on Earth (from 2017 to 2021). At the time of this writing, Aug 5, despite the growingly unpopular Elon Musk holding that coveted title with a total net worth of US$357 billion according to the daily updated Bloomberg Billionaire Index ( Bezos' wealth stands at US$234 billion, which places him fourth globally. Bezos founded Amazon in 1994. It began selling books online in 1995; and yet it kept losing money until 2002. You see, Bezos was building a retail juggernaut to dominate Earth. I dare say he succeeded. Such accounts of immense corporate heft and success are impressive, yet have little to do with the real lives of regular people like you and me. Or do they? TOOLS TO COMPREHEND The two metrics I mentioned above, burn rate and runway, can first be understood and then, second, "folded into" our respective personal finance kits as analytical tools to comprehend our cash flow pattern and the required size of our Emergency Buffer Fund (EBF). Perhaps these descriptions will make things clearer: Burn rate — the gross burn rate of a company is the amount of cash it consumes each month to pay its bills without accounting for any inflowing revenue. The net burn rate is the gross burn rate minus inflowing revenue. Runway — it's more complete name is "cash runway". Just as a plane needs a sufficiently lengthy runway, say around four or five kilometres long, to start up, move, build speed, gain lift and then take off, a company's runway is measured by the number of months it can operate based on the amount of cash it has today, and its net burn rate. As individuals, we should aim to live our economically productive years on a positive cash flow basis. If we succeed, then our personal runways will be longer than our entire working careers, which may typically last three to five decades. Then, when we finally stop working for active income or, figuratively, come in for a landing, our remaining runway will either be long enough… or not. The chief determinants are: 1. The rate our retirement nest egg spins out passive income; and 2. The pace at which we spend money in retirement. So, take a fresh look at your career, assuming you are still working, and estimate the remaining years or, better still, decades you have to earn an active income. Then calculate your monthly and annual cash flow surpluses. After that, channel your surpluses into savings and investments that turn your — perhaps — modest current trickle of passive income into an eventual torrent. If you succeed, you will outlive your money and thus be able to bequeath real wealth to your loved ones or to society. The needed tools are now in your hands. © 2025 Rajen Devadason

KUALA LUMPUR: Bursa Malaysia is expected to rise next week towards the 1,590 resistance level, contingent on supportive global risk sentiment and incremental clarity over semiconductor tariff trajectories, said an analyst. UOB Kay Hian Wealth Advisors Sdn Bhd head of investment research Mohd Sedek Jantan said that given the weekend timing of the meeting between US President Donald Trump and Russian President Vladimir Putin, Malaysia's equity market will absorb any geopolitical repricing effects when trading resumes next week. "Domestically, the investment narrative will be shaped by further disclosures on the 13th Malaysia Plan (13MP) project allocations, while the approach of Budget 2026 -- now under two months away -- will heighten focus on stakeholder engagement sessions as potential precursors to fiscal policy direction ahead of the Prime Minister's parliamentary tabling," he told Bernama. On the inflation front, Mohd Sedek said Malaysia's July Consumer Price Index (CPI), due for release on Friday, Aug 22, will offer the first high-frequency read on the pass-through impact of the broadened Sales and Service Tax (SST) regime. "We project headline CPI at 1.2 to 1.3 per cent year-on-year, up from 1.1 per cent in June, with core inflation expected to remain contained," he said. Globally, Mohd Sedek said, investor attention is set to converge on Wednesday's release of the Federal Open Market Committee minutes and the Jackson Hole Symposium (Aug 21-23) -- both considered potential catalysts for repricing policy-rate expectations if a pivot narrative gains momentum. "Pre-Jackson Hole signalling from Washington has intensified, with the Trump administration adopting a more assertive communications posture than the Federal Reserve's (Fed) measured, data-dependent stance. "Treasury Secretary Scott Bessent has escalated his call from a 50-basis-point cut to a cumulative 150-basis-point reduction, amplifying political pressure on the Fed. "This shift, combined with personnel changes at the Bureau of Labor Statistics and the nomination of dovish candidates to the Federal Reserve Board, reflects a coordinated strategy to influence Fed chair Jerome Powell's policy trajectory," he said. He added that any eventual dovish recalibration could be positioned domestically as both a political and macroeconomic victory, reinforcing the administration's narrative of executive influence over monetary normalisation. On a weekly basis, the FTSE Bursa Malaysia KLCI rose 19.36 points to 1,576.34 on Friday from 1,556.98 a week earlier. The FBM Emas Index gained 129.27 points to 11,731.06, the FBMT 100 Index climbed 132.95 points to 11,512.86, the FBM Emas Shariah Index added 20.67 points to 11,654.85, the FBM 70 Index improved 155.15 points to 16,660.68, and the FBM ACE Index advanced 106.57 points to 4,713.45. By sector, the Financial Services Index rose 499.25 points to 18,080.07, the Plantation Index increased 77.91 points to 7,504.03, and the Energy Index went up 4.11 points to 740.83. Weekly turnover dropped to 11.10 billion units worth RM11.87 billion from 12.65 billion units worth RM11.65 billion in the previous week. The Main Market volume shrank to 7.16 billion units valued at RM11.06 billion compared with 7.66 billion units valued at RM10.61 billion previously. Warrants turnover declined to 3.37 billion units worth RM453.56 million from 3.62 billion units worth RM508.07 million in the preceding week. The weekly ACE Market volume grew to 1.64 billion units valued at RM593.87 million versus 1.37 billion units valued at RM529.84 million previously.
