CENTENNIAL, Colo. & SAN DIEGO, February 28, 2025--(BUSINESS WIRE)--NUBURU, Inc. (NYSE: BURU, the "Company"), a leading innovator in high-power blue laser technology, and HUMBL, Inc. (OTC: HMBL), a strategic holding company with focus in Brazil, today announced the execution of a $2 million Equity Swap Agreement and strategic partnership designed to accelerate both companies' growth strategies and deliver immediate value to shareholders.
Transaction Details
Under the terms of the Equity Swap Agreement:
NUBURU will issue $2 million in common stock to HUMBL (subject to applicable exchange cap, stockholder approval, and registration requirements); and
HUMBL will issue an equal amount of Series C Preferred Stock to NUBURU
Following satisfaction of any required stockholder or regulatory approvals and registration requirements, it is anticipated that 70% of the shares of NUBURU will be distributed to the stockholders of HUMBL as a dividend.
The issuance of the shares by both parties is contingent upon both parties obtaining any required regulatory or stockholder approval and satisfying any applicable registration requirements. The companies have also entered into a Master Distribution Agreement, appointing HUMBL as the exclusive distributor in Brazil for both NUBURU's existing business and its recently announced Defense and Security Portfolio Companies. The parties may also negotiate in the future performance-based incentives that would allow HUMBL to expand its exclusivity to all of Latin America upon achieving certain revenue and market penetration targets.

2 Top High-Yield Dividend Stocks You Can Confidently Buy and Hold Until at Least 2030

ExxonMobil's investment plan could add $20 billion in earnings and $30 billion in cash flow to its annual total in 2030. Kinder Morgan has pipeline projects underway that should enter service through 2030. These energy companies should have the fuel to continue growing their high-yielding dividends for at least the next five years. 10 stocks we like better than ExxonMobil › Investing in high-yielding dividend stocks has benefits and drawbacks. On the plus side, they pay lucrative dividends, making them an excellent way to generate passive income. However, a negative is that many companies have high-yielding dividends because they have nothing better to do with their free cash flow than funnel it back to shareholders. That's not true with ExxonMobil (NYSE: XOM) or Kinder Morgan (NYSE: KMI). They're also investing heavily in growth projects over the next five years. Because of that, you can confidently buy and hold these energy stocks to collect their high-yielding dividends that should steadily rise through at least 2030. ExxonMobil is a preeminent dividend stock. The oil giant has increased its dividend payment for 42 straight years. That leads the oil industry and is a record that only 4% of companies in the S&P 500 have achieved. "And we plan for that track record to continue for decades to come," stated CFO Kathy Mikells on Exxon's fourth-quarter earnings conference call. She noted that continuing to deliver dividend growth is "only possible by investing in the high-quality growth opportunities that drive leading returns and higher cash flows." The oil giant plans to invest $140 billion into major projects and its Permian Basin development program through 2030. It expects "this capital to generate returns of more than 30% over the life of the investments," stated CEO Darren Woods in the press release unveiling its plan to 2030. That level of investment and returns has the potential to deliver incremental growth of $20 billion in earnings and $30 billion in cash flow by 2030, assuming oil prices average around $60 a barrel (below the current price point). That's a 10% compound annual growth rate for its earnings and an 8% growth rate for cash flow from last year's baseline. Exxon estimates that this plan could produce a staggering $165 billion in surplus cash through 2030. The company can use the money to increase shareholder distributions by growing the dividend and continuing to buy back boatloads of its stock. It's aiming to repurchase $20 billion of its shares this year and another $20 billion in 2026, assuming reasonable market conditions. Given Exxon's track record and visible earnings growth through 2030, it seems safe to assume it can continue growing its dividend, which yields nearly 4%, throughout this period. Kinder Morgan extended its dividend growth streak to eight straight years in 2025. The pipeline company's payout, which yields over 4%, should continue growing for at least the next five years. Several factors drive that view. For starters, the company has highly contracted and predictable cash flows. Only 5% of its cash flow is exposed to commodity prices, and another 26% is subject to volume risk. Take-or-pay agreements or hedging contracts that guarantee payment lock in 69% of its cash flow. Kinder Morgan pays out less than half of its stable cash flow in dividends. It retains the rest to invest in expansion projects and maintain its financial flexibility. The company currently has $8.8 billion of commercially secured expansion projects underway. That's a $5.8 billion increase from where its backlog was at the end of 2023. Its current slate of projects includes $8 billion of natural gas-related expansions. Those projects have in-service dates through the second quarter of 2030. Because of that, they'll supply the company with steadily growing cash flow through at least the end of that year. Kinder Morgan plans to continue adding fuel to its growth engine. It recently closed the $640 million acquisition of a natural gas gathering and processing system in the Williston Basin area of North Dakota, which will immediately boost its cash flow. The company has ample financial flexibility to complete additional accretive deals as opportunities arise in the future. Kinder Morgan is also pursuing a slew of additional growth projects. It's currently working on a substantial number of opportunities to supply additional gas to liquefied natural gas (LNG) export terminals that are under development. The company is also pursuing opportunities to supply a lot more gas to the power sector, which is expected to require substantial additional fuel in the future to support the anticipated surge in electricity demand from catalysts such as AI data centers. With visible growth coming down the pipeline and more opportunities on the horizon, Kinder Morgan should have ample fuel to continue increasing its high-yielding dividend through at least 2030. Most companies don't have a lot of growth visibility. That's what makes ExxonMobil and Kinder Morgan stand out. They currently have visibility into their ability to grow their earnings and cash flow through 2030. Because of that, it looks highly likely that they will be able to increase their high-yielding dividends throughout that time frame. 3 Reasons to Buy Floor & Decor Stock Like There's No Tomorrow

Floor & Decor's business model earned praise from an all-time great investor, and it has large expansion plans. The stock's valuation is more attractive than usual and it's unlikely to get much cheaper tomorrow. 10 stocks we like better than Floor & Decor › In 2017, home improvement retail chain Floor & Decor Holdings (NYSE: FND) went public. It only had about 70 locations and was still virtually unknown. And investors could have bought it at any time during the past eight years. But now it's time to buy Floor & Decor stock like there's no tomorrow. Of course, that's just an expression -- there will be a tomorrow for Floor & Decor, and I believe it will be great for shareholders. That's why I believe it's worth the investment today. But when it comes to buying the stock at an attractive price, I don't think that investors should necessarily wait until tomorrow, hoping for any entry point that's better than this. The valuation is my third reason to buy Floor & Decor stock today. But first allow me to explain two other reasons why it's a good buy right now. Before he passed away in 2023, Charlie Munger was renowned for being a great investor and one who was focused on business fundamentals. Therefore, when he praises a business model, it's a big deal. And in one of his final interviews, Munger praised Floor & Decor. There are two extremes in retail. One approach is to have a lot of little stores -- GameStop fits in this category. It ended 2024 with over 3,200 locations, which is massive. But each location only had just over $1 million in annual sales. The other approach is to have relatively few stores that handle massive volume, which is Floor & Decor's business model and what Munger loved about it. It follows the same logic as one of his favorite businesses, Costco Wholesale. Floor & Decor only has around 250 locations today and it only expects to have around 500 long term. But each is between 50,000 square feet and 80,000 square feet. And with $4.5 billion in overall trailing-12-month revenue, these 250 stores are certainly high volume. High-volume stores can serve Floor & Decor by creating operating leverage, leading to strong profitability. It's something to watch as the business grows. As mentioned, Floor & Decor is looking to grow to at least 500 locations in coming years. Here in 2025, it's looking to open 20 new stores, which is about 8% growth. But keep in mind that this growth is slow by this company's standards. Given the economic uncertainty right now, management pulled back on this year's plans. Ordinarily, shareholders can expect Floor & Decor to open new locations at a faster rate as it expands toward its long-term goal. But opening new stores isn't the only growth strategy. The company owns another business called Spartan Surfaces, which does flooring installations for commercial properties, such as hospitals. This is a great ancillary business idea for Floor & Decor. Circling back to the business model, there's a ceiling to the opportunity with its retail locations -- it doesn't want a lot of low-volume stores. But it can still leverage its infrastructure with this ancillary commercial business. Between sales growth, new stores, and newer ideas, I believe that Floor & Decor can double its revenue in the next five years or so. That's a good opportunity for investors. It's widely agreed that Home Depot is a great business, but even the most bullish shareholders would have to concede that its growth prospects are somewhat slim. Floor & Decor's growth outlook is much better. And yet, in spite of this, the price-to-sales (P/S) valuation for Home Depot stock is much more expensive. One might object to my valuation comparison, pointing to Home Depot's superior profit margins, which is true. That said, a growth company such as Floor & Decor shouldn't be expected to be optimized for profits in the same way as a mature business such as Home Depot. During the pandemic-fueled home improvement spending boom, Floor & Decor had a profit margin of over 8%, which is about what Home Depot's margin is now. Therefore, the company is capable of better -- it's proved it. And even during this period of sluggish flooring sales, it still has a profit margin of about 5%. In other words, Floor & Decor stock is cheap when looking at its growth prospects. Those who think it should be cheaper because of its lower profit margins might not be seeing the whole picture. I've long believed Floor & Decor is simple idea and yet a strong multibagger investment opportunity. That hasn't changed. But now that this American stock is trading at one of its cheapest valuations ever, and even at a discount to more mature businesses such as Home Depot, I believe now is the time to buy Floor & Decor stock like there's no tomorrow.
