Enthusiast Gaming Announces Updates on Divestment of Direct Sales Business
TORONTO, Aug. 19, 2025 (GLOBE NEWSWIRE) — Enthusiast Gaming Holdings Inc. ('Enthusiast Gaming' or the 'Company') (TSX:EGLX) today announced that it has entered into a binding letter of intent (the 'Binding LOI') with Vertiqal Studios Corp. ('VSC') pursuant to an unsolicited offer from VSC to acquire the direct sales business carried on by the Company (the 'Direct Sales Business Line'). The entities and assets to be acquired in the transaction (the 'Transaction') are the same as those set out in the Company's prior announcement in respect of the divestment of the Direct Sales Business Line on July 7, 2025 (the 'July 7 Press Release'). Prior to entering into the Binding LOI with VSC, the Company terminated its existing non-binding letter of intent in respect of the Direct Sales Business Line as set out in the July 7 Press Release. Under the terms of the Transaction, VSC will acquire the Direct Sales Business Line and related acquired entities for cash consideration of C$900,000, which has been paid to the Company as a non-refundable deposit to secure the Transaction, as well as the assumption of all existing and ongoing liabilities of the Direct Sales Business Line and acquired entities as of the closing date. As of June 30, 2025, the net liability position of the Direct Sales Business Line and acquired entities being assumed by VSC would have been approximately US$2.6 million.

Canada's main stock index slid lower on Tuesday, as investors awaited key inflation data that could influence expectations for a possible interest rate cut by the Bank of Canada. The Consumer Price Index (CPI) for July showed a 1.7 per cent year-over-year increase, slightly lower than June's 1.9 per cent. On a seasonally adjusted monthly basis, the CPI rose by 0.1 per cent in July. Meanwhile, US markets were divided as earnings reports from major retailers began to surface. Investors are also looking ahead to an important speech by Federal Reserve Chair Jerome Powell later this week, which could offer insights into future monetary policy. Wall Street is closely watching for signals from Powell regarding the Fed's remaining policy decisions for the year. Global central bank leaders will gather this week in Jackson Hole, Wyoming, for the Fed's annual economic symposium. Shares of Home Depot (NYSE:HD) finished trading more than 3 per cent higher after the company reported Q2 earnings that fell short of expectations, though it reaffirmed its full-year forecast. Reports from Lowe's (NYSE:LOW), Walmart (NYSE:WMT), and Target (NYSE:TGT) are expected later in the week. The Canadian dollar traded for 72.16 cents US compared to 72.42 cents US on Monday. US crude futures traded US$1.05 lower at US$62.37 a barrel, and the Brent contract lost $0.88 to US$66.72 a barrel. The price of gold was down US$15.11 to US$3,317.49. In world markets, the Nikkei was down 168.02 points to ¥43,546.29, the Hang Seng was down 53.95 points to HK$25,122.90, the FTSE was up 31.48 points to ₤9,189.22, and the DAX was up 108.30 points to €24,423.07.
